What a reader needs to know to read these numbers
- TSMC is a foreign private issuer. It files a Form 20-F, not a 10-K or 10-Q, and it does not file a 13F. Everything here comes from the 2025 Form 20-F (filed April 2026, covering the year ended 31 December 2025) and from chapter 4 of the 2025 Annual Report, which carries the ROC-format capital and shareholder tables.
- Share counts and register percentages are for TWSE-listed common shares (TWSE: 2330), not for NYSE ADRs. Each American Depositary Share represents five TSMC common shares, per section 4.4 of the 2025 Annual Report and the 20-F. As of 28 February 2026 there were 25,932,524,521 common shares outstanding, of which 5,313,450,863 were represented by 1,062,690,167 ADSs.
- The largest single line on the register, Citibank, N.A. at 5,313,450,863 shares or 20.49%, is a custodial position, not a real owner. It is the pool of common shares deposited against outstanding ADSs, registered in the name of the depositary's nominee. The beneficial owners sit behind it: Citibank told TSMC those ADSs were held of record by Cede & Co. and 173 other registered holders. I have labelled holder_type 'depositary' rather than forcing it into the index/active/strategic enum, because none of those describe it. Treat this line as float held through the ADR programme, and do not add it to the fund positions below without double counting risk.
- Because of the depositary line, the register understates large asset managers. Vanguard and BlackRock ADR holdings are inside the 20.49% Citibank block, so the Vanguard and iShares lines shown here are only the Taiwan-registered fund vehicles, not those managers' group totals.
- The National Development Fund of the Executive Yuan is the strategic holder that matters: 1,653,709,980 shares, 6.38%, the largest genuine beneficial owner. It is a Taiwan government fund and it holds a board seat, with Dr. Chun-Hsien Yeh serving as its representative director. TSMC has one class of common shares with equal voting rights and no preferred shares outstanding, so there is no dual-class or founder control structure: the NDF's 6.38% economic stake equals its 6.38% of votes. TSMC states its major shareholders have the same voting rights as all other shareholders.
- Register dating: the 20-F rows are as of 28 February 2026, the annual report top-ten rows are as of 17 December 2025, the record date for the 2025 second quarter cash dividend. The two overlap and agree closely: the annual report shows the ADR depositary at 5,313,592,968 shares versus 5,313,450,863 in the 20-F, a 142,105 share difference across the ten weeks, and the National Development Fund at exactly 1,653,709,980 on both dates.
- Percentages for the annual report rows from Government of Singapore downward were computed as shares divided by 25,932,524,521 outstanding common shares. This reproduces the filing's own stated percentages exactly where they were legible in the extracted table (ADR 20.49%, NDF 6.38%, Singapore 2.08%, Norges 1.81%, Yuanta 1.61%, Vanguard Total International 1.37%), so the same denominator was applied to the remaining four rows.
- Holdings are TSMC's four equity method associates. Total carrying amount was NT$37,851.9 million (about US$1.21 billion at NT$31.37) at 31 December 2025, and TSMC states no individual associate is material to the group. The market value of the three listed stakes at 31 December 2025 was about US$5.14 billion combined, well above carrying value.
- Excluded from holdings, per the brief, are TSMC's consolidated operating subsidiaries. The wholly owned ones include TSMC Arizona Corporation (established November 2020, Fab 21 in Phoenix; it signed a US CHIPS Act direct funding agreement in November 2024 for up to US$6.6 billion in direct funding and access to up to US$5 billion in government loans) and TSMC Nanjing (established May 2016, Fab 16, production from April 2018).
- Three consolidated subsidiaries are majority owned rather than wholly owned, so a cross-holdings reader should know the minority partners exist. As of 28 February 2026: JASM in Kumamoto, Japan (Fab 23) was 72.6% TSMC, with Sony Semiconductor Solutions holding under 20%, DENSO over 10% and Toyota a minority stake; ESMC in Dresden, Germany was 70.0% TSMC, with Bosch, Infineon and NXP together holding 30%; and VisEra Technologies, which is listed in Taiwan, was 67.2% TSMC after its June 2022 IPO diluted TSMC from full ownership. These are controlled operating subsidiaries, not minority investments, so they are not in the holdings array.
- TSMC also holds a small book of equity instruments at fair value through other comprehensive income: NT$8,797.2 million of non-publicly traded equity investments and NT$3,956.1 million of publicly traded stocks at 31 December 2025, NT$12,753.3 million combined, about US$407 million. The 20-F does not name the individual investees, so no position is recorded for them. This is the bucket where any small private strategic stakes would sit, and it is immaterial relative to the associates.
- Market capitalisation: companiesmarketcap reported US$2.211 trillion as of 15 August 2026. This cross-checks against the ADR arithmetic: 25,932,524,521 common shares divided by the ADR ratio of 5 gives 5,186,504,904 ADSs, times the 14 August 2026 NYSE close of US$426.35, equals US$2.211 trillion. Stockanalysis.com showed a conflicting US$1.94 trillion on the same date against the same 25.93 billion share count, which is inconsistent with its own quoted ADR price. I recorded US$2.211 trillion because two independent routes agree on it, and I am flagging the US$1.94 trillion figure rather than overwriting it.
- Currency: the 20-F translates NT dollars at NT$31.37 to US$1.00, the Federal Reserve H.10 rate on 31 December 2025. All USD figures in holdings use that rate, so they are point in time at 31 December 2025 and are not restated to August 2026 prices or FX.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Share counts for the four associate stakes. The 20-F discloses ownership percentages, carrying amounts and market values but not the number of investee shares TSMC holds, and I did not fetch VIS, GUC, Xintec or SSMC share registers, so shares is null on every holding. The ROC-format schedule of marketable securities held, which would carry share counts, sits in a later chapter of the annual report that I did not retrieve.
- Exchange ticker codes for VIS, GUC and Xintec. The 20-F names the listing venues (Taipei Exchange for VIS and Xintec, Taiwan Stock Exchange for GUC) but not the ticker symbols, so target_ticker is null rather than a remembered code.
- Names of the individual FVTOCI equity investees. The 20-F note 9 gives only the aggregate NT$8,797.2 million non-public and NT$3,956.1 million public split, with no investee names or percentages.
- Whether TSMC holds any stake in a private company large enough to matter that is not captured by the associate note or the FVTOCI aggregate. I checked the 20-F notes on investments accounted for using the equity method (note 14), financial assets at FVTOCI (note 9) and financial assets at amortised cost (note 10), and found nothing further.
- Percentages as filed for the bottom four annual report register rows (Vanguard Emerging Markets, New Labor Pension Fund, iShares Core MSCI EM, EUPAC Fund). A page break truncated the percentage column in the extracted table, so those four were computed from the filed share counts against the filed 25,932,524,521 share denominator.
- The 2025 Annual Report full PDF exceeded the fetch size limit and TSMC's site blocks direct curl behind Cloudflare, so the register came from the chapter 4 PDF. The SEC EDGAR HTML copies of TSMC filings returned HTTP 403, so the CIK 0001046179 was taken from EDGAR archive URL paths in search results rather than from a filing page I opened directly.
- Value in the register is null for every holder. TSMC does not disclose it and I did not multiply share counts by a TWSE price, because I did not fetch a TWSE close for 2330 on either as-of date.
