Wilson Wolf develops and manufactures cell culture devices for cell and gene therapy, built around the G-Rex line of gas permeable rapid expansion vessels. A G-Rex container has a gas permeable membrane at its base, so cells settle onto it and take oxygen directly while sitting under a deep column of medium, which allows T cells, natural killer cells and hematopoietic stem cells to be grown to clinical scale with fewer feeding steps and less handling than flasks or bags require. Founded in 1998 and based in St. Paul, Minnesota, the company sells the devices to hundreds of cell and gene therapy developers and manufacturers, and in 2020 it joined Bio-Techne and Fresenius Kabi in forming ScaleReady, a venture that packages cell culture, activation, gene editing and cell processing tools into a single offering.
Source
Wilson Wolf Manufacturing Corporation files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from About Wilson Wolf, G-Rex for cell therapy manufacturing (Wilson Wolf) and Bio-Techne completes investment in Wilson Wolf (Bio-Techne investor relations). The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- Bio-Techne Corporation, as of 31 Mar 2026. Confirmed directly from Bio-Techne's Q3 FY2026 10-Q (period ended 31 Mar 2026, the newest filing on EDGAR as of this research: the FY2026 10-K had not yet been filed as of 20 Aug 2026, two days before this company's usual ~22 Aug 10-K filing date). In Dec 2021 (fiscal 2022) Bio-Techne paid $25 million to enter a two-part forward contract requiring an initial ownership investment followed by purchase of the full equity interest in Wilson Wolf if revenue/EBITDA thresholds are met. During the quarter ended 31 Mar 2023 Wilson Wolf met the EBITDA target (approximately $92 million annual revenue or $55 million EBITDA), triggering the first part: on 31 Mar 2023 Bio-Techne paid an additional $232 million to acquire 19.9% of Wilson Wolf, stated explicitly as a percentage in the filing (not modelled). No share count is disclosed for the private target, so shares is null and the equity-method carrying value is reported instead. This 19.9% equity-method investment is carried on the balance sheet within Other Assets at $231,028 thousand as of 31 Mar 2026 (down from $235,983 thousand at 30 Jun 2025 per the FY2025 10-K, after $4.6 million in tax distributions received during the nine months ended 31 Mar 2026); this carrying value is NOT a fair-market valuation, it is the equity-method book balance, so it is reported here as filed with that caveat. Since the first part of the forward contract has triggered, the second part automatically triggers and requires Bio-Techne to acquire the remaining 80.1% of Wilson Wolf on 31 Dec 2027 at a price based on approximately 4.4x trailing twelve month revenue (or accelerated earlier if Wilson Wolf hits a second milestone of approximately $226 million annual revenue or $136 million annual EBITDA, in which case the price would be approximately $1 billion plus potential additional consideration). As of 31 Mar 2026 the second milestone had not been met. Exhibit 21 of the FY2025 10-K was checked and does NOT list Wilson Wolf (correctly, since Bio-Techne does not consolidate it and holds only a minority equity-method stake), and carries no ownership-percentage column at all (a bare name list of wholly owned subsidiaries), consistent with the percentage coming from the 10-Q prose rather than the exhibit. sourcesource 2source 3
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of Wilson Wolf Manufacturing Corporation where a holder stated one, and are missing where no holder did.
