Address, industry classification, listing and incorporation come from Bio-Techne Corporation's own SEC filer record, so the industry is the SEC's dry classification rather than a marketing label. The headcount is the figure the sources below state for 2025. The description was written for this site in August 2026 from Bio-Techne Corporation Form 10-K for fiscal year ended June 30, 2025, Bio-Techne (Wikipedia) and Bio-Techne investor relations, not taken from any single article.

Description
Bio-Techne Corporation develops, manufactures and sells reagents, instruments and services used in life science research, clinical diagnostics and bioprocessing. The business runs in two segments. Protein Sciences, about 72% of net sales in the fiscal year ended 30 June 2025, supplies proteins, antibodies, small molecules and protein analysis instruments under brands including R&D Systems, Tocris Biosciences, Novus Biologicals and ProteinSimple. Diagnostics and Spatial Biology, about 28%, sells diagnostic controls and calibrators, molecular diagnostics such as the ExoDx Prostate urine test, and in situ hybridization assays and imaging instruments under the Advanced Cell Diagnostics and Lunaphore brands. Consolidated net sales rose 5% to $1.2 billion in fiscal 2025, when the company employed about 3,100 people. Founded in 1976 as Research and Diagnostic Systems, it became publicly traded in 1985 through a merger with Techne Corporation and is based in Minneapolis, Minnesota.

The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 572 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
572 managers reported a position, together holding 177.4m shares, or 113.3% of the company. The 40 largest are listed. Percentages are of the 156.6m shares outstanding at 29 Apr 2026, the count in force when this quarter was measured rather than the count today.
This adds up to more than the whole company, and that is what the filings say. A 13F total can exceed 100% because the same share can be reported twice: when a holder lends stock, the borrower sells it to someone else, and both the lender's manager and the new buyer's manager report it. The gap tracks how heavily a stock is shorted. It is a property of 13F rather than a fault in this data, so it is shown as filed, and it cannot be used as evidence that a particular holder's stake is large.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Newest filing identified by date: Bio-Techne's fiscal year ends 30 June. The Q3 FY2026 10-Q (period ended 31 Mar 2026, filed 6 May 2026) is the newest filing on EDGAR as of this research (20 Aug 2026); the FY2026 10-K had not yet been filed (Bio-Techne's 10-K has historically filed around 22-24 August, one to four days after this research date). The FY2025 10-K (period ended 30 Jun 2025, filed 22 Aug 2025) was used only for Exhibit 21 and for the prior-period Wilson Wolf carrying value comparison.
- Stock split: Bio-Techne executed a 4-for-1 stock split effected as a stock dividend on 29 Nov 2022 (confirmed in the FY2025 10-K, Note 1: 'All share and per share amounts presented herein have been retroactively adjusted to reflect the impact of the stock split'). Every filing used in this research (all Q2 2026 13F-HRs, the 2025 DEF 14A, the FY2025 10-K, the Q3 FY2026 10-Q) postdates the split and is already reported on the post-split basis, so no restatement was needed for any figure in this file.
- The Wilson Wolf minority stake was researched as an UNVERIFIED LEAD from general knowledge and then CONFIRMED directly from Bio-Techne's own Q3 FY2026 10-Q and cross-checked against the FY2025 10-K: Bio-Techne holds a 19.9% equity-method interest in Wilson Wolf Corporation (private, cell culture devices), acquired for $232 million on 31 Mar 2023 under a forward contract that obligates Bio-Techne to acquire the remaining 80.1% on 31 Dec 2027 (or sooner on a revenue/EBITDA milestone). The percentage (19.9%) is stated explicitly in the filing, so it is sized as a percentage per the project's rule; the dollar figure recorded is the equity-method carrying value ($231,028,000 as of 31 Mar 2026), not a fair-market valuation and not a share count (none is disclosed for the private target).
- Spear Bio is a second, smaller private minority stake (cost-method, $15 million, less than 20% ownership per the filing's own qualitative language, no exact percentage disclosed) and is reported unsized (pct_of_target: null) rather than assumed at 19.9% or any other specific figure.
- Exhibit 21 (subsidiaries list) of the FY2025 10-K was checked and is a bare name list of wholly owned subsidiaries with no ownership-percentage column and no Wilson Wolf or Spear Bio entries (correct, since neither is consolidated); this is a genuine negative, not evidence of an incomplete search.
- Searched the Q3 FY2026 10-Q and the FY2025 10-K in full for: 'equity method', 'non-marketable equity' (not found, filer does not use this exact term; uses 'equity method investment' and 'cost-method' instead), 'joint venture' (only generic risk-factor boilerplate about future M&A activity, no actual disclosed JV beyond Wilson Wolf), 'variable interest entity' (not found), and 'unrealized gain' (present only for derivative/hedging instruments, unrelated to equity holdings). No holdings beyond Wilson Wolf and Spear Bio were found.
- Register self-gate, computed on this final file per the project's chart arithmetic (raw shares summed; no row has rolls_up_into so nothing is reduced): 12 rows summing to 77,425,901 shares (the Officers and directors as a group row, an insider row with nothing rolling into it, counts at full value), against shares_outstanding of 156,568,751, giving 49.45%. This is within the acceptable band (below the 55% ceiling that requires extra corroboration) but toward the high end, so it was corroborated two ways: first, every curated row corresponds to a distinct filer family also present at a comparable size in this project's own 31 Mar 2026 register snapshot (data/registers/TECH.json), with no row invented or duplicated; second, that snapshot's own total_shares_reported (177,392,487 across 572 filers) already exceeds Bio-Techne's shares_outstanding (156,568,751) by about 13%, which is the expected pattern of routine 13F double-counting (sub-advisers and custodians both reporting the same shares) for a stock that is close to fully institutionally held, so a top-12 register at 49% is unsurprising rather than anomalous.
- Wellington Management Group LLP (CIK 0000902219), which appeared at 5,120,185 shares in the 31 Mar 2026 register snapshot (would have ranked among the top 6 holders), was checked directly against its own Q2 2026 13F-HR and found to hold only 10,305 shares as of 30 Jun 2026, a real and large reduction confirmed in the fresh filing (not a data error: 2 lines, both readable, implied price consistent with every other holder). Per the project's rule to prefer the fresh 13F, Wellington is excluded from the top-12 register rather than shown at its stale, much larger snapshot figure; this is recorded here rather than left as a silent gap.
- Maverick Capital Ltd was similarly down sharply from the snapshot (4,739,721 to 1,535,610 shares), also confirmed directly in the fresh Q2 2026 13F-HR and included at its current, smaller size.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Wilson Wolf's total equity value / implied enterprise value is not disclosed anywhere in Bio-Techne's filings beyond the mechanics of the forward contract (the $232 million paid for 19.9% is not stated to represent any particular valuation multiple at that time), so no market-style valuation of Wilson Wolf as a whole could be derived.
- Spear Bio's exact ownership percentage (only bounded as 'less than 20%') and any post-2024 fair value are not disclosed; the $15 million carrying value is a cost basis, not a mark-to-market figure.
- The precise reason for Wellington Management's and Maverick Capital's large Q1-to-Q2 2026 reductions (partial sale, reallocation, etc.) is not disclosed in the 13F itself, which reports only positions, not trade rationale.
- No 13D/13G filings by any strategic or activist holder (as opposed to routine 13F index/active managers) were found for Bio-Techne in this research; the register above is therefore built entirely from 13F-HR filings and the 2025 DEF 14A's insider table, with no sovereign, strategic corporate, or activist holder identified at any size.
