Who owns U.S. PO Joint Venture
One company in the researched set discloses a stake in U.S. PO Joint Venture, none of it sized by anyone who discloses it. The U.S. PO Joint Venture is a Texas propylene oxide manufacturing venture between Lyondell Chemical Company and Covestro PO LLC, a subsidiary of the German polymer maker Covestro AG, which inherited the interest when it was spun out of Bayer. It owns the propylene oxide and tertiary butyl alcohol plants at the Bayport complex in Pasadena, Texas and the PO/SM I plant at Channelview, Texas. The venture is a production vehicle rather than a trading company: LyondellBasell runs the plants and arranges delivery logistics, each partner funds its share of capital spending and reimburses operating costs, and each takes its output in kind, with Covestro entitled to 680 thousand tonnes of propylene oxide a year and LyondellBasell taking the balance of the propylene oxide plus all co-products such as styrene and tertiary butyl alcohol derivatives. Propylene oxide from the site goes into polyurethane foams, propylene glycol and glycol ethers.
Source
U.S. PO Joint Venture files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from LyondellBasell Industries N.V. Form 10-K for 2025, Lyondell Chemical Co. Form 10-K for 2005 and LyondellBasell's Bayport Complex Propylene Oxide Plant Turns 50 (LyondellBasell news release). The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- LyondellBasell Industries N.V.. Note 10 (Equity Investments) to the FY2025 10-K lists 'U.S. PO Joint Venture' at 60.62% ownership as of both 31 Dec 2025 and 31 Dec 2024. This is a 60.62 percent interest, written as the number 60.62, not as a fraction of 100. The 10-K's Properties section separately describes a Covestro/Lyondell Chemical joint venture holding the Bayport PO/TBA plants and the Channelview PO/SM I plant, consistent with a US propylene-oxide venture. Exhibit 21.1 separately lists two US legal entities at an LYB interest of 50% each (PO JV, LP, held via PO Offtake, LP; and Technology JV, LP, held 49% by Lyondell POTechLP, Inc. plus 1% by Lyondell POTechGP, Inc.) which may be the underlying legal vehicles for this combined 60.62% economic interest, but the 10-K does not disclose the reconciliation, so this is reported as its own row rather than assumed identical to either Exhibit 21 entity. Carried within the combined 'Equity investments' balance sheet line ($3,963 million at 31 Dec 2025; $3,875 million at 30 Jun 2026), so value_usd is null. sourcesource 2
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of U.S. PO Joint Venture where a holder stated one, and are missing where no holder did.
