The Thacker Pass joint venture, incorporated as Lithium Nevada Ventures LLC, owns and is building the Thacker Pass lithium mine and processing plant in Humboldt County, northern Nevada, about 60 miles northwest of Winnemucca at the southern edge of the McDermitt Caldera. The deposit is a sedimentary claystone lithium resource with 44.5 million tonnes of lithium carbonate equivalent in measured and indicated resources. Phase one is designed to produce 40,000 tonnes a year of battery quality lithium carbonate: construction started in March 2023, mechanical completion is targeted for late 2027 and commercial production is expected to ramp through 2028. Lithium Americas contributed the deposit, permits and project team and manages construction and operations, while General Motors contributed cash and credit support and has contracted to take all of phase one output for twenty years. A 2.23 billion dollar US Department of Energy loan under the Advanced Technology Vehicles Manufacturing programme funds the build.
Source
Thacker Pass lithium joint venture with Lithium Americas Corp files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from Thacker Pass project overview (Lithium Americas Corp), Amended and Restated Limited Liability Company Agreement of Lithium Nevada Ventures LLC, Exhibit 99.1 to Lithium Americas Form 6-K, 23 December 2024 (SEC) and Lithium Americas Corp Form 6-K, 23 December 2024 (SEC). The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- General Motors Company. General Motors' own FY2025 10-K discloses only a cash-flow-statement footnote: '$(0.3) billion investment in Lithium Americas in the years ended December 31, 2024 and 2023', with no ownership percentage and no 2025 cash outflow, and the Q2 2026 10-Q contains zero mentions of 'Lithium Americas' or 'Thacker Pass' in its full text (both terms searched directly). The 38% asset-level ownership figure and the $625 million total contribution (comprising $330 million cash at JV closing, $100 million cash at Final Investment Decision for Phase 1, and a $195 million letter of credit facility supporting DOE loan reserve accounts) instead come from Lithium Americas' own investor news release announcing the investment agreement dated 16 October 2024. Because this figure was not read directly in a GM SEC filing, basis is press_report and confidence is reported rather than filed, per the brief. If still held, this stake would be folded into GM's unnamed 'Other investments carrying amount $2,221 million' (31 Dec 2025) equity-method bucket rather than shown as its own line, consistent with the absence of a named GM-side carrying value anywhere checked. The U.S. Department of Energy separately holds a 5% stake in Lithium Americas Corp and a 5% stake in the Thacker Pass JV itself, per third-party reporting; this does not change GM's stated 38% asset-level interest per the same sources. sourcesource 2
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of Thacker Pass lithium joint venture with Lithium Americas Corp where a holder stated one, and are missing where no holder did.
