Technology JV, LP is a Delaware limited partnership that holds the manufacturing technology and patent rights for producing propylene oxide and licenses that technology to its partners. It was set up in 2000 alongside a sister partnership, PO JV, LP, which owns two propylene oxide plants in Texas, as part of the arrangement under which Bayer bought Lyondell's polyols business and the two companies entered a fifty year propylene oxide supply venture: Lyondell contributed the process technology and operates the plants, while the Bayer side contributed the cash and takes propylene oxide in kind to feed its polyurethanes business. The Bayer interest passed to Covestro when Bayer spun off its materials science arm in 2015, and the partnership continues as part of what LyondellBasell reports as its US propylene oxide joint venture.
Source
Technology JV, LP files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from Baypo Limited Partnership v. Technology JV LP, Delaware Court of Chancery (FindLaw), LyondellBasell Industries Exhibit 21 subsidiary list, 2025 Form 10-K (SEC), LyondellBasell Industries 10-K for 2025 (SEC) and Baypo Ltd. Partnership v. Technology JV, LP (CourtListener). The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- LyondellBasell Industries N.V.. Exhibit 21.1 to the FY2025 10-K (filed 20 Feb 2026) states that Lyondell POTechLP, Inc. (49%) and Lyondell POTechGP, Inc. (1%) owns a 50% interest in Technology JV, LP. This is a 50 percent ownership interest, written here as the number 50, not as a fraction of 100. Note 10 (Equity Investments) separately reports a combined 'U.S. PO Joint Venture' at 60.62% ownership, which does not match this single legal entity's 50% figure. This entity is one of at least two US propylene-oxide-related legal entities in Exhibit 21 (PO JV, LP and Technology JV, LP, both at an effective 50% LyondellBasell interest) that may roll up into the Note 10 'U.S. PO Joint Venture' economic interest; the 10-K does not disclose how the 60.62% figure is derived from the underlying entities, so the relationship is noted but not fully reconciled. LyondellBasell's balance sheet carries a single combined 'Equity investments' line ($3,963 million at 31 Dec 2025 per the 10-K; $3,875 million at 30 Jun 2026 per the most recent 10-Q) covering all equity-method investees together, so no individual carrying value is disclosed for this venture: value_usd is null. sourcesource 2
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of Technology JV, LP where a holder stated one, and are missing where no holder did.
