In September 2025, Sempra agreed to sell 45% of SI Partners' outstanding Class A Units and all general partner interests to 'the KKR Partners' for an aggregate base purchase price of approximately $9.99 billion, subject to adjustments (capex true-ups, $338 million of KKR Partners' transaction fees deducted, a $340 million development credit Sempra pays KKR Partners, and post-closing adjustments tied to certain wind facilities). Subject to closing, the KKR Partners will own 65% of SI Partners, Sempra will retain 25%, and ADIA will retain its 10%; Sempra would then deconsolidate SI Partners and account for its 25% under the equity method. As of the Q2 2026 10-Q (period ended 30 June 2026, filed 6 August 2026), the transaction had NOT closed: SI Partners' assets and liabilities remain classified as Held for Sale, and Sempra still consolidates SI Partners today (KKR Pinnacle's 20% and ADIA's 10% currently reported as noncontrolling interests, not as equity-method partners).
