MGM Osaka Corporation is the Japanese venture through which MGM Resorts International and ORIX Corporation are developing Japan's first integrated resort, on the reclaimed island of Yumeshima in Osaka Bay. Its operating company, Osaka IR KK, signed an implementation agreement with Osaka Prefecture and Osaka City in 2023 after the national government certified the area development plan, and broke ground on the site in April 2025 for a scheduled 2030 opening. The resort is planned around three hotels with about 2,500 rooms, a casino, a large convention and exhibition centre, a theatre, and retail and dining, financed in part by a syndicated Japanese bank facility supported by the core shareholders. MGM contributes resort development and casino operating practice while ORIX contributes Japanese capital, real estate and local partnerships alongside minority Kansai shareholders.
Source
MGM Osaka Corporation files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from MGM Resorts International Form 10-K for 2025, MGM Resorts' Joint Venture Signs Implementation Agreement for Integrated Resort in Osaka, Japan, MGM-ORIX consortium breaks ground on Osaka IR project and ORIX and MGM Consortium Selected as Prospective IR Operator, Yumeshima, Osaka. The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- MGM Resorts International, as of 30 Jun 2026. Written as 39, not 0.39, matching the Q2 2026 10-Q (Note 1): 'As of June 30, 2026, the Company also has a 39% ownership interest in MGM Osaka Corporation ("MGM Osaka"), an unconsolidated affiliate, which is developing an integrated resort in Osaka, Japan.' The same note discloses the interest is NOT static: 'In April 2026, the Company's ownership interest in MGM Osaka decreased from 50% to approximately 39% due to equity funding by other shareholders, and in July 2026, the Company's ownership interest in MGM Osaka increased to approximately 40% due to equity funding by the Company.' The 39% figure and the $544 million carrying value are both stated as of the same date (30 Jun 2026), so they are used together here; the subsequent increase to approximately 40% (July 2026, after the quarter end) is recorded in notes but has no associated carrying value disclosed as of this filing, so it is not used to update this row. MGM Osaka is a VIE of which MGM is not the primary beneficiary (does not have unilateral power to direct significant activities), so it is not consolidated. shares is null because this is a private Japanese company ownership interest, not shares of a listed class comparable to company.shares_outstanding. sourcesource 2
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of MGM Osaka Corporation where a holder stated one, and are missing where no holder did.
