The Bellagio REIT Venture is the property owning partnership that holds the land and buildings of the Bellagio resort and casino on the Las Vegas Strip, formed in November 2019 when Blackstone Real Estate Income Trust bought the real estate from MGM Resorts International in a sale and leaseback. The venture is a landlord and nothing more: it collects rent under a long term triple net lease that began at 245 million dollars a year, with an initial 30 year term and two ten year extension options, while an MGM subsidiary remains the tenant and continues to run the hotel, casino, restaurants and the fountains, and carries the operating and capital expenditure obligations for the property.
Source
Bellagio REIT Venture (landlord of Bellagio) files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from MGM Resorts Selling Bellagio Assets to Blackstone for Approximately $4.2 Billion (Nareit), Bellagio sold to Blackstone in $4.2B leaseback deal (Las Vegas Review-Journal) and Blackstone Real Estate Income Trust Form 10-Q, quarter ended 30 September 2019 (SEC). The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- MGM Resorts International. Written as 5, matching the Q2 2026 10-Q (Note 1): 'Bellagio REIT Venture (the landlord of Bellagio, which is a venture in which the Company has a 5% ownership interest) ... [is a VIE] in which the Company is not the primary beneficiary.' The FY2025 10-K separately mentions 'our investments in Bellagio REIT Venture ... and VICI Properties OP LLC ("VICI OP"), the owner of the landlords of certain of our domestic properties' in the context of a shortfall-guarantee and tax-protection-agreement risk factor (deferred tax gains that would be triggered if MGM stopped providing the guarantee), not in the context of a current equity ownership disclosure of VICI OP; no share count, percentage, or value for any MGM interest in VICI OP itself was found anywhere in the 10-K or 10-Q (see notes on the VICI/MGP reconciliation). value_usd is left null: the 10-Q discloses only a combined 'Investments in and advances to unconsolidated affiliates' balance of $638 million covering BetMGM, MGM Osaka (carved out separately at $544 million), Bellagio REIT Venture, and other minor affiliates together, and the split of the remaining roughly $94 million among BetMGM, Bellagio REIT Venture, and other affiliates is not disclosed, so per the project's rule against assigning a combined balance to one investee this is left null. sourcesource 2
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of Bellagio REIT Venture (landlord of Bellagio) where a holder stated one, and are missing where no holder did.
