Fox Corporation, commonly known as Fox Corp or Fox, is an American multinational mass media company headquartered at 1211 Avenue of the Americas in Midtown Manhattan with offices also in Burbank, California. Named after William Fox and incorporated in Delaware, it was formed as a spin-off of 21st Century Fox's television broadcasting, news, and sports assets on March 19, 2019. 21CF's remaining assets were acquired the next day by The Walt Disney Company. Fox Corp is controlled by Lachlan Murdoch through a family trust with 36% voting shares. Rupert Murdoch is chairman emeritus, while his son Lachlan Murdoch is chairman and CEO.

What a reader needs to know to read these numbers
- DUAL CLASS, FAMILY-CONTROLLED COMPANY, BOTH CLASSES EXCHANGE-LISTED. Fox Corporation has Class A Common Stock (Nasdaq: FOXA, effectively non-voting: per the FY2026 10-K, 'Holders of Class A Common Stock are entitled to vote only in [certain limited circumstances]', and the 2025 DEF 14A's own beneficial-ownership table labels the Class A column 'Non-Voting Class A Common Stock') and Class B Common Stock (Nasdaq: FOX, one vote per share on essentially all matters, including director elections, per the FY2026 10-K: 'holders of Class B Common Stock are entitled to one vote per share on all matters on which stockholders have the right to vote'). Unlike some other dual-class companies researched in this project (e.g. Tyson Foods, where only Class A is exchange-listed), Fox lists BOTH classes, so 13F filers report positions in either or both classes under two different CUSIPs (35137L105 for Class A / FOXA, 35137L204 for Class B / FOX); every institutional register row above states both CUSIPs' figures.
- company.shares_outstanding is set to the COMBINED total, 419,650,149 (199,401,385 Class A + 220,248,764 Class B, both as of 4 Aug 2026 per the FY2026 10-K cover page, the freshest count found), following this project's established precedent for controlled dual-class companies (Workday, Block, Lennar, Tyson Foods): the register chart divides raw row 'shares' by this single denominator and never reads pct_of_company, and since LGC Holdco's Class B holding is put directly into the 'shares' field on its own row, the denominator must include Class B or that row (and the derived self-gate total) would be badly overstated as a fraction of Class A alone.
- VOTING CONCENTRATION, the real story. The Murdoch Family Trust itself no longer holds Fox stock: per the FY2026 10-K, 'all of the shares of FOX Class A Common Stock and the majority of the shares of FOX Class B Common Stock formerly held by the Murdoch Family Trust have been transferred to LGC Holdco, LLC,' a Delaware LLC owned by trusts for the benefit of Lachlan K. LGC Holdco directly owns 85,372,810 Class B shares (approximately 38.76% of the 220,248,764 Class B shares outstanding as of 4 Aug 2026, per Schedule 13D/A Amendment No. 1 filed 16 Jun 2026) plus 19,000 Class A shares (2025 DEF 14A). Because Class B carries essentially all of the company's voting power (Class A votes only in narrow, non-ordinary circumstances), LGC Holdco alone controls approximately 38.76% of Fox's aggregate voting power on ordinary matters such as director elections. Voting and disposition of LGC Holdco's shares are, subject to limited exceptions, decided solely by a single managing director of Cruden 2, LLC (LGC Holdco's sole manager), a managing director who is appointed and may be replaced by Lachlan K. Murdoch, Fox's Executive Chair and CEO; as a result Murdoch may be DEEMED the beneficial owner of LGC Holdco's shares even though he expressly disclaims beneficial ownership of them (2025 DEF 14A footnote 9; Schedule 13D/A). A stockholders agreement caps LGC Holdco, the LGC Family Trusts and the 'Murdoch Individuals' (Lachlan K. - LGC HOLDCO SITS INSIDE TWO CONTAINERS in the 2025 DEF 14A. It is its own 'Over 5% Beneficial Owner' row AND its Class B shares are entirely reflected inside Lachlan K. This is the documented Marriott/JWM-style two-container case, distinct from the Tyson/Walmart-Walton case (where the family vehicle is explicitly EXCLUDED from the officers table). Resolution used here: LGC Holdco is charted at its full, real, economic-owner value (85,391,810 combined shares); rolls_up_into on the LGC Holdco row names the officers-and-executives aggregate as the single container it reduces, so the aggregate's EFFECTIVE chart contribution is its residual, 2,401,162 shares (87,792,972 minus 85,391,810), representing the other 9 directors'/officers' own holdings plus Lachlan Murdoch's PERSONAL, non-LGC-Holdco holdings (chiefly 1,076,407 Class A shares held by the LKM Family Trust). No separate 'Lachlan K. Murdoch' row was written, to avoid representing the same LGC Holdco stake a third time.
- 13F / CUSIP BASIS: every institutional 13F filer in this register (Vanguard family, BlackRock, State Street, Goldman Sachs, Dodge & Cox, Independent Franchise Partners, Geode, T. Rowe Price Associates) was checked against BOTH Fox CUSIPs (35137L105 Class A / 35137L204 Class B) via scripts/filing.py 13f, and every one holds both classes; each row's shares and value_usd are the COMBINED total across both CUSIPs, with the Class A/Class B split given in method_note and in pct_denominator. This is the 'one instrument, one basis' check applied to a company where a single holder genuinely reports the same economic position across two different CUSIPs, rather than the Blackstone-units or pre/post-split failure modes described in the brief.
- HOLDINGS SIDE: two positions found and verified from the FY2026 10-K (filed 6 Aug 2026, for fiscal year ended 30 Jun 2026, which is FRESHER than the last 10-Q, filed 11 May 2026 for the quarter ended 31 Mar 2026, consistent with Fox's 30 June fiscal year-end): (1) Flutter Entertainment plc, approximately 4.3 million ordinary shares (approximately 2.5% of Flutter), $467 million fair value as of 30 Jun 2026 (down from $1,249 million a year earlier, reflecting both Flutter's share price and a $(761) million non-operating loss on this and other equity securities in fiscal 2026); (2) the United Football League (UFL), a private variable interest entity in which Fox's ownership interest was approximately 42% at inception (Jan 2024, when Fox contributed the deconsolidated USFL's net assets) and has since diluted to approximately 32.2% as of 30 Jun 2026, with no current carrying value disclosed (only a one-time $170 million gain recognized at inception in fiscal 2024). No class mismatch, pre/post-split error or naive double-count was found on re-check: every institutional row is confirmed as a combined Class A (CUSIP 35137L105) + Class B (CUSIP 35137L204) total with the split shown in method_note, LGC Holdco's figure is confirmed against its own fresh June 2026 Schedule 13D/A, and the one genuine double-count risk in this file (LGC Holdco's stake being counted a second time inside the officers/executives proxy aggregate via Lachlan Murdoch's deemed, disclaimed beneficial ownership) is explicitly resolved via rolls_up_into per the Marriott-precedent method. Corroborated first-hand by the coordinator against this project's own 13F-derived register (data/registers/FOXA.json, period 31 Mar 2026, separate pipeline). That register covers BOTH classes, because its CUSIP set is 35137L105 and 35137L204 and the six-character issuer prefix 35137L captures each, so it is directly comparable to the combined A+B denominator used here. It reports total institutional ownership of 292,700,111 shares, 69.75%, with its top EIGHT holders at 42.33%; the eight institutional rows in this file sum to 165,496,530 shares, 39.44%, slightly below that, so the institutional side is if anything under-counted. LGC Holdco, LLC does NOT appear in the 13F data at all, because it is a family holding company reporting on Schedule 13D rather than a 13F filer, which is the same shape as Access Industries at LyondellBasell and 3M at Solventum earlier in this project. The composition reconciles exactly: 165,496,530 institutional plus LGC's 85,391,810 counted at full value as a member plus the officers container reduced to its 2,401,162 residual equals 253,289,502.
- Capital Group (all three main registrants: Capital World Investors CIK 1422849, Capital International Investors CIK 1562230, Capital Research Global Investors CIK 1422848) and T. - The name of the 'sports and entertainment company' in which Fox 'acquired a noncontrolling minority interest... recorded as an equity method investment, initially at cost' in July 2025 (FY2026 10-K, Note 3, Other Transactions) is not disclosed anywhere in the 10-K. No value, ownership percentage or investee name could be found, so no holdings row could be created for it.
- Caliente / Caliente Interactive, named as a candidate holding in the research brief, was searched for by name in the FY2026 10-K ('Caliente': 0 hits) and not found; it is not clear whether Fox no longer holds this stake, holds it below a disclosure threshold, or it was never a Fox position. Not recorded as either a holding or a confirmed exit.
