What a reader needs to know to read these numbers
- SHARE BASIS, the dominant risk for this company. DuPont effected a 1-for-3 reverse stock split of its common stock, effective 24 Jun 2026 (announced 26 May 2026), which reduced authorized shares from approximately 1.7 billion to 556 million and retroactively restated all share and per-share figures in the Q2 2026 10-Q. Separately, on 1 Nov 2025 DuPont completed the Electronics Separation: the spin-off of its semiconductor and interconnect solutions businesses into an independent public company, Qnity Electronics, Inc. ('Qnity'), via a pro rata distribution to DuPont stockholders of record as of 22 Oct 2025. The Qnity spin-off did not itself change DuPont's own share count (it was a distribution of Qnity shares, not a change to DuPont's share structure), but it did remove the Electronics segment from DuPont's continuing operations (reported as discontinued operations in all periods). The current, single-class share count used throughout this file is 135,042,975 shares outstanding at 31 Jul 2026 (Q2 2026 10-Q cover page), which is POST the 24 Jun 2026 reverse split.
- Register basis handling. All institutional 13F filings used here are for the quarter ended 30 Jun 2026, filed in Aug 2026, i.e. AFTER the 24 Jun 2026 reverse split took effect within that same quarter. Checked directly: every 13F filer's implied price per share (value_usd / shares) clusters tightly around $135.6 to $135.7, matching DuPont's actual post-split trading range, and all use the same CUSIP 26614N201, confirming these are already reported on the post-split basis with no restatement needed. The one exception found was T. Rowe Price Associates, Inc., which reports values in THOUSANDS (see its row's method_note): its raw implied price was approximately $0.136 per share, corrected by multiplying value by 1,000.
- The 2026 DEF 14A (filed 10 Apr 2026, ownership table as of 7 Apr 2026) predates the 24 Jun 2026 reverse split, so its own share counts (409,877,186 total shares outstanding, and every individual director/officer figure) are on the PRE-split basis. For the three insider rows drawn from this proxy (Breen, Koch, the 16-person group), shares were restated to the post-split basis by dividing by 3 and rounding to the nearest whole share; pct_of_company was left as the proxy's own as-filed ratio (numerator and denominator both pre-split), which a split does not change. The proxy's own 'Certain Other Owners' figures for Vanguard (48,043,862 shares, 11.72%, pre-split) and BlackRock (30,389,248 shares, 7.41%, pre-split) are NOT used in the register: the directly sourced Q2 2026 13F filings above are more current (30 Jun 2026 vs a stale 13G/13D reference date implied by the proxy footnotes) and are already on the correct post-split basis.
- Aramids Divestiture (asset sale, not a DuPont share-structure change). On 1 Apr 2026 DuPont completed the sale of its Aramids business to Arclin (a portfolio company of TJC LP) for approximately $1.2 billion cash, a $300 million note receivable, and a roughly 16 percent non-controlling equity interest in New Arclin U.S. Holding Corp, now recorded as a holding in this file.
- Holdings side. DuPont's Q2 2026 10-Q, Note 10 (Nonconsolidated Affiliates), states the Company held an ownership interest in three nonconsolidated (equity-method) affiliates at 30 Jun 2026, with net investment totaling $458 million (up from $111 million at 31 Dec 2025, before the Aramids Divestiture closed).
