What a reader needs to know to read these numbers
- DUAL-CLASS STRUCTURE. Dell Technologies has four authorized series of common stock. Per the Q1 FY2027 10-Q cover page (as of 2 Jun 2026): Class C Common Stock, 324,873,640 shares, 1 vote/share, the ONLY class listed (NYSE: DELL); Class A Common Stock, 276,744,341 shares, 10 votes/share, unlisted, held almost entirely by Michael Dell; Class B Common Stock, 46,490,010 shares, 10 votes/share, unlisted, held almost entirely by Silver Lake (SLP Stockholders); Class D Common Stock, 0 shares issued and outstanding, no vote. company.shares_outstanding (324,873,640) is the Class C count and is the sole denominator for pct_of_company on every register row here except the four Michael Dell / Silver Lake / SLD Trust / directors-officers rows, each of which reports its Class C share count and percentage only, with its far larger Class A or Class B block described but NEVER counted in shares or pct_of_company, per the brief's core rule for this company.
- VOTING POWER VS ECONOMIC OWNERSHIP. Dell's 2026 DEF 14A states Dell Technologies is a 'controlled company' because Michael Dell's Class A plus Class C holdings represent 'more than 50% of the total voting power' but does not itself state an exact voting percentage. Silver Lake's Class B (47,789,758 sh, 100% of Class B) plus Class C (134,596 sh) holdings imply approximately 13.4% of total voting power. Both figures are derived arithmetic (modelled from filed inputs), not numbers the proxy itself states; see each row's method_note for the calculation. Separately, and NOT the same measure, the proxy states Michael Dell's economic ownership (Class A plus Class C, unconverted, no vote weighting) at 40.9% of all outstanding Dell common stock combined, and Silver Lake's at 7.4%; these combined-economic percentages use a different, broader denominator (all classes together) than pct_of_company in the register (Class C only), and are not written into pct_of_company anywhere in this file to keep one instrument on one basis.
- The register's pct_of_company field for Michael Dell, Silver Lake, the SLD Trust and the directors/officers group is DELIBERATELY the small Class C-only percentage (5.8%, 0.041%, 0.425%, 7.113% respectively), not the larger combined-class economic percentage (40.9%, 7.4%, 4.8%, 41.5%) and not the voting-power percentage (69.7%, 13.4%). All three measures are recorded, but only the Class C figure sits in the schema's shares/pct_of_company fields, because that is the field every institutional 13F row also uses, and mixing bases within one column is the exact error this brief warns against.

All three Capital Group 13F filers named in this project's verified manager list were checked individually against their own Q2 2026 13F-HR: Capital World Investors (CIK 0001422849), Capital International Investors (CIK 0001562230), and Capital Research Global Investors (CIK 0001422848). None of the three holds any position under Dell's CUSIP 24703L202 (searched first for 'DELL TECHNOLOGIES', then re-checked with the shorter fragment 'DELL'; all three matched only an unrelated LyondellBasell Industries NV line under a different CUSIP, N53745100, confirming the search terms work and the absence is real). This is NOT the Vanguard successor case: Capital Group's three entities are independent filers that may or may not each hold a given issuer, not a parent/successor pair where one MUST be summed into the other. No Capital Group row is included in this register as a result; see unknowns for what was checked.
- THOUSANDS TRAP. T. Rowe Price Group's Q2 2026 13F-HR reports its Dell value field in whole thousands of dollars rather than whole ddollars (filed value $970,354 against 2,249,000 shares, implying $0.43/share). Every other Q2 2026 Dell 13F holder checked in this file implies approximately $431.5/share, the 30 Jun 2026 quarter-end mark. T. Rowe Price's value_usd is rescaled x1,000 to $970,354,000 in the register row; shares are unaffected.
- HOLDINGS: NONE FOUND, AND WHY. The Q1 FY2027 10-Q (period ended 1 May 2026, filed 9 Jun 2026) and the FY2026 10-K (period ended 30 Jan 2026, filed 16 Mar 2026) were both searched for 'equity method', 'unconsolidated', 'joint venture', 'strategic investment', 'VMware', 'Secureworks', 'Pivotal', 'equity securities' and 'non-marketable'. Neither filing contains the phrase 'equity method', 'unconsolidated' or 'joint venture' anywhere: Dell reports no equity-method investees. VMware: the only VMware references are indemnification and tax-matter provisions surviving the 2021 spin-off/distribution and a 'VMware Resale' channel-reseller relationship; Dell holds no VMware equity. Secureworks: both filings confirm SecureWorks Corp. was majority-owned and consolidated only 'through the date of the sale of Secureworks'; it is fully divested and no longer held. Pivotal: zero hits in either filing (Pivotal Software was acquired by VMware in 2019, before the VMware spin-off, and was never a Dell equity-method holding). Dell does carry a combined 'strategic investments' balance in equity and other securities: $2.5 billion total as of 1 May 2026 ($1.7 billion as of 30 Jan 2026), split $77 million marketable (publicly-traded) and $2,394 million non-marketable (privately-held, at cost less impairment). Per Note 3 of the 10-Q, a $0.6 billion unrealized gain in Q1 FY2027 was 'related to a single investee', but that investee is NOT named anywhere in either filing (searched directly for xAI, OpenAI, Databricks, CoreWeave and Cohere: zero hits for all five). - MARKET CAP. $308.99 billion and the $478.21 share price are stockanalysis.com's figure as of 17 Aug 2026, 1:30pm EDT (aggregator, applied to all classes of common stock combined, approximately 648.1 million shares, since Class A and Class B participate equally in earnings and are each convertible 1-for-1 into Class C). Cross-check: 648,107,991 total common shares (10-Q cover, 2 Jun 2026) x $478.21 implies approximately $309.93 billion, consistent with the reported figure. A separate web search (investing.com-sourced) returned a slightly different snapshot of $472.13/share and $318.29 billion market cap at a different intraday moment on the same day; both are recorded here as a reconciliation rather than treating either as wrong, and the stockanalysis.com figure is used as the file's single value_usd per the no-em-dash, one-basis convention.
