SPARC Group is a United States apparel retail operating company formed in 2020 to run store fleets, e-commerce and product development for clothing brands whose trademarks are owned by a separate licensor. It grew out of the rescue of retailers that failed during the pandemic and at its height operated Aeropostale, Brooks Brothers, Eddie Bauer, Lucky Brand, Nautica and, for a period, Forever 21, buying the businesses out of bankruptcy and licensing the names from Authentic Brands Group. Its shareholders were Authentic Brands Group, Simon Property Group, Brookfield Corporation and the online retailer Shein, an arrangement that paired a mall landlord's interest in keeping stores occupied with a brand owner's interest in keeping labels trading. In January 2025 SPARC combined with JCPenney in an all equity deal to form Catalyst Brands, a company of roughly 1,800 stores headquartered in Plano, Texas.

SPARC Holdings files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from SPARC Group Has Merged with JCPenney To Form Catalyst Brands (JCPenney newsroom), JCPenney to Combine With SPARC Group, Forming Catalyst Brands (Paul, Weiss) and Catalyst Brands (Wikipedia). The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- Simon Property Group, Inc., as of 30 Jun 2026. 10-Q: 'we continue to hold a 33.3% noncontrolling interest in SPARC Holdings, the former owner of SPARC Group, which now primarily holds a 25% interest in Catalyst.' This is a distinct, indirect holding from the direct 31.3% Catalyst stake above (via SPARC Holdings' own 25% of Catalyst). Value null for the same combined-balance reason as Catalyst. source
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of SPARC Holdings where a holder stated one, and are missing where no holder did.
