Rothmans, Benson & Hedges Inc. is one of Canada's largest tobacco companies, manufacturing and distributing cigarettes and smoke free nicotine products for the Canadian market. It employs more than 700 people, is headquartered in Toronto, runs a cigarette factory in Quebec City and buys leaf through partnerships with about 150 Canadian farmers, selling brands including Benson & Hedges, Rothmans, Belmont, Canadian Classics, Craven A and Number 7 alongside heated tobacco consumables for the IQOS system, and it lobbies Ottawa for excise rules that tax non combustible products differently from cigarettes. The company traces to the Canadian operations of Rothmans International and Benson & Hedges, which were combined in 1986. Since 22 March 2019 it has operated under protection of the Companies' Creditors Arrangement Act by order of the Ontario Superior Court of Justice, a restructuring that lets it continue trading while Canadian tobacco health claims are resolved, and a proposed plan filed in October 2024 would have RBH, Imperial Tobacco Canada and JTI Macdonald pay an aggregate settlement of 32.5 billion Canadian dollars.
Source
Rothmans, Benson & Hedges Inc. (RBH) files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from Rothmans, Benson & Hedges pre-budget consultations submission, House of Commons Finance Committee, August 2024, Philip Morris International Inc. Form 10-K for 2025 (SEC EDGAR) and Rothmans, Benson & Hedges (Wikipedia). The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- Philip Morris International Inc., as of 30 Jun 2026. RBH was PMI's wholly owned Canadian tobacco subsidiary until deconsolidated on March 22, 2019 after entering Companies' Creditors Arrangement Act (CCAA) protection in connection with Canadian tobacco litigation. PMI still accounts for RBH as an equity security without a readily determinable fair value (ASC 321) rather than a consolidated subsidiary, because it lacks a controlling financial interest under ASC 810 pending completion of a court-approved global settlement plan. Carrying value was $51 million at June 30, 2026, down from $569 million at December 31, 2025, after a $511 million non-cash impairment recorded in Q2 2026 when RBH's May 2026 five-year business plan implied a lower fair value. Cumulative impairments and downward adjustments total $3,060 million as of June 30, 2026. PMI's percentage ownership of RBH is not restated in the current filings and is treated here as unsourced (null), though it was 100% before deconsolidation and no share sale is disclosed. source
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of Rothmans, Benson & Hedges Inc. (RBH) where a holder stated one, and are missing where no holder did.
