Prologis Targeted U.S. Logistics Fund, known as USLF, is an open ended core private real estate fund that owns stabilised warehouse and distribution buildings in the main United States logistics markets and leases them to distribution, manufacturing and e-commerce tenants. Established in 2004 and managed by the strategic capital arm of Prologis from Pier 1 in San Francisco, it takes capital from pension plans, endowments and other institutions on a perpetual basis and offers quarterly redemptions, which puts it in the same peer group as the other large open end core diversified vehicles such as Prime Property Fund, Clarion Lion Properties Fund and PRISA. Its Delaware holding partnership had taken in about 18.2 billion dollars from 206 investors by April 2026, and the venture held roughly 139 million square feet of operating buildings with a gross book value near 16.2 billion dollars at the end of 2025.
Source
Prologis Targeted U.S. Logistics Fund, L.P. files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from Prologis Targeted U.S. Logistics Holdings, L.P. Form D/A filed 22 April 2026 (SEC), USQ Core Real Estate Fund annual report on Form N-CSR (SEC) and Prologis, Inc. Form 8-K, fourth quarter 2025 supplemental information (SEC). The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- Prologis, Inc., as of 31 Dec 2025. FY2025 10-K, Note 4 (Unconsolidated Entities), investment-in-individual-ventures table: ownership percentage 31.9% at 31 Dec 2025 (30.5% at 31 Dec 2024), 'Investment in and Advances to Co-Investment Venture' of $3,282,742 thousand = $3,282,742,000. This is Prologis' equity-method carrying value (adjusted cost basis), not a market value; the filing states the carrying value differs from Prologis' pro rata share of the venture's equity due to deferred gains on pre-2018 contributions, capitalized costs, receivables and customer deposits. A fund/venture interest is not a share count, so shares stays null; the interest is a limited-partner/member percentage interest, not common stock. source
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of Prologis Targeted U.S. Logistics Fund, L.P. where a holder stated one, and are missing where no holder did.
