Prolec GE is a transformer manufacturer headquartered in Monterrey, Mexico, that makes power, distribution and pad mounted transformers and transformer components across most ratings and voltages for the generation, transmission and distribution of electricity. It was created in 1995 as a fifty fifty joint venture between the Monterrey industrial group Xignux, which supplied the Mexican manufacturing base and local market position, and General Electric, whose grid business supplied technology, engineering and access to United States utility customers. The company employs around 10,000 people across seven plants in the Americas, five of them in the United States, and expected about 3 billion dollars of revenue in 2025. In February 2026 it ceased to be a joint venture: GE Vernova completed the purchase of Xignux's remaining half for 5.275 billion dollars and folded the business into its Electrification segment, where it now goes to market under the GE Vernova name.
Source
Prolec GE (joint venture with Xignux) files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from GE Vernova to fully acquire Prolec GE joint venture (GE Vernova), GE Vernova completes Prolec GE acquisition (GE Vernova) and Xignux and GE Vernova announce strategic transaction (Xignux). The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- GE Vernova Inc., as of 31 Dec 2025. Equity method investment balance from GE Vernova FY2025 Form 10-K, Note 11: 50% ownership, balance $384 million at 31 Dec 2025 (up from $251 million at 31 Dec 2024). Footnote (d): 'Prolec GE refers to our joint venture with Xignux, which manufactures a wide range of transformers available for generation, transmission and distribution applications and is focused on serving utilities, renewable, and industrial customers.' This is the last disclosed minority-stake figure: on 2 February 2026 GE Vernova acquired the remaining 50% stake from Xignux for approximately $5,254 million cash (announced 21 October 2025), making Prolec GE a wholly owned, consolidated subsidiary as of the Q2 FY2026 10-Q. It is recorded here as a historical equity-method holding at its last measured date, not as a current minority stake. sourcesource 2
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of Prolec GE (joint venture with Xignux) where a holder stated one, and are missing where no holder did.
