It was formed under a settlement agreement and consent order entered in the United States District Court for the District of New Jersey, which resolved a 1997 complaint by Chevron U.S.A. Inc. alleging that operations at the adjacent Sewaren plant of the specialty chemicals maker C.P. Chemicals, Inc. had affected Chevron's neighbouring property. Through the entity, C.P. Chemicals and its parent Phibro Animal Health together with Legacy Vulcan acquired a portion of the Chevron site. The company then carries out whatever investigation and remediation the acquired land requires, and it also assumed responsibility for certain categories of environmental condition on the part of the property Chevron kept. The two partner groups each bear half of the investigation and remediation cost.
