JSC TK Megapolis is a Russian wholesale distributor of consumer goods, principally cigarettes and beverages, which it moves through a direct store delivery network reaching more than 150,000 retail outlets with a workforce of roughly 15,000. It is the distribution arm through which the major international tobacco companies selling in Russia, among them Philip Morris International, Japan Tobacco International and Imperial Tobacco, reach the trade, and at the time those companies invested in it the business handled about 70 percent of the cigarettes sold in the country. The company was previously held through Megapolis Distribution B.V., a Dutch holding company, but in June 2024 the Russian government added it to the list of economically significant organisations subject to forced localisation, and in August 2024 the Arbitrazh Court of the Moscow Region ordered the foreign holding company removed from its shareholding structure. One of its shareholders, Igor Kesaev, has been sanctioned by the European Union, the United States, the United Kingdom and several other governments.
Source
JSC TK Megapolis (TKM) files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from Philip Morris International Inc. Form 10-Q for the quarter ended 30 September 2025 (SEC), Philip Morris to Take 20% Stake In Russia's Megapolis Distribution (RTTNews) and Philip Morris International Inc. Announces Agreement to Acquire a 20% Interest in Russian Megapolis Group (Business Wire). The ownership figures below come from the holders' filings instead, and are sourced row by row.
The disclosed stakes
One row per position. Where a holder reports the same company in two share classes, both rows are shown rather than summed, because the class is part of a position's identity.
Where each figure comes from
A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.
- Philip Morris International Inc., as of 30 Jun 2026. PMI's Q2 2026 10-Q (Item 3, Quantitative and Qualitative Disclosures About Market Risk) states TKM's book value was $0.8 billion at June 30, 2026, including $0.5 billion of cumulative foreign currency translation losses reflected in accumulated other comprehensive loss. This figure rose sharply from the $303 million carrying value disclosed for December 31, 2025 in the same section of the FY2025 10-K and Q2 2026 10-Q. TKM is PMI's tobacco distributor in Russia; PMI holds a 23% equity interest accounted for under the equity method. Note: this $0.8 billion figure, added to STAEM's $0.7 billion (also disclosed as a named investee below), exceeds PMI's separately disclosed total equity method investments of $1,008 million at the same date. This inconsistency in the source filing is recorded, not resolved; see notes. source
What this page is not
It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of JSC TK Megapolis (TKM) where a holder stated one, and are missing where no holder did.
