Greysbridge Holdings Ltd. is a Bermuda holding company created in 2020 as the acquisition vehicle for Watford Holdings Ltd., the Nasdaq listed parent of the Bermuda reinsurer Watford Re. The merger closed on 1 July 2021 at $35.00 a share in cash, funded by equity from Arch Reinsurance Ltd. and funds managed by Kelso & Company and Warburg Pincus, and Watford became a wholly owned subsidiary of the holding company. Watford had been launched in 2014 as a total return reinsurer, pairing underwriting sourced from Arch with a credit heavy investment portfolio; after the takeover the group was renamed Somers Group Holdings and its operating company Somers Re, and it moved to a conventional reinsurance model with a more conservative investment approach.
