The Food Ingredients disposal group is the specialty food ingredients business that International Flavors & Fragrances agreed on 29 May 2026 to sell to funds advised by CVC Capital Partners under a purchase agreement covering substantially all of the assets and certain rights and liabilities used in that business. It makes texturants such as pectin, hydrocolloids and starches, emulsifiers, plant based protein solutions and other specialty ingredients, and sells them to multinational food and beverage manufacturers worldwide. The filing states verbatim: 'As part of the transaction, the Company will retain an approximate 10% equity interest in the business' (elsewhere in the same document phrased as 'the Company has chosen to retain a 10% minority equity interest in the business'). The transaction is expected to close by the end of the second quarter of 2027, subject to customary closing conditions and regulatory approvals, and had NOT closed as of the 10-Q filing date, so IFF does not yet hold this equity interest: it is a contracted FUTURE position, not a current one, which is why shares, value and pct are left null rather than modelled (the 10% figure itself is filed and exact, so it is entered directly rather than as a low/high estimate).
