Flash Alliance is the second of the three Japanese manufacturing ventures, together known as Flash Ventures, that Sandisk runs with Kioxia to produce NAND flash memory. Formed on 7 July 2006 to build and equip Fab 4, a 300 millimetre wafer fabrication plant at the Yokkaichi site in Mie prefecture, it began NAND production at the end of 2007 and was expanded toward a planned capacity of about 150,000 wafers per month. The venture owns or leases the manufacturing equipment while Kioxia owns the buildings and carries out the wafer fabrication, selling the wafers into the venture at cost; the partners then take their share of output at cost plus a small markup, co-develop the process and memory design technology and jointly own it. In January 2026 its term was extended from the end of 2029 to 31 December 2034, aligning its expiry with the other two ventures.

Source

Flash Alliance Ltd. files nothing with the SEC, so none of this comes from a filer record. The description was written for this site in August 2026 from SanDisk Corp Form 10-K for FY2006 (SEC), Sandisk Corp Form 10-K for FY2026 (SEC) and Operating Agreement of Flash Alliance, Ltd. between Toshiba and SanDisk (Justia). The ownership figures below come from the holders' filings instead, and are sourced row by row.

Where each figure comes from

A private stake has no ownership form behind it, so the source is always the holder's own filing or disclosure. Anything modelled says so, with the arithmetic.

What this page is not

It is not a complete register. It lists the holders who happen to be inside the researched set and disclosed the stake themselves. A private company can have many other shareholders, and nothing here rules them out: venture investors, founders and employees usually appear in no public filing at all. Percentages are of Flash Alliance Ltd. where a holder stated one, and are missing where no holder did.
