Description
Viatris Inc. is an American global pharmaceutical and healthcare corporation headquartered in Canonsburg, Pennsylvania. The corporation was formed through the merger of Mylan and Upjohn, a legacy division of Pfizer, on November 16, 2020. The name of the corporation comes from the Latin words via, meaning path, and tris, which means three, referring to the path to three main objectives the corporation set: expanding access to medicines, meeting patient needs through innovation, and earning the trust of the healthcare community.

The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,005 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,005 managers reported a position, together holding 990.2m shares, or 85.0% of the company. The 40 largest are listed. Percentages are of the 1.16bn shares outstanding at 4 May 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- HOLDINGS SIDE, lead 1 (Biocon Biologics / Biocon): Viatris holds NOTHING in Biocon Biologics or Biocon Ltd as of today (18 Aug 2026); this is a confirmed, dated exit, not an unsized position. Per the Q2 2026 10-Q (Note on Investments): in Dec 2025 Viatris entered definitive agreements with Biocon for the sale of its Compulsory Convertible Preference Shares (CCPS) in Biocon Biologics, for total consideration of $815.0 million ($400.0 million cash plus $415.0 million in newly issued equity shares of Biocon Ltd, the LISTED parent of Biocon Biologics, listed and traded on the National Stock Exchange of India). The transaction closed in Q1 2026 and Viatris received the Biocon Ltd equity shares in January 2026, subject to a 6-month lock-up. Viatris then SOLD its entire equity position in Biocon Ltd on 14 July 2026 for pre-tax proceeds of approximately $380 million (a ~2.7% block-sale discount to market applied), recording a pre-tax loss of $27.4 million to be recognized in Q3 2026. So as of the CCPS grant, Viatris' equity was always in Biocon Ltd (the separately NSE-listed parent), never in Biocon Biologics itself, which is a subsidiary of Biocon Ltd, not separately listed; and that Biocon Ltd position has itself now been fully liquidated. No shares are held today, so this is recorded here rather than as a holdings row with shares:null. Source: https://www.sec.gov/Archives/edgar/data/1792044/000179204426000041/vtrs-20260630.htm (Q2 2026 10-Q, Investments note).
- HOLDINGS SIDE, lead 2 (former parent Pfizer): Viatris was formed 16 Nov 2020 by combining Mylan Inc. with Pfizer's Upjohn Business in a Reverse Morris Trust transaction ('the Combination', per the 10-K glossary). Pfizer did NOT retain any equity stake in Viatris: as part of the Combination, Upjohn was first spun off via a pro rata DISTRIBUTION of Viatris shares directly to Pfizer's own stockholders (record date 13 Nov 2020, ~0.124079 Viatris shares per Pfizer share held), after which 'Pfizer no longer held any shares of Viatris' (per Viatris investor-relations FAQ to Pfizer shareholders and Pfizer's own press materials on the transaction). Pfizer stockholders as a group ended up owning ~57% of Viatris and former Mylan shareholders ~43%, but Pfizer the corporate entity itself never held Viatris shares post-distribution and holds none today. Consistent with this, no Pfizer entity appears among the 39 holders in this project's 31-Mar-2026 VTRS 13F snapshot nor among the 16 institutional holders independently refreshed here for Q2 2026. Pfizer does retain ongoing contractual obligations to Viatris unrelated to equity (indemnification for certain pre-Distribution legal/tax matters, e.g. opioid-related liabilities and a tax indemnification agreement per the FY2025 10-K), but these are not equity interests. This is a confirmed-zero finding recorded here, not a register row.
- HOLDINGS SIDE, lead 3 (equity method / JV / unconsolidated affiliates): searched the FY2025 10-K and Q2 2026 10-Q for 'equity method', 'unconsolidated', 'joint venture' and 'non-marketable'. The only 'equity method' hit describes Viatris' OWN internal combined summarized financial statements presentation for its own subsidiaries (Viatris Inc., Mylan Inc., Utah Acquisition Sub Inc., Mylan II B.V.) for debt-covenant purposes, not a third-party investee; 'joint venture' and 'unconsolidated' return zero hits in both filings. 'Non-marketable equity investments' appears only in the Non-GAAP adjusted-EBITDA reconciliation as a generic line-item label with no dollar figure or named investee attached. Exhibit 21 (Subsidiaries as of 31 Dec 2025, https://www.sec.gov/Archives/edgar/data/1792044/000179204426000013/ex_21xvtrsx20251231.htm) lists roughly 190 subsidiaries across ~60 countries by name and jurisdiction of organization only; unlike Quest Diagnostics or PPG, it carries NO ownership-percentage column and shows no joint venture or minority-owned entity. The Idorsia Pharmaceuticals Ltd. relationship found in the Q2 2026 10-Q is a licensing/asset-acquisition deal (Viatris acquired development programs for selatogrel and cenerimod from Idorsia for a $350 million upfront payment plus milestones and contingent tiered sales royalties), not an equity stake, and is correctly excluded per the brief's rule that drug patents, product rights and licences are not equity holdings. Net finding: Viatris holds no sourced third-party equity stakes today; the holdings array is empty by design, not by omission.
- REGISTER, Vanguard family: parent CIK 0000102909 filed Form 13F-NT (no holdings) for Q2 2026, so the Vanguard row sums all 8 successor filing entities identified in this project's own data/registers/VTRS.json (31-Mar-2026 snapshot), each re-checked against its own fresh Q2 2026 13F-HR per the project's guidance to use the snapshot only for the entity LIST, not the figures. Total: 141,280,846 shares, 12.30% of the company.
- REGISTER, T. Rowe Price family: both registrants checked. T. Rowe Price Associates, Inc. (CIK 0000080255) holds 68,214,436 shares (see the THOUSANDS TRAP method_note on its row: its info table's dollar value column is in thousands, rescaled by 1000 here). T. Rowe Price Investment Management, Inc. (CIK 0001897612), the separate registrant flagged in this project's prior chunks, filed its own Q2 2026 13F-HR and holds ZERO VTRS shares, checked by a 'VIATRIS' name search across its full info table with no match.
- REGISTER, Capital Group family: all three entities checked for Q2 2026 VTRS holdings by CUSIP 92556V106 and by name search: Capital World Investors (CIK 0001422849), Capital International Investors (CIK 0001562230), and Capital Research Global Investors (CIK 0001422848) each returned NO MATCH, i.e. the family holds zero VTRS shares as of 30 Jun 2026. Not included as a register row.
- REGISTER, register total sits ABOVE this project's typical 25-45% band: the 16 institutional/index rows plus the CEO and the officer/director group residual sum to 732,735,636 shares, 63.79% of 1,148,590,864 shares outstanding, computed with the project's own self-gate formula (member rows at full value, the aggregate container reduced by its one named member only). This was investigated rather than shipped blind: every one of the 16 institutional figures was pulled fresh from that holder's own Q2 2026 13F-HR information table (not the stale 31-Mar-2026 snapshot, not an aggregator), each implies essentially the same per-share price (~$15.88, the 30 Jun 2026 close) with no thousands-scaling artifacts once T. Rowe Price was corrected, and the two largest independently cross-check against a third-party source: FMR LLC's 96,662,102 shares (8.42% here) matches a stocktitan.net report citing FMR's own Schedule 13G at '8.3%... over 96M shares', and Davis Selected Advisers' 75,232,254 shares (6.55% here) matches a separately reported 6.5% figure. The plausible explanation for the elevated total is structural: Viatris' entire share base was created in Nov 2020 by distributing Viatris stock pro rata to Pfizer's own (heavily institutional) shareholder base in a Reverse Morris Trust, so an unusually large share of the register was institutional from day one, with very little independent retail float ever built up. Flagging this reasoning explicitly per the brief's instruction to find rather than ship a suspicious total.
- REGISTER, an aggregator claim NOT included: WallStreetZen's ownership page for VTRS (viewed via web search, Aug 2026) asserts 'Laboratories Abbott' (i.e. Abbott Laboratories) is Viatris' largest individual shareholder at 135.75 million shares, 11.66% of the company, and separately states institutional ownership of 85.05% and insider ownership of 18.43% (which do not sum sensibly with each other or with a 0.00% retail figure, an internal inconsistency in that source). This claim could not be corroborated: Abbott Laboratories does not appear as a 13F filer at all (an EDGAR company-name search for 13F filings under 'abbott' returns no results, consistent with Abbott being an operating company rather than an investment manager), and Viatris has had NO Schedule 13D or 13G filed against it since 12 Nov 2024 (per the full EDGAR filing history for CIK 0001792044), so there is no primary-source basis for a new 11.66% beneficial owner appearing in 2025 or 2026. Treated as a probable aggregator data error and excluded from the register rather than invented as a row.
- Viatris has a single class of common stock (par value $0.01 per share, one vote per share); no dual-class or founder-control structure. No stock split or reverse split found in the FY2025 10-K (searched for 'stock split' and 'reverse stock split', no hits).
- Register basis for Q1 2026 snapshot entities not independently refreshed here (Bank of New York Mellon and any holder outside the top 16 refreshed) were left out rather than reported stale; see unknowns.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- The individual per-entity size of Moody's-style combined balances does not apply here (Viatris carries no such bucket); this file's holdings side is genuinely empty as of 18 Aug 2026, per the sourced search described in notes.
- Whether Vanguard-affiliated 13F filers beyond the 8 successor entities checked (all 8 identified from this project's own VTRS register snapshot) hold any additional VTRS shares was not independently verified; if any exist, the true Vanguard family total would be marginally higher than 141,280,846 shares.
- Bank of New York Mellon Corp (CIK 0001390777, a top-15 holder in the 31-Mar-2026 snapshot at 14,128,917 shares) was looked up for a fresh Q2 2026 figure but its filing index returned only a cover-page 'primary_doc.xml' with 0 information-table rows rather than its actual information table document; the correct info-table filename was not identified in the time available, so BNY Mellon is left OUT of the register here rather than reported on stale Q1 data.
- Precise dollar values for the two insider register rows (Scott A. Smith and the 18-person officer/director group) are null: the 2026 proxy's Security Ownership table gives share counts and a '<1%' label but no dollar value, and no VTRS closing price as of the 26 Mar 2026 measurement date was independently sourced.
- Individual director rows in the 2026 proxy's Security Ownership table beyond the CEO (Cornwell, D'Amelio, Dillon, Enrietti, Finney, Groothuis, Higgins, Kilts, Le Goff, Mark, Mistras, Parrish, Severino, Simmons, Vivaldi Coelho, plus unnamed Campbell and Maletta) were not converted into individual register rows; each is individually well under 1% and the clean, checkable figures used are the CEO and the group total.
- The exact date and mechanism by which Pfizer's residual contractual relationship with Viatris (tax and litigation indemnification obligations under the Separation and Distribution Agreement / Tax Matters Agreement) might ever convert into an equity interest, if at all, was not investigated; no evidence of any such provision was found in the sections of the 10-K searched.
- Whether Biocon Ltd (the counterparty in the now-fully-exited CCPS/equity transaction) itself holds or ever held any reciprocal equity stake in Viatris was not investigated; this file only establishes what Viatris held in Biocon, not the reverse direction.
