The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,006 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,006 managers reported a position, together holding 137.4m shares, or 84.6% of the company. The 40 largest are listed. Percentages are of the 162.4m shares outstanding at 1 Jun 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- DUAL-CLASS LEAD DID NOT HOLD UP: Veeva is single-class today. Veeva had a dual-class structure (Class A, one vote, and Class B, ten votes, held by founder Peter Gassner and other insiders) from its 2013 IPO, but on 15 October 2023 all outstanding Class B shares automatically converted into Class A common stock under the terms of Veeva's then-effective Certificate of Incorporation (confirmed in both the FY2026 10-K, filed 20 Mar 2026, and the Q1 FY2027 10-Q, filed 5 Jun 2026, and via an EDGAR exhibit index entry, 'Certificate of Retirement of Class B Common Stock of Veeva Systems Inc.', 8-K dated 16 Oct 2023). As of 1 Jun 2026, per the 10-Q cover page, there is only one class: Class A common stock, par value $0.00001, 162,443,291 shares outstanding, NYSE: VEEV, one vote per share. company.share_classes is omitted because Veeva is now single-class; company.shares_outstanding (162,443,291) is that single class's count, cross-checked against stockanalysis.com's independently reported 162.44 million shares outstanding as of 18 Aug 2026.
- PUBLIC BENEFIT CORPORATION: Veeva is a Delaware public benefit corporation (PBC), described in the FY2026 10-K as 'the first publicly traded company to convert to a PBC' and, as of that filing, 'the largest publicly traded' PBC. The conversion itself is dated by an 8-K (items 1.01, 5.02, 5.03, 9.01; period ending 27 Jan 2021, filed 1 Feb 2021, source: https://www.sec.gov/Archives/edgar/data/1393052/000162828021001246/veev-20210127.htm) reflecting the shareholder-approved reincorporation as a PBC effective early 2021. This changes Veeva's legal form and directors' duties (balancing shareholder interests against the company's stated public benefit purpose and other stakeholders) but does NOT change or reintroduce multiple share classes; it is recorded here as background only, per the brief.
- FOUNDER VOTING POWER: Peter Gassner (co-founder, CEO, and Chairman) beneficially owned 15,637,968 shares (9.4% of common stock outstanding per the 2026 proxy, as of 31 Mar 2026), of which 12,269,333 shares (82,000 held by family members plus 12,187,333 held directly) are actually owned and used in the `shares` field on his register row; the remaining 3,368,635 shares are issuable on options exercisable within 60 days and are excluded from `shares` per the brief. Because Veeva's dual-class structure was unwound in October 2023, Gassner's voting power is now proportional to his economic stake (his 9.4% beneficial-ownership figure equals his voting-power figure in the proxy's own table), unlike a Datadog-style founder who holds outsized VOTES relative to shares owned. All 14 current executive officers and directors as a group beneficially owned 17,649,962 shares (10.6% of common stock and 10.6% of total voting power); of that, 13,909,263 shares are actually held (the raw figure stored on this register's aggregate row) and the balance is options/RSUs excluded per the brief.
- TREASURY, EXPLICITLY EXCLUDED. As of 30 Apr 2026 (Q1 FY2027 10-Q), Veeva's balance sheet carried cash and cash equivalents of $1,896,580 thousand plus short-term investments of $5,416,139 thousand, a combined $7.3 billion of cash, cash equivalents and short-term investments (up from $1,421,233 thousand cash plus $5,139,581 thousand short-term investments at 31 Jan 2026, FY2026 10-K). This is a large corporate treasury portfolio of certificates of deposit, asset-backed securities, U.S. Treasury securities, money-market funds and similar instruments, held for capital preservation, not an equity stake in another company. It is deliberately excluded from `holdings` per the brief; this is the single easiest way to get Veeva wrong given the size of the portfolio relative to the company's $39bn market cap.
- HOLDINGS SIDE IS EMPTY, A SOURCED FINDING. Both the FY2026 10-K (period ended 31 Jan 2026, filed 20 Mar 2026) and the Q1 FY2027 10-Q (period ended 30 Apr 2026, filed 5 Jun 2026) were searched via filing.py for 'equity method', 'unconsolidated', 'non-marketable' / 'nonmarketable', 'strategic investment', 'noncontrolling interest', 'joint venture', 'investments in', 'cost method', 'minority investment', 'privately held' / 'privately-held', and 'equity securities'. None returned a named investee, an equity-method balance, a joint venture, or any non-marketable equity security. The only matches for 'investments in' were generic MD&A language about capital expenditure and R&D infrastructure investment, with no investee and no dollar figure. Veeva does not appear to hold any equity-method, non-marketable, or private-company equity stake as of its two most recent filings.
- FISCAL YEAR AND FILING DATES. Veeva's fiscal year ends 31 January. The latest 10-K covers FY2026 (period ended 31 Jan 2026, filed 20 Mar 2026). The latest 10-Q covers Q1 of FY2027 (period ended 30 Apr 2026, filed 5 Jun 2026) and is the more current source for the share count (cover date 1 Jun 2026) and current-period balance sheet figures; the Q2 FY2027 10-Q (period ending 31 Jul 2026) had not yet been filed as of 18 Aug 2026 (Veeva's next earnings date is reported as 26 Aug 2026), so the Q1 FY2027 10-Q is genuinely the latest quarterly filing available. The latest DEF 14A was filed 4 May 2026 for the 2026 Annual Meeting, with a beneficial-ownership record date of 31 Mar 2026.
- SHARE PRICE SANITY CHECK. VEEV closed at $242.75 on 18 Aug 2026 (stockanalysis.com, fetched same day), with market cap $39.43bn on 162.44m shares outstanding, which is internally consistent (162,443,291 x $242.75 = $39.43bn). This is well up from the ~$177.46/share implied by every Q2 2026 (30 Jun 2026) 13F filing sourced above (e.g. Vanguard Capital Management's $1,720,192,219 / 9,692,862 shares = $177.46), consistent with VEEV's stated 52-week range of $148.05 to $310.50 and the roughly seven weeks between the 13F quarter-end and the market-cap date. No stock split was found in the FY2026 10-K (searched 'stock split', 'forward split', 'reverse split', zero hits); the register share counts (30 Jun 2026) and company.shares_outstanding (1 Jun 2026) are on the same, single, unsplit basis.
- 5% HOLDER OMISSION IN THE PROXY. Veeva's own 2026 proxy '5% Shareholders' section names only BlackRock, Inc. (citing a stale 8 Feb 2024 Schedule 13G), despite Vanguard's fresh Q2 2026 13F family total (18,649,979 shares, 11.48%) being far larger. This matches a pattern seen elsewhere in this project: Vanguard's parent disclaims aggregate ownership and reports through subsidiaries individually below the 5% proxy-disclosure trigger, so it can be entirely absent from a company's own 5%-holder table even while clearly the largest institutional holder by a fresh 13F sweep.
- CAPITAL GROUP CHECKED, IMMATERIAL. All three Capital Group registrants were checked for Q2 2026 (30 Jun 2026): Capital World Investors (CIK 1422849) held 127,434 VEEV shares (about 0.08% of the company), too small for the top 8-12 band and omitted from the register; Capital International Investors (CIK 1562230) and Capital Research Global Investors (CIK 1422848) held zero (CUSIP 922475108 absent from both full information tables).
- FMR (FIDELITY) DROPPED SHARPLY, OMITTED. This project's own Q1 2026 register snapshot (data/registers/VEEV.json) showed FMR LLC at 2,613,526 shares. FMR's fresh Q2 2026 13F (CIK 315066, filed 13 Aug 2026) shows only 275,309 shares across 4 lines under CUSIP 922475108 (verified directly against the raw XML, no additional matching lines), an apparent reduction of roughly 90% quarter over quarter. At that size FMR falls well outside the top 8-12 band and is omitted from the register; the large swing is recorded here rather than silently dropping a formerly-large holder without comment.
- Self-gate, computed exactly per the chart's own arithmetic (raw stored shares for every row, with the is_aggregate row reduced to its residual beyond the members that name it via rolls_up_into): 10 register rows. Eight institutional 13F rows (Vanguard, BlackRock, State Street, T. Rowe Price, Principal Financial Group, AllianceBernstein, Geode, Linonia Partnership) sum to 18,649,979 + 12,862,503 + 6,706,909 + 6,205,244 + 4,979,210 + 4,913,322 + 4,508,933 + 4,409,598 = 63,235,698 shares. Gassner (full value, as a member) contributes 12,269,333 shares. The officers-and-directors aggregate row stores a raw 13,909,263 shares, reduced by Gassner's 12,269,333 to a residual of 1,639,930 for the self-gate total. Total: 63,235,698 + 12,269,333 + 1,639,930 = 77,144,961 shares against 162,443,291 shares outstanding, or 47.49%. This sits slightly above the brief's typical 25-45% band; it is explained by Veeva carrying both a very large combined institutional block (about 38.9% across 8 large managers) and a genuinely large, actually-owned founder stake (7.55% for Gassner alone), which together push the total past 45% without any double counting or unit mismatch. It is well under the 55% hard-flag threshold. python3 scripts/overlap.py veeva confirms 0 violations, 0 orphans with the aggregate row's shares stored at its raw 13,909,263 value.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether any Vanguard-affiliated 13F filer beyond the 8 successor entities identified from this project's Q1 2026 Vanguard sweep (data/registers/VEEV.json) holds VEEV for Q2 2026; the 8 known entities were individually re-fetched fresh for 30 Jun 2026 and summed, but the full universe of Vanguard subsidiaries was not independently re-enumerated from scratch.
- Dollar values for the two proxy-sourced insider and aggregate register rows (Gassner, the 14-person officers/directors group): the proxy gives only share counts and percentages as of 31 Mar 2026, and no single VEEV share price as of that specific record date was independently sourced here, so no value was estimated rather than guessed.
- Institutional holders beyond the top 8 by size (for example AQR Capital Management, JPMorgan Chase, or other managers below Linonia Partnership LP in this project's Q1 2026 snapshot) were not individually re-pulled for VEEV within the time budget once the top 8 institutions plus the founder and officer/director rows satisfied the brief's top 8-12 holder guidance.
- Whether Veeva holds any minority equity stake obtained incidentally through an acquisition (for example a retained interest in a divested product line or spun-out unit); no evidence of this was found in the FY2026 10-K or Q1 FY2027 10-Q, both of which describe only inbound, wholly-owned acquisitions, but a targeted search of Exhibit 21 (subsidiaries list) for a partially-owned entity was not separately performed.
- The exact date within January-February 2021 that Veeva's public benefit corporation conversion became legally effective was not confirmed from filing prose, only from the surrounding 8-K's filing metadata (period ending 27 Jan 2021, filed 1 Feb 2021); the 8-K's cover page itself was not individually opened via filing.py to confirm the precise effective date and shareholder vote details.
