Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What the filings say against what the research found
Every holding above was also resolved directly from EDGAR through a precedence rule: the company's own filing outranks a 13D or 13G, which outranks a 13F, which outranks hand research. A 13F reports only US listed, long, US custodied positions, so it is a floor rather than a level. Where sources disagree the higher one leads and the lower is kept beside it.

What a reader needs to know to read these numbers
- Earnings impact, exact wording. CFO Vaibhav Taneja on the Q2 2026 call: 'Net income was positively impacted by a mark-to-market gain of $1 billion on our SpaceX holdings, which was offset by losses on FX of approximately $300 million and on Bitcoin of about $100 million.'
- The 10-Q for the quarter ended 30 June 2026 states: 'For the three months ended June 30, 2026, we recorded a $1.00 billion net gain on our SpaceX equity investment.' The cash flow statement shows a six month 'SpaceX equity investment unrealized gain' of $1,005 million and a 'Purchase of SpaceX equity investment' of $2,002 million.
- Carrying value. The SpaceX equity investment is shown at a fair value of $3,007 million at 30 June 2026, classified Level 2, after 'observable market inputs used to estimate the $238 million discount for lack of marketability due to regulatory restrictions expiring in September 2026'. Tesla is also 'subject to customary sales restrictions in connection with the SpaceX initial public offering that expire in December 2026'. It sits in Other non-current assets.
- Accounting. Tesla is presumed to have significant influence under ASC 323 because Elon Musk is CEO of both companies, but it does not control SpaceX, so it elected the ASC 825 fair value option and marks the stake quarterly under ASC 820. Gains and losses run through Other income, net, which rose to $590m in Q2 2026 from $320m a year earlier.
- Share count reconciliation. The brief's anchor table carries 19,000,000 SpaceX shares. The filed and reported figure is 18,990,195 Class A shares as of 1 May 2026, which is the number used here. The difference is rounding, roughly 9,805 shares or $1.4m at $140.00.
- Value reconciliation. Tesla's 30 June 2026 balance sheet fair value of $3,007m implies a materially higher effective price than the $2.66bn the same 18,990,195 shares are worth at the 14 Aug 2026 SPCX close of $140.00, even before the $238m marketability discount is added back. Treat the two as different measurement dates, not as a contradiction.
- Tesla and SpaceX merger, status as at 16 Aug 2026: speculation only, no concrete transaction. Nothing has been announced, no board approval or formal proposal is on file, and Tesla has recorded no merger consideration anywhere in its Q2 2026 10-Q. On the Q2 call Musk said: 'Obviously, we can't talk about combining companies and that kind of thing on an earnings call. It's got to be done with the appropriate process.' ARK Invest has publicly argued a combination is likely, and Polymarket traders were pricing roughly an 18% chance of an official announcement before the end of 2026. This is recorded as commentary, not as a holding or a pending deal.
- Digital assets, not an equity holding. The 10-Q states that at 30 June 2026 and 31 December 2025 the majority of Tesla's digital assets 'were comprised of 11,509 units of Bitcoin held at an acquisition cost of $386 million'. Fair value fell to $674m at 30 June 2026 from $1,008m at 31 December 2025, a six month unrealized loss of $334m, of which the CFO attributed about $100m to Q2. Excluded from holdings because it is not equity in another company.
- Musk pledging. The 10-K/A beneficial ownership table footnote for Mr Musk says it 'Includes 207,498,721 shares eligible to be pledged as collateral to secure certain personal indebtedness' as at 31 December 2025. Board policy caps the CEO's pledging at the lesser of $3.5 billion of loan or investment value or 25% of the value of the pledged stock, and 15% for other directors and officers. Kimbal Musk's entire 1,376,373 shares are pledged as collateral for personal indebtedness.
- Musk voting position. His 699,580,882 shares at 16 June 2026 are 413,152,109 shares in the Elon Musk Revocable Trust plus 286,428,773 restricted shares issued on exercise of the 2018 CEO Performance Award, which carry votes he can exercise but do not vest until 19 January 2028. The count excludes 423,743,904 shares under the 2025 CEO Performance Award, which he disclaims and which are voted proportionately by Tesla's secretary under a voting agreement. If those shares are ever earned, his stake rises materially.
- Musk stake trajectory in 2026: 20.3% at 21 April 2026 on a 717,112,739 share as-converted basis, then 19.9% and 699,580,882 shares after the 16 June 2026 exercise of 303,960,630 options with 17,531,857 shares withheld in net settlement, plus the forfeiture of the 96,000,000 share 2025 CEO Interim Award on 21 April 2026 under the no double dip principle.
- Vanguard disagreement. The 10-K/A table shows The Vanguard Group at 229,805,491 shares and 6.1% at 31 December 2025, but that was derived from a February 2024 Schedule 13G. On 27 March 2026 The Vanguard Group filed a 13G/A reporting zero shares after an internal realignment on 12 January 2026 that disaggregated its subsidiaries. The live filer is Vanguard Capital Management LLC at 210,796,512 shares and 5.61% as of 31 March 2026, which is the figure used in the register. The 6.1% legacy figure is retained here only for context.
- BlackRock's 188,797,465 shares and 5.0% come from Tesla's own 31 December 2025 ownership table, which itself relies on a Schedule 13G filed on 29 January 2024. It is the most recent BlackRock figure Tesla has published, but it is old and should be treated as indicative.
- Register percentages in the 10-K/A table are calculated on 3,752,191,774 shares outstanding at 31 December 2025. Musk's 19.9% in the June 13G/A uses 3,755,723,871 shares outstanding at 16 April 2026 plus his 286,428,773 restricted shares and with the 2025 CEO Performance Award shares deducted. The company cover page reports 3,949,547,394 shares outstanding at 16 July 2026, so percentages measured on different dates are not directly comparable.
- Related party trade, cross-check. Tesla recognised $318m of revenue and $242m of cost of revenue from SpaceX in Q2 2026 for Megapack purchases. SpaceX's own Q2 2026 10-Q reports purchasing $295m of Megapack products from Tesla in the quarter, recorded in property, plant and equipment. The $23m difference is most likely timing and capitalisation treatment, but both figures are recorded here rather than averaged.
- Other Q2 2026 corporate activity: Tesla acquired an unnamed AI hardware company in an asset acquisition for $1.95bn in Tesla common stock and equity awards, of which $1.73bn is subject to service or performance conditions and $222m was allocated to a patent and developed technology intangible. That is an acquisition rather than a minority equity stake, so it is not listed as a holding.
- Market cap of $1.35 trillion is the figure shown for the 14 August 2026 close of $342.27 on 3.95bn shares. 16 August 2026 is a Sunday, so the last traded market cap is used.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- State Street and any other institutional holder below 5%: no 2026 Schedule 13G, 13F or holder table containing their Tesla share counts was retrieved. Looked in Tesla's EDGAR submissions index (only four 13G filings in 2026: Musk twice, Vanguard Capital Management, The Vanguard Group), the 10-K/A ownership table, which lists only Musk, Vanguard and BlackRock as 5% holders, and stockanalysis.com holder pages, which returned 404.
- Tesla's SpaceX share count as at 30 June 2026: the only precise count found is 18,990,195 as of 1 May 2026. Neither the 10-Q nor the Q2 earnings materials restate a share count, they give only the $3,007m fair value and 'less than 1%'.
- A fresh BlackRock figure. The only BlackRock number Tesla publishes traces to a January 2024 Schedule 13G.
- Any other equity investments or non-marketable equity securities: the Q2 2026 10-Q recurring fair value table lists only the SpaceX equity investment, digital assets, and cash-equivalent style instruments. No other minority equity stake was disclosed, so none is recorded here.
- Identity of the AI hardware company acquired in Q2 2026 for $1.95bn in stock: not named in the 10-Q.
- Precise current pledged share count for Musk. The 207,498,721 figure is the number of shares eligible to be pledged at 31 December 2025, not a count of shares actually pledged, and no 2026 update was found.
