What a reader needs to know to read these numbers
- Holdings side is empty and this is a sourced finding, not a gap. Stanley Black & Decker has reshaped its portfolio through a series of complete divestitures rather than retaining minority equity stakes: it sold its Convergent Security Solutions (CSS) business (commercial electronic security and healthcare) for net proceeds of $3.1 billion in July 2022; its Mechanical Access Solutions (MAS) business (automatic doors) for net proceeds of $916 million, also July 2022; its Oil & Gas business (pipeline services and equipment) in August 2022; its Infrastructure business (attachment and handheld hydraulic tools) for net proceeds of $729 million in April 2024; and, most recently, its Consolidated Aerospace Manufacturing (CAM) business to Howmet Aerospace on 6 April 2026 for approximately $1.8 billion in cash and a pre-tax gain of $276.7 million. All five are outright sales with no retained equity interest disclosed anywhere in the FY2025 10-K or the Q2 2026 10-Q; none is a holding.
- The FY2025 10-K (filed 24 Feb 2026) and the Q2 2026 10-Q (filed 29 Jul 2026) were searched in full for 'equity method', 'joint venture', 'unconsolidated', 'equity investment', 'non-marketable' and 'minority interest'. 'Equity method', 'unconsolidated', 'equity investment', 'non-marketable' and 'minority interest' return zero hits in both filings; 'joint venture' appears only inside boilerplate risk-factor language about strategic transactions generally, never naming an actual joint venture SWK holds. No 'noncontrolling interest' or 'retained interest' (other than a receivables-factoring servicing disclaimer unrelated to equity holdings) appears either.
- Exhibit 21 (List of Subsidiaries) to the FY2025 10-K was checked, following the technique that sized Pentair's and Quest's holdings. Its table carries only two columns, 'Corporate Name' and 'Jurisdiction of Incorporation/Organization', and its header states the list covers 'all active subsidiaries ... included in the Consolidated Financial Statements'.
