Description
Solventum Corporation makes medical, dental and health software products and was created on 1 April 2024, when 3M spun off its health care business by distributing about 80.1 percent of Solventum's shares to 3M shareholders. Net sales were $8.33 billion in 2025 across three reportable segments: MedSurg at 57.9 percent of sales, covering negative pressure wound therapy, advanced wound dressings, I.V. site management, sterilization assurance, temperature management, surgical supplies and medical tapes; Dental Solutions at 16.2 percent, covering brackets, aligners, restorative cements and bonding agents; and Health Information Systems at 16.3 percent, which licenses clinical documentation, coding automation, speech recognition and classification software to hospitals. The remaining sales came from the Purification and Filtration business, which Solventum sold to Thermo Fisher Scientific in 2025, booking a gain of $1.5 billion. About 20,000 people work for the company, roughly half of them in the United States.

The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 865 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
865 managers reported a position, together holding 128.7m shares, or 74.3% of the company. The 40 largest are listed. Percentages are of the 173.2m shares outstanding at 30 Apr 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- 3M's stake is unchanged since its Schedule 13G/A filed 18 Aug 2025 (25,569,190 shares, sole dispositive power, no voting power under a proxy arrangement with Solventum). Checked Solventum's own EDGAR filing index (issuer CIK 0001964738) on 19 Aug 2026: no Form 4, Schedule 13D, or further Schedule 13G/A by 3M (CIK 0000066740) appears after that date, and 3M as a >10% holder would be obligated to file a Form 4 on any further sale. Solventum's FY2025 10-K (filed 27 Feb 2026) risk factors describe 3M's stake as 'currently represents approximately 14.8% of the outstanding Solventum common stock' and note 3M may retain it 'for a period of time, not exceeding five years' rather than disposing immediately, consistent with an unchanged position.
- This file's 3M row AGREES with data/research/3m.json on the underlying fact and share count: both cite the same 25,569,190-share Schedule 13G/A filed 18 Aug 2025 and the same $1,973 million Q2 2026 fair value from 3M's own 10-K. The only difference is the percentage denominator: 3m.json reports 14.75% against Solventum's Jul 2025 shares outstanding (173,387,798); Solventum's own DEF 14A (27 Mar 2026) reports 14.7% against 173,405,254 shares; this file reports 15.02% against Solventum's most current shares outstanding (170,223,729, 31 Jul 2026), because Solventum's own share count has fallen (via buybacks) while 3M's absolute share count stayed flat. All three percentages describe the identical 25,569,190-share position at different snapshot dates for the denominator, not a disagreement.
- Solventum sold its Purification and Filtration (P&F) business to Thermo Fisher Scientific Inc. for $4.0 billion in cash before customary adjustments, closing 1-2 September 2025 (10-K Note 3, Acquisitions and Divestitures). This was an all-cash transaction: no equity, earnout, or ongoing ownership stake in the divested business or in Thermo Fisher was retained by Solventum, per the 10-K's description of the Transaction Agreement and Amended and Restated Transaction Agreement.
- Holdings side is genuinely empty. Searched Solventum's FY2025 10-K (filed 27 Feb 2026, https://www.sec.gov/Archives/edgar/data/1964738/000196473826000007/solv-20251231.htm) and its Q2 2026 10-Q (filed 5 Aug 2026, https://www.sec.gov/Archives/edgar/data/1964738/000196473826000047/solv-20260630.htm) for: 'equity method', 'joint venture', 'unconsolidated', 'non-marketable', 'minority interest', 'equity securities', 'investee', 'affiliate', 'ownership interest', 'strategic investment'. No equity-method investment, joint venture, non-marketable equity security, or minority interest in another entity was found in either filing; the only substantive hits were generic accounting-policy language and Solventum's own relationship with 3M and Thermo Fisher (a customer/supplier relationship post-spin-off, not an equity stake). Also checked Exhibit 21 (subsidiaries list) of the FY2025 10-K: it is a bare two-column list (legal entity name, state or country of incorporation) with no ownership-percentage column, so it does not size any partial-ownership entity; treated as a genuine negative per the project's own precedent (Labcorp).
- Vanguard: parent Vanguard Group Inc (CIK 0000102909) filed Form 13F-NT (no holdings) for Q2 2026, so the family total is the sum of all 8 successor entities identified from this project's own SOLV register snapshot (data/registers/SOLV.json), each entity's own fresh Q2 2026 13F-HR read directly: 17,291,509 shares, $1,334,039,920.
- Capital Group checked for Q2 2026 across its three primary registrants: Capital World Investors (CIK 0001422849), Capital International Investors (CIK 0001562230), Capital Research Global Investors (CIK 0001422848). All three hold zero Solventum shares. No row recorded (a checked-and-zero holder is a note, not a null row). Not swept beyond these three canonical CIKs; see unknowns.
- T. Rowe Price: Associates Inc (CIK 0000080255) holds 216,340 shares as of 30 Jun 2026, reported in thousands on its information table (implied per-share price of $77.15 confirms the scaling). T. Rowe Price Investment Management, Inc. (CIK 0001897612), the separate registrant flagged in the project's own defect list, was also checked for Q2 2026 and holds zero Solventum shares.
- Trian Fund Management holds 8,236,753 shares (4.84%) per its Q2 2026 13F-HR, but has not filed a Schedule 13D on Solventum (checked Solventum's own EDGAR filing index, no SC 13D or SC 13D/A present as of 19 Aug 2026). Recorded as an ordinary institutional (active) holder rather than a disclosed activist stake.
- BlackRock reports through a single consolidated CIK (0002012383), consistent with its post-reorganization filing structure; no separate legacy BlackRock entity was found holding Solventum shares.
- Solventum's DEF 14A (filed 27 Mar 2026) 5% beneficial-ownership table cites stale Schedule 13G/13G-A filings for BlackRock (8 Nov 2024, 10,606,905 shares, 6.1%), Vanguard (12 Nov 2024, 16,190,658 shares, 9.34%) and Independent Franchise Partners (27 Jan 2026, 15,355,691 shares, 8.86%). This file uses the fresher Q2 2026 13F-HR figures for all three instead, per the brief's preference for fresh 13F data over a stale 13G quoted in a proxy; the DEF 14A figures are preserved in each row's method_note for reconciliation.
- Self-gate, computed from this final file exactly as the chart computes it: 11 register rows (no rolls_up_into/is_aggregate relationships among them, so every row counts at full value), total shares 96,595,647, against shares_outstanding 170,223,729 = 56.75%. This is above the project's typical 25-45% band and slightly above its 55% flag threshold. Investigated for double-counting: none found (each row is sourced to a distinct filer CIK and distinct 13F/13G/proxy filing, and the Vanguard family sum was cross-checked entity by entity). Cross-checked instead against third-party aggregator estimates of Solventum's total institutional ownership (~73.8% to 74.6% across WallStreetZen, BusinessQuant and TradingKey, Jun-Jul 2026 data): this file's top-9 institutional rows (excluding 3M and the officer group) sum to 41.49% of shares outstanding, well within a ~74% total institutional figure that also includes many smaller holders (Diamond Hill, Boston Partners, Invesco, Arrowstreet, AQR, Northern Trust, Charles Schwab, Bank of America, Goldman Sachs, Morgan Stanley and others visible in data/registers/SOLV.json but not included here). Adding 3M's 15.02% strategic stake and the 0.24% officer group is consistent with, not contradictory to, that external benchmark. The elevated total is attributed to Solventum being a young, small-cap spin-off with two unusually large individual holders (3M's strategic 15% retained stake and Independent Franchise Partners' concentrated 9.5% active position) rather than to any double-counted holder. Corroborated first-hand by the coordinator against this project's own 13F-derived register (data/registers/SOLV.json, period 31 Mar 2026, separate pipeline), and the aggregator figure quoted above is NOT relied on. That snapshot reports total institutional ownership of 106,966,287 shares, 62.84% of the same denominator, with its top ten holders at 46.63%. Critically, 3M does NOT appear in it at all, because 3M holds as a corporate strategic holder reporting on Schedule 13G rather than as a 13F filer. So the two sources measure different things and nothing is double counted: excluding 3M, the institutional rows in this file account for roughly 41.7% of the company, BELOW that independent top-ten figure, and 3M's 25,569,190 shares (15.02%) sit on top as a block no 13F would show. This is the same shape as LyondellBasell's Access Industries block earlier in this project: the register reads high because a real strategic holder is visible here and invisible to the 13F pipeline. The 3M position is additionally confirmed from the other direction: crosscheck.py reports AGREE 3m -> solventum 25,569,190, meaning both curated files landed on the identical share count independently.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether Capital Group holds any Solventum position through registrant CIKs beyond the three canonical ones checked (Capital World Investors, Capital International Investors, Capital Research Global Investors); the project's own defect list notes some Capital Group families run to six registrants. Not swept further given all three canonical entities returned zero.
- 3M's specific plans, if any, for further disposing of its retained Solventum stake; only the 10-K's boilerplate risk-factor language (retention 'for a period of time, not exceeding five years' from the April 2024 spin-off) was found, with no more specific timetable disclosed.
