The J.M. Smucker Company, also known as Smucker's, is an American manufacturer of food and beverage products. Headquartered in Orrville, Ohio, the company was founded in 1897 as a maker of apple butter. J.M. Smucker currently has three major business units: consumer foods, pet foods, and coffee. Its flagship brand, Smucker's, produces fruit preserves, peanut butter, syrups, frozen crustless sandwiches, and ice cream toppings.

What a reader needs to know to read these numbers
- SINGLE CLASS OF COMMON STOCK, NOT A DUAL-CLASS STRUCTURE. Smucker has one class of common stock and company.shares_outstanding (106,880,690) is that single count; share_classes is omitted entirely rather than adding a second synthetic 'class' for any voting variation.
- TIME-PHASE VOTING WAS ELIMINATED IN 2022 AND NO LONGER EXISTS. The research task's premise (shares held 4+ years carry 10 votes) describes a provision that is no longer in Smucker's Articles. The 2026 DEF 14A states in plain language, under 'What vote is required to approve each proposal?': 'Under the Articles, shareholders are entitled to one vote per common share on each matter properly submitted for their vote... The Company eliminated the time phased voting provisions in 2022, and the Company does not permit cumulative voting.' This was confirmed directly from the filing (scripts/filing.py search on the current DEF 14A), not assumed. Every share, including the Smucker family's, therefore carries exactly one vote today; no voting-power multiplier is applied anywhere in this file.
- THE FAMILY BLOCK. The Smucker family's board presence is now small: 'Since 2015, we have reduced the number of non-independent directors from five members to one member,' per the 2026 proxy. Richard Smucker (2,045,383 sh, 1.9%) is the only family member large enough to break out individually; he rolls up into the 17-person officers/directors aggregate group (2,999,961 sh, 2.8%). The FY2026 10-K (period ended 30 Apr 2026) was filed 9 Jun 2026, superseding the most recent 10-Q (period ended 31 Jan 2026, filed 26 Feb 2026), which is now more than two fiscal quarters stale. Confirmed from the 10-K: Dunkin' is a trademark of DD IP Holder LLC used under three commercial licenses (the 'Dunkin' Licenses', in effect to 1 Jan 2039, royalty-bearing); Keurig(R) and K-Cup(R) are trademarks of an affiliate of Keurig Dr. Pepper used under permission/license for Smucker's own coffee brands. - EXHIBIT 21 CHECKED. sjm43026-10kex21.htm is a plain subsidiary name/jurisdiction list (17 wholly owned entities, e.g. Big Heart Pet Brands Inc., Hostess Brands LLC, The Folgers Coffee Company) with NO ownership-percentage column and no joint-venture entries, the Darden-shaped negative result described in the chunk-prompt guidance, not evidence of a wrong search.
