Description
Royal Caribbean Group, formerly known as Royal Caribbean Cruises Ltd., is a cruise holding company headquartered in Miami, Florida, United States and incorporated in Liberia. It is the world's second-largest cruise line operator, after Carnival Corporation & plc. As of September 2025, Royal Caribbean Group fully owns three cruise lines: Royal Caribbean International, Celebrity Cruises, and Silversea Cruises. It also holds a 50% stake in TUI Cruises, which operates Mein Schiff and Hapag-Lloyd Cruises, with the Group's global fleet consisting of 71 ships.
Equity stakes Royal Caribbean Cruises Ltd. holds in other companies.
modelled, reported or pending
Select a row or a slice for its provenance: the filing it came from, when it was measured, and the arithmetic behind it if it was modelled.
The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,155 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,155 managers reported a position, together holding 223.2m shares, or 83.2% of the company. The 40 largest are listed. Percentages are of the 268.2m shares outstanding at 27 Apr 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Holdings side (4 positions, all equity-method / VIE joint ventures, none publicly traded): TUI Cruises GmbH (TUIC, 50% JV with TUI AG, net book value $1.1bn at 30 Jun 2026), Grand Bahama Shipyard Ltd. (33% noncontrolling interest, no disclosed carrying value), Floating Docks S. DE RL. (approximately 33% JV, $128m investment including loans at 31 Dec 2025), and iCON Infrastructure Partners VI, L.P.'s port-infrastructure holding company (10% noncontrolling interest, no disclosed carrying value). All four percentages are recorded as whole-number percentages (50, 33, 33, 10), not fractions: confirmed by reading each pct_of_target field back against the prose in its own method_note before finishing, per the brief's explicit warning that this bug concentrates in joint-venture and LLC holdings.
- No currency conversion was required for any holding. TUIC's carrying value is disclosed directly in USD by RCL itself despite TUIC being a euro-functional German entity; RCL does not separately disclose a euro-denominated figure for TUIC, Grand Bahama, Floating Docks, or iCON, so no FX rate or date needed to be recorded.
- RCL discusses several ship construction and financing agreements denominated in euros (e.g. Finnvera-backed and BpiFrance-backed shipyard financing for Icon-class and Discovery-class ships, converted to USD equivalents by RCL itself at filing-date exchange rates) and Chantiers de l'Atlantique / Meyer Turku shipbuilding contracts. These are ship orders and export-credit-agency-guaranteed loan facilities, not equity stakes in another company, and are excluded from holdings per the brief's explicit instruction that a ship order or charter is not an equity stake.
- Silversea, Celebrity Cruises, and the Royal Caribbean brand itself are wholly owned operating brands ('Global Brands'), not equity stakes, and are excluded from holdings; only the 'Partner Brands' operated through TUIC (Mein Schiff, Hapag-Lloyd Cruises) are minority-owned. RCL's filings do not use the terms 'non-marketable equity securities' or 'unrealized gains' anywhere found (searched directly), unlike companies with a venture-style investment portfolio; RCL's minority stakes are confined to the four cruise-adjacent operating joint ventures listed above.
- Register: 9 rows summing to 157,760,396 shares (58.99% of 267,452,084 shares outstanding), computed exactly as the chart computes it (AWILHELMSEN AS reduced out of the officers/directors aggregate as a rolled-up member; every other row, including AWILHELMSEN AS itself at full value, counted in full). This is above this project's usual 25-45% range and above the 55% flag threshold in the chunk prompt. It was investigated rather than shipped as-is: the total is driven almost entirely by an unusually large, independently cross-checked Capital Group family position (Capital Research Global Investors + Capital International Investors + Capital World Investors = 77,421,009 shares, 28.95% of the company from 13F-HR data alone), which closely matches RCL's own 2026 proxy 5%-holder table total for the same three entities (37,125,244 + 23,330,212 + 17,769,218 = 78,224,674 shares, 29.17% of the proxy's own share count), an independent source computed at a different date arriving at nearly the same family total. No duplicate CUSIP or duplicate filer was found across any of the nine rows. The founding-family AWILHELMSEN AS stake (6.14%) further pushes the total up, as the brief anticipates for a family stake ('a family stake legitimately pushes it higher and must be named').
- Capital Group family: all three required CIKs checked individually per the brief (Capital World Investors 0001422849, Capital International Investors 0001562230, Capital Research Global Investors 0001422848). All three hold RCL and, unusually, all three independently cross 5% of the company and are each named as a separate line in RCL's own 2026 proxy 5%-holder table; they are therefore kept as three separate register rows (matching how RCL's own proxy discloses them) rather than summed into one 'Capital Group' row. This differs from the Delta reference file, where none of the three individually crossed 5% and they were summed into a single family row; the brief's guidance to check all three CIKs individually (illustrated there by Carrier, Paychex, Marsh, and L3Harris) was followed here and found a materially different relative ranking between Capital International Investors and Capital Research Global Investors compared to RCL's proxy (whose cited 13G/A amendments for these two entities are dated Feb 2026 and May 2025 respectively, of different vintages), which the fresher, uniformly-dated Q2 2026 13F-HR data resolves.
- T. Rowe Price checked on both required CIKs (Associates, Inc. 0000080255, and the separate registrant T. Rowe Price Investment Management, Inc. 0001897612): neither appears in RCL's 2026 proxy 5%-holder table and neither was independently confirmed via a 13F pull within the time budget; see unknowns. Cohen & Steers was not checked; RCL is not a REIT so it was judged out of scope for that specific check.
- Vanguard: parent CIK 0000102909 filed Form 13F-NT (notice, no holdings) for Q2 2026, confirmed directly from its EDGAR submissions feed. Per the project's Vanguard rule, its position is reported entirely by successor entities, summed rather than substituted with a single row. Eleven Vanguard-affiliated CIKs with an active Q2 2026 13F-HR were checked (a twelfth, Vanguard V Venture Partners LLC, had filed no 13F for this period); seven hold RCL and were summed to 30,892,634 shares (more than the 'usual two' successor entities flagged in the brief; four checked held zero RCL shares). See the Vanguard row's method_note for the full per-entity breakdown and CIKs.
- AWILHELMSEN AS (the Wilhelmsen family's Norwegian holding vehicle) sits INSIDE the officers-and-directors aggregate in this file, not outside it (contrast Walmart, where the Walton family vehicles sit outside the group): director Arne Alexander Wilhelmsen's own beneficial-ownership row in the proxy already includes essentially the entire AWILHELMSEN AS + AWilhelmsen Asset Management AS stake, and he is one of the 19 people in 'All directors and executive officers as a group.' AWILHELMSEN AS is marked rolls_up_into that aggregate and the aggregate's raw total is reduced by AWILHELMSEN AS's full share count in the self-gate computation, consistent with the Marriott/JWM Family Enterprises correction described in the chunk prompt (a stake inside two containers gets reduced out of one of them, with the reasoning recorded in method_note).
- Eyal M. Ofer, another long-tenured director (since 1995) and head of the Ofer Global / Zodiac Group shipping and real estate family group (one of Royal Caribbean's other original co-founding families alongside Wilhelmsen and Skaugen), holds only 42,925 shares directly per the proxy's directors' table and does not appear as a separate line in the 5%-holder table; no separate Ofer family holding vehicle at 5%+ was found in the proxy or in EDGAR's 13D/G index for RCL, so no additional Ofer-linked register row was added.
- No Schedule 13D was found for RCL in EDGAR's submissions feed (only Schedule 13G / 13G-A filings appear, all from passive institutional filers), consistent with no activist or control-seeking stake being disclosed.
- Market cap and share price ($301.40, $80.61bn market cap) are from stockanalysis.com as of 18 Aug 2026 intraday; market_cap_usd in this file (80,610,058,118) is computed as shares_outstanding (267,452,084, from the 10-Q cover page) times that share price, which reproduces stockanalysis.com's rounded $80.61bn figure exactly.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Individual carrying values for Grand Bahama Shipyard Ltd. and the iCON Infrastructure Partners VI, L.P. holding company: RCL's 10-Q and 10-K disclose the ownership percentage and equity-method accounting treatment for each but no dollar carrying value; searched via scripts/filing.py search and prose across both filings without finding one.
- Share counts and per-share prices for all four holdings: RCL discloses ownership percentages and (for TUIC and Floating Docks) aggregate carrying values, never a share count, for any of its joint ventures, consistent with these being privately held LLC/GmbH/partnership interests rather than share-denominated stakes.
- T. Rowe Price Associates, Inc. (0000080255) and T. Rowe Price Investment Management, Inc. (0001897612): whether either holds RCL was not independently confirmed via a direct 13F pull within this session's time budget; neither appears in RCL's 2026 proxy 5%-holder table, which is some evidence of absence but not a direct filing check.
- Geode Capital Management, LLC's Q2 2026 13F-HR information table (CIK 0000919574, accession 0000919574-26-005427) could not be fetched (repeated FETCH FAILED errors from scripts/filing.py, likely a transient network issue), so it was not checked and is not in the register; Geode is a commonly large index-fund-adjacent RCL holder in other S&P 500 files and its omission here is a gap, not a finding of zero holding.
- Whether any additional Vanguard-affiliated 13F filer beyond the 12 CIKs checked (found via an EDGAR company-name search for 'vanguard' with a 13F filing history) also holds RCL; the search may not be exhaustive if a Vanguard subsidiary files under a name that does not contain the word 'Vanguard'.
- Whether the Ofer family (Eyal M. Ofer, director since 1995, one of Royal Caribbean's original co-founding families) holds any additional RCL stake through a separate corporate or trust vehicle outside his own 42,925-share director position; no such vehicle appears in the proxy's 5%-holder table or in EDGAR's Schedule 13D/13G index for RCL, but a non-5% stake would not be required to be disclosed there.
- RCL's Q3 2026 10-Q was not yet filed as of 18 Aug 2026 per its EDGAR submissions feed, so no equity-investment activity in that quarter (e.g. further changes to the TUIC, Grand Bahama, Floating Docks, or iCON stakes) is reflected here.
