The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,632 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,632 managers reported a position, together holding 689.4m shares, or 83.2% of the company. The 40 largest are listed. Percentages are of the 828.7m shares outstanding at 4 May 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- SPLIT BASIS: O'Reilly completed a 15-for-1 forward stock split effective (completed) 10 June 2025, per the FY2025 10-K ('On June 10, 2025, the Company completed a 15-for-1 forward stock split of our common stock. All share and per share information ... has been retrospectively adjusted to reflect the stock split.'). This file is entirely on the CURRENT POST-SPLIT basis.
- Every source used post-dates the split effective date by over a year: the Q2 2026 10-Q (cover page dated 3 Aug 2026), every manager's Q2 2026 13F-HR (period 30 Jun 2026, filed Aug 2026), and the 2026 proxy DEF 14A (filed 27 Mar 2026, ownership tables dated 5 Mar 2026, which also explicitly states its 5%-owner table 'has been retrospectively adjusted to reflect the 15-for-1 forward stock split ... completed June 10, 2025' even though the underlying Schedule 13G/A data it summarizes is dated Jan/Feb 2024, pre-split). Because every source either post-dates the split or was explicitly restated by the filer itself, NO manual restatement arithmetic was required anywhere in this file; every register row's method_note states 'no restatement needed' for this reason.
- Cross-check that the split-basis was correctly identified: shares_outstanding (808,960,792) x share_price_usd ($90.44) = $73.16bn, matching the market_cap_usd figure sourced independently from stockanalysis.com. A pre-split share count (~54 million) would have produced a nonsensical ~$4.9bn market cap against the same price, which is not what was observed, confirming all figures used are on the post-split basis.
- Register reconciliation, Vanguard and BlackRock vs. the proxy's 13G-derived table. The 2026 proxy's 'Security Ownership of Certain Beneficial Owners' table reports The Vanguard Group at 75,125,055 shares (8.5%, per a Schedule 13G/A dated 13 Feb 2024) and BlackRock, Inc. at 60,852,195 shares (6.9%, per a Schedule 13G/A dated 26 Jan 2024), both retrospectively split-adjusted by the Company. This register instead uses each manager's own Q2 2026 Form 13F-HR (30 Jun 2026 position date), which is fresher and shows Vanguard's successor entities summing to 69,976,752 shares (8.65%) and BlackRock at 64,611,159 shares (7.987%). The differences (Vanguard down about 5.15 million shares, BlackRock up about 3.76 million shares, versus the stale 2024 13G snapshot) are consistent with normal position changes over roughly two and a half years and are not treated as an error.
- The Vanguard case (rule 7): Vanguard Group Inc, CIK 0000102909, filed Form 13F-NT (notice, no holdings) for the quarter ended 30 June 2026. Its ORLY position is reported instead by two successor filers, Vanguard Capital Management LLC (CIK 0002100119, 54,153,543 shares) and Vanguard Portfolio Management LLC (CIK 0002100121, 15,823,209 shares), summed into one 'The Vanguard Group' row (69,976,752 shares) per the brief's Vanguard rule.
- The Capital Group case is explicitly NOT the Vanguard case. Capital Group's three 13F-HR filers (Capital World Investors CIK 0001422849, Capital International Investors CIK 0001562230, Capital Research Global Investors CIK 0001422848) each file their own Form 13F-HR independently; none files a 13F-NT deferring to another. Only Capital World Investors holds ORLY (2,791,001 shares); the other two were checked by name fragment and by CUSIP 67103H107 in their Q2 2026 information tables and hold none. No summed 'Capital Group' row is created because only one of the three entities has a position.
- Holdings search. The Q2 2026 10-Q and FY2025 10-K were both searched for 'equity method', 'unconsolidated', 'joint venture', 'equity investment', 'investment in', 'affiliate', 'minority interest' and 'nonmarketable'. The only equity-method item in either filing is the Company's investment in five unconsolidated tax credit fund entities (renewable energy / low-income-housing style tax credit VIEs), accounted for under the equity method because O'Reilly is not the primary beneficiary. Net investment was $11.0 million as of 30 June 2026 (in 'Other assets, net'), down from a similar small figure at FY2025 year end. This is a structured tax-financing vehicle with no named investee company and an immaterial balance, not a strategic equity stake in another operating company, so it is not recorded as a holding, consistent with the brief's expectation that an auto-parts retailer typically holds nothing. 'Joint venture', 'minority interest' and 'nonmarketable' returned zero hits in either filing. The 10-K's only other 'affiliate' hits concern real-estate leases with entities owned by affiliated directors or their immediate family (66 of 6,585 stores), which are property leases, not equity holdings.
- No Schedule 13D or 13G has been filed against O'Reilly common stock since 26 January 2024 (Vanguard's 13G/A), per the EDGAR SC 13 filing feed for CIK 0000898173, so there is no fresher independent 5%-owner filing than the 13F-HR data used above, and no O'Reilly-family 13D/G exists distinct from the proxy's own director/officer table.
- David O'Reilly (Executive Vice Chairman of the Board, son of a company co-founder) is included as an individual insider row because he is a current, individually-named director in the proxy's own beneficial ownership table, not merely a family relative outside the board/management group; his 3,365,010 shares are a subset of, and roll up into, the 26-person director-and-officer aggregate group, so the two rows are not summed together.
- Self-gate check: 16 institutional register rows (Vanguard combined through Franklin Resources), none of which is a member (rolls_up_into) or an aggregate, sum to 286,979,624 shares against 808,960,792 shares outstanding, or 35.48%. Both insider rows (David O'Reilly and the 26-person group) are excluded from this sum because one rolls up into the other. 35.48% falls within the expected 25 to 45 percent range and is far from the 15/55 percent split-mismatch alarm bounds, corroborating that every figure in this file is correctly on the post-split basis.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- The exact identities of the five unconsolidated tax credit fund entities in which O'Reilly holds an $11.0 million equity-method interest as of 30 June 2026. Neither the Q2 2026 10-Q nor the FY2025 10-K names any of the five entities; the balance is immaterial and structured as tax-credit financing rather than a strategic stake, so it is not recorded as a holding.
- Whether any additional Vanguard-affiliated 13F filer beyond Vanguard Capital Management LLC and Vanguard Portfolio Management LLC (for example Vanguard Advisers Inc or Vanguard Fiduciary Trust Co) also holds ORLY shares was not individually checked within the time budget; if so, the true Vanguard aggregate would be somewhat higher than the 69,976,752 shares used here.
- O'Reilly's Q3 2026 10-Q was not yet filed as of 17 August 2026 (per the EDGAR submissions feed for CIK 0000898173), so no activity in that quarter is reflected.
- Institutional holders ranked below Franklin Resources on aggregators (for example Principal Financial Group, Nuveen, Bank of New York Mellon, Jennison, UBS AM, Invesco, Amundi, T. Rowe Price, Arrowstreet, per the existing Q1-2026 13F register snapshot in data/registers/ORLY.json) were not individually re-verified against their own Q2 2026 13F-HR filings, since sixteen institutional holders plus two insider rows already exceed the brief's top 8 to 12 target.
