What a reader needs to know to read these numbers
- Congdon family resolved against the officers/directors group as follows. John R. Congdon, Jr. and David S. Congdon are both current directors (David S. Congdon is also Executive Chairman, an officer), and their proxy-table share counts (8,770,248 and 7,760,147) sum with the other 17 individually named directors/NEOs/officers (525,100 combined) to exactly 17,055,495, the DEF 14A's stated total for 'All Directors, the Named Executive Officers and all of the other Executive Officers as a Group (19 persons)'. Both Congdon rows therefore roll up into that container with no residual left over beyond the 17 other named persons. Earl E. Congdon, the company's co-founder and former Chairman/CEO (now 'Chair Emeritus & Sr. Advisor'), is NOT one of the 19 named persons in that group (confirmed by the exact sum above) and is not a current director, so his holding sits OUTSIDE the container and does not roll up into it, sourced instead from his own Form 4 (4,778,636 shares, period 18 May 2026). This is the same shape as the Walmart/Walton precedent: a family member outside the officers group whose stake would be silently dropped by the 'every insider row belongs to the officers group' shortcut.
- The DEF 14A's Related Person Transactions section states that 'the affiliate members of the Congdon family, in the aggregate, beneficially owned approximately 10% of our outstanding common stock' as of 16 Mar 2026, without naming individuals or an exact share count. This project did not create a separate modelled row for that aggregate figure because the three individually sourced Congdon holders (John R. Congdon 4.227%, David S. Congdon 3.740%, Earl E. Congdon 2.303%) already sum to approximately 10.27% against the same-era share count, which is consistent with 'approximately 10%' within the proxy's own rounding. Any further, more distant Congdon relatives or additional family trusts implied by that 10% language but not individually disclosed in any filing checked in this task are not captured as a row; see unknowns.
- No stock split found or restated. The FY2025 10-K (filed 24 Feb 2026) and the DEF 14A (filed 20 Apr 2026) were both searched for 'split', 'stock split' and 'two-for-one': zero hits in all cases. The FY2025 10-K's exhibit index contains NO Exhibit 21 (Subsidiaries of the Registrant) at all, unlike most large-cap filers, which is itself consistent with Old Dominion having no reportable subsidiary, joint-venture or equity-method structure to disclose (a genuine negative, not a sign the wrong document was searched). Old Dominion is a single-brand, largely single-entity LTL trucking carrier; nothing in the filings fetched in this task indicates any equity-method investment, non-marketable security or joint venture.

Rowe, State Street, Geode, Capital Group together approximately 41%). No double count was found: the two Congdon director rows are reduced out of the container exactly, and Earl E. Congdon is confirmed, by the container's own exact arithmetic, to sit outside it.
- Vanguard swept across all 8 filing entities identified from this project's data/registers/ODFL.json snapshot (used only to enumerate WHO holds, never for share figures), then refreshed against each entity's own Q2 2026 13F-HR. Parent Vanguard Group Inc (CIK 0000102909) filed a notice-only Form 13F-NT for the quarter, so the 8 successors were summed rather than one substituted for another.
- T. Rowe Price entities file information-table values in THOUSANDS; both CIKs (0000080255 Associates and 0001897612 Investment Management) were checked and both report shares directly but dollar VALUE in thousands. Implied price per share was checked on both lines (approximately $216.6) and agreed with each other, confirming the thousands conversion rather than a raw-dollar misread.
- Capital Group: only Capital Research Global Investors (CIK 1422848) holds Old Dominion among the 3 canonical Capital Group 13F registrants checked; Capital World Investors and Capital International Investors were checked and hold zero, so no null row was created for either (per the 'holder checked, found zero is a note, not a null row' rule, this is instead recorded here in notes). The proxy's 'approximately 10%' aggregate figure is fully accounted for by the three sourced holders (approximately 10.27% combined), so any further relatives are believed immaterial, but no filing fetched in this task individually named or sized any additional Congdon holder.
- Value in USD for the four insider/proxy-sourced register rows (the officers/directors group, John R. Congdon, David S. Congdon, Earl E. Congdon): none of the source filings (DEF 14A beneficial ownership table, Form 4) state a dollar value or share price for these holdings, so value_usd is left null rather than modelled with an assumed price.
