The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,610 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,610 managers reported a position, together holding 157.3m shares, or 59.6% of the company. The 40 largest are listed. Percentages are of the 263.7m shares outstanding at 29 Apr 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Holdings direction. Marriott is asset-light: it franchises and manages hotel brands (including MGM Collection with Marriott Bonvoy, Design Hotels, The Ritz-Carlton Yacht Collection, and the Midscale City Express by Marriott brand) rather than owning them, so brand/management relationships are not equity stakes. Its licensing relationship with Marriott Vacations Worldwide Corporation (MVW, spun off in 2011) is a royalty/brand-license arrangement only; no MVW equity was found in either filing. A licensing agreement with Sonder Holdings Inc. was terminated during 2025 (FY2025 10-K, $23 million of termination-related expense); it was never an equity stake either.
- Holdings: the only equity interest either filing discloses is a combined, unnamed balance sheet line, 'Equity method investments': $340 million at 30 June 2026 (Q2 2026 10-Q balance sheet) versus $298 million at year-end 2025 and year-end 2024 (FY2025 10-K, Note 15, Related Party Transactions). The 10-K describes these only in aggregate as 'entities that own or lease properties for which we provide management services and receive fees,' with equity in earnings of $11 million in 2025, and states the carrying amount exceeded Marriott's share of the investees' net book value by $216 million at year-end 2025, 'primarily due to the value... assigned to land, contracts, and buildings owned by the investees.' No individual investee is named or sized in either filing. Searched the Q2 2026 10-Q and FY2025 10-K for: equity method, unconsolidated, joint venture, equity investments, investments in, City Express, MGM, Sonder, noncontrolling, financial asset, non-marketable, cost method, available-for-sale, equity securities, Marriott Vacations, MVW. Because no investee is named, holdings is recorded as an empty array rather than inventing a per-investee split of the $340 million; the combined figure itself is a sourced finding.
- Register: Marriott has a single class of common stock (Class A, $0.01 par value, Nasdaq: MAR); no other class is registered, so no share_classes array is used.
- Vanguard case (rule 7): Vanguard Group Inc (CIK 0000102909) filed Form 13F-NT (notice, no holdings table) for the quarter ended 30 June 2026, consistent with the January 2026 reorganisation of Vanguard's 13F filing structure seen across this project's other files. This is the successor case: Vanguard Capital Management LLC and Vanguard Portfolio Management LLC filed the actual 13F-HR holdings for that quarter and are summed as one 'The Vanguard Group' row (18,082,408 shares), not listed as separate rows and not added on top of a non-existent parent holding.
- Capital Group case: explicitly NOT the Vanguard-successor pattern. Capital World Investors (CIK 0001422849), Capital International Investors (CIK 0001562230), and Capital Research Global Investors (CIK 0001422848) are three separately registered, independently filing advisers that each filed their own live Form 13F-HR for Q2 2026 (none filed 13F-NT). Checked all three individually: only Capital International Investors held MAR common stock (2,598,367 shares, $963,111,051); Capital World Investors held only a Marriott Vacations Worldwide convertible note (a derivative in a different issuer, CUSIP 57164YAF4); Capital Research Global Investors had no Marriott position of any kind (a direct CUSIP 571903202 text search of its information table returned zero hits). The register row sums whichever of the three actually held MAR, which is one of the three.
- The thousands trap: T. Rowe Price Associates' Q2 2026 13F-HR (CIK 0000080255) reports its MAR value column in thousands rather than whole dollars, e.g. '477202' against 1,287,681 shares, an implied $0.37/share if taken literally versus an implied $370.6/share once rescaled by 1,000, consistent with every other filer's implied price for the same quarter. T. Rowe Price's MAR position (1,610,514 shares, rescaled value $596,842,000) fell just outside the top 12 by share count and is not included as a register row, but the correction is documented here since the same filer/convention has caused errors in other files in this project. Implied per-share values for every register row cluster between $368.94 and $374.98 (median approximately $370.6), consistent with MAR's Q2 2026 (30 June 2026) quarter-end price; no other filer showed the thousands pattern.
- The Marriott family position is large and is the story of this register. The 2026 proxy states that after eliminating double-counting, J.W. Marriott, Jr., Deborah M. Harrison, and David S. Marriott together hold 13.22% of outstanding shares, and that figure plus every other named >=5% family owner (Richard E. Marriott, John W. Marriott III, Juliana B. Marriott, Jennifer R. Jackson, Elyse Foulger, the Juliana B. Marriott Marital Trust, and JWM Family Enterprises, Inc.), excluding The Vanguard Group and BlackRock, Inc., totals 17.57% of outstanding shares. Two branches exist: (1) the J.W. Marriott, Jr. line, whose ~22 million-share core position is held through JWM Family Enterprises, Inc. and reported as shared beneficial ownership by J.W. Marriott, Jr. himself (OUTSIDE the Directors and Officers group, since he is Chairman Emeritus and not a current director), by two current directors Deborah Marriott Harrison and David S. Marriott (INSIDE the Directors and Officers group row), and by six further descendants/entities not given separate register rows to avoid re-counting the same shares a further six times (named in the JWM Family Enterprises method_note above); and (2) Richard E. Marriott, J.W. Marriott, Jr.'s brother, a former director whose ~16.4 million shares are held through entirely separate vehicles (First Media, L.P., his own trusts and foundation) with no apparent overlap with JWM Family Enterprises, so his row is treated as non-overlapping.
- Self-gate check: summing the 14 register rows that are neither a member (rolls_up_into set) nor an aggregate (is_aggregate: true) gives 127,942,419 shares against 260,766,288 shares outstanding, or 49.06%. This is the 12 institutional 13F rows (81,196,926 shares, 31.14%) plus the Directors and Officers group (30,347,940 shares) plus Richard E. Marriott (16,397,553 shares). It sits above the 25 to 45% expected band but inside the 15 to 55% outer band; the excess versus a typical large-cap is real and explained, not a double-count artifact: Marriott carries an unusually large, well-documented family insider position on top of ordinary institutional 13F ownership, cross-checked against the proxy's own independently stated 11.43% (Directors and Officers group) and 6.18% (Richard E. Marriott) figures, which sum on a like basis. J.W. Marriott, Jr. (11.62%) and JWM Family Enterprises, Inc. (8.30%) were deliberately excluded from this sum, as aggregate and member respectively, because their shares are already present inside the Directors and Officers group total via Harrison and David S. Marriott; including them again would double the ~22 million-share JWM Family Enterprises stake.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Exact share counts behind the combined 'Equity method investments' balance ($340 million at 30 June 2026, $298 million at year-end 2025). Looked in Note 15 (Related Party Transactions) of the FY2025 10-K and the equivalent balance sheet line of the Q2 2026 10-Q; neither filing names an individual investee.
- Whether Vanguard-affiliated 13F filers other than Vanguard Capital Management LLC and Vanguard Portfolio Management LLC (for example Vanguard Advisers Inc, Vanguard Fiduciary Trust Co, or Vanguard Global Advisers) also hold MAR shares. Not checked individually within the time budget; if they do, the true Vanguard aggregate is somewhat higher than the 18,082,408 shares used here.
- Precise share counts behind the proxy's 13.22% (J.W. Marriott, Jr./Harrison/David S. Marriott dedup) and 17.57% (full family ex-Vanguard/BlackRock dedup) aggregate percentages. The proxy states only the percentages, not a combined share count, so no derived share figure is recorded for either; the register instead uses the filed per-person and per-entity share counts with the overlap explicitly marked.
- Marriott's Q3 2026 10-Q was not yet filed as of 17 August 2026 (checked against the EDGAR submissions feed for CIK 0001048286), so any equity-investment or ownership activity in that quarter is not reflected.
- No independent Schedule 13D/13G cross-check was performed beyond what the 2026 proxy itself discloses for Vanguard and BlackRock; other filers ranked below Northern Trust on institutional-ownership aggregators (e.g. Invesco, which shows 4,273,566 MAR shares in the Q1 2026 13F snapshot, and Massachusetts Financial Services' own more granular sub-funds) were not individually re-verified since the twelve institutional holders already sourced satisfy the top 8 to 12 requirement.
