Description
Leidos Holdings, Inc. is an American defense, aviation, information technology, and biomedical research company headquartered in Reston, Virginia, that provides scientific, engineering, systems integration, and technical services. Founded as Science Applications International Corporation (SAIC), Leidos merged with Lockheed Martin's IT sector, Information Systems & Global Solutions (Lockheed Martin IS&GS), in August 2016 to create the defense industry’s largest IT services provider. The Leidos-Lockheed Martin merger is one of the biggest transactions thus far in the consolidation of the defense sector.

The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 886 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
886 managers reported a position, together holding 100.0m shares, or 79.5% of the company. The 40 largest are listed. Percentages are of the 125.8m shares outstanding at 28 Apr 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Holdings side is genuinely empty. The FY2025 Form 10-K (period ended 2 Jan 2026, filed 17 Feb 2026) and the Q2 FY2026 Form 10-Q (period ended 3 Jul 2026, filed 4 Aug 2026) were both searched via scripts/filing.py for 'equity method', 'unconsolidated', 'joint venture', 'non-marketable', 'nonmarketable', 'minority interest', 'variable interest entity', 'equity securities', 'strategic investment' and 'ownership interest'. Leidos' accounting-policy note in the 10-K states that corporate joint ventures where Leidos has a non-controlling ownership interest with significant influence are accounted for under the equity method, and that equity investments without significant influence and without a readily determinable fair value are carried at cost, but neither filing discloses a dollar balance, an investee name, or an ownership percentage for any such equity-method or cost-basis investment. Exhibit 21 to the FY2025 10-K (https://www.sec.gov/Archives/edgar/data/1336920/000133692026000030/ldos1022026ex21.htm) was also checked: it is a plain two-column Name / Jurisdiction-of-Formation list of subsidiaries with no ownership-percentage column, a genuine negative rather than evidence of looking in the wrong place (same shape as Labcorp's Exhibit 21 noted in the project's chunk-prompt precedent).
- Two joint-venture-shaped items were found and deliberately excluded from holdings, both explained here rather than left to speak for themselves. (1) Hanford Mission Integration Solutions, LLC (HMIS): the FY2025 10-K states Leidos has a 53% controlling interest in HMIS, a joint venture with Centerra Group, LLC and Parsons Government Services, Inc. that is the follow-on contract to the former Mission Support Alliance, LLC contract at the Hanford nuclear site; HMIS is fully consolidated into Leidos' financial statements (the $46-48 million 'non-controlling interest' line on the balance sheet is the Centerra/Parsons minority share of HMIS, not a Leidos-owned stake in a third party). Because Leidos controls and consolidates HMIS, this is treated as a controlled/consolidated entity, not an equity-method holding, and is excluded per the brief's exclusion of wholly owned or controlled operating entities. (2) The SES Business divestiture: on 14 Apr 2026 Leidos, Inc. entered a Contribution and Equity Purchase Agreement with affiliates of Altaris, LLC to combine Leidos' Security Enterprise Solutions and Industrial Automation businesses ('SES Business') with Analogic Corporation (an Altaris portfolio company) into a newly formed joint venture. Upon closing, Leidos is disclosed to retain a 41.5% non-controlling equity interest (to be accounted for as an equity-method investment) and Altaris a 58.5% controlling interest. As of the Q2 FY2026 10-Q (period ended 3 Jul 2026, filed 4 Aug 2026), the transaction had NOT yet closed: the SES Business was still presented as 'held for sale' on Leidos' balance sheet, and the filing states the divestiture is 'expected to be completed during the second half of fiscal 2026.' EDGAR's submissions feed for CIK 0001336920 was checked through the filing dated 13 Aug 2026 (most recent available) and contains no 8-K announcing closing. Because the joint venture does not yet exist as an equity holding, no holdings row is entered; the pending 41.5% interest, once it closes, would be the one holding worth adding on a future refresh.
- Vanguard family register row sums 8 successor entities' own fresh Q2 2026 Form 13F-HR filings (all report period 30 Jun 2026) because Vanguard's parent CIK 0000102909 filed Form 13F-NT (a notice carrying no holdings) for that same quarter, per the brief's rule for when the parent reports nothing. This differs from the treatment used on some other companies in this project (e.g. General Dynamics) where only 2 of the 8 successor entities were summed; here all 8 were checked individually and the family total (14,862,615 shares, 11.84%) is materially larger than a 2-entity sum would show.
- Both the Vanguard and BlackRock rows in the 2026 DEF 14A's 5%-holder table are sourced to old Schedule 13G/A filings (Vanguard: Amendment No. 11, filed 13 Feb 2024, 15,405,579 shares, 12.2%; BlackRock: Amendment No. 2, filed 24 Apr 2025, 8,587,375 shares, 6.8%), both well over a year stale relative to the fresh Q2 2026 13F data used in this file's register rows (Vanguard 14,862,615 shares / 11.84%; BlackRock 9,948,879 shares / 7.93%). Per the brief, the fresher filed 13F figures are used as the register rows; both stale 13G figures are recorded here for reconciliation rather than discarded.
- Capital Group was checked across all three registrant CIKs named in the project's chunk-prompt precedent (Capital World Investors 0001422849, Capital International Investors 0001562230, Capital Research Global Investors 0001422848), each filer's own Q2 2026 Form 13F-HR information table (period 30 Jun 2026). None of the three lists a row for LEIDOS HOLDINGS INC or CUSIP 525327102. This is a checked zero, not an unsized holding, so no Capital Group row appears in the register.
- T. Rowe Price was checked on both registrant CIKs named in the project's chunk-prompt precedent: T. Rowe Price Associates, Inc. (0000080255) and T. Rowe Price Investment Management, Inc. (0001897612), each filer's own Q2 2026 Form 13F-HR (period 30 Jun 2026). Both entities carry values IN THOUSANDS (confirmed by dividing the reported dollar value by the reported share count on each row and cross-checking the implied per-share price against other filers' 30 Jun 2026 13F rows for Leidos, which all imply approximately $103/share): Associates holds 187,876 shares ($19,346 thousand = $19,346,000) and Investment Management holds 3,640 shares ($375 thousand = $375,000), a combined 191,516 shares, about 0.153% of shares outstanding. This is immaterial and not included as a register row (well below the smallest institutional row entered), but is recorded here to show the check was performed on both registrants as required.
- Self-gate computed from the final file exactly as the chart computes it (no rolls_up_into or is_aggregate flags are used anywhere in this register, so the raw sum of all 12 rows' shares is the charted total): 52,306,625 shares, which is 41.68% of shares_outstanding (125,492,209). This sits inside the 25-45% band the brief describes as typical.
- shares_outstanding (125,492,209) is the Q2 FY2026 10-Q cover-page count as of 28 Jul 2026 (filed 4 Aug 2026), the freshest count found. The 2026 DEF 14A used an older count, 126,118,109 shares as of 27 Feb 2026, for its own 5%-holder and insider percentage disclosures; that older denominator is used only for the insider row's pct_of_company (matching the proxy's own stated 0.77%) and is called out in that row's pct_denominator rather than mixed into the fresher 10-Q-based rows.
- market_cap_usd (18,010,000,000) and market_cap_as_of (19 Aug 2026) are taken from stockanalysis.com/stocks/ldos/, an aggregator, as of the date this research was performed; cross-check: 125,492,209 shares x approximately $142-143/share implies roughly $17.85bn-$18.0bn, consistent within rounding.
- Leidos has a single class of common stock, $.0001 par value, one vote per share; no dual-class structure and no founder/controlling-family block (Leidos was spun off from Science Applications International Corporation, SAIC, in 2013).
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether the SES Business / Analogic joint venture with Altaris, LLC (Leidos retaining a disclosed 41.5% non-controlling equity interest) has closed after the Q2 FY2026 10-Q (period ended 3 Jul 2026). The filing states it is expected to close in the second half of fiscal 2026; EDGAR's submissions feed for CIK 0001336920 was checked through 13 Aug 2026 (the most recent filing available) and shows no closing 8-K. No dollar value for this prospective 41.5% interest has been disclosed by Leidos as of the last filing checked.
- The exact dollar value or investee identity, if any, behind Leidos' generic equity-method and cost-basis investment accounting policy language in the FY2025 10-K; no balance, name, or percentage is disclosed for any specific position under this policy (only HMIS and the pending SES/Altaris JV are named anywhere in either filing, and both are excluded from holdings for the reasons stated in notes).
- Leidos' Q3 FY2026 10-Q (covering the quarter ending on or about early October 2026) was not yet filed as of the last EDGAR check (13 Aug 2026 most recent filing); any change to the SES Business divestiture status or new equity-method disclosure in that quarter would not yet be visible here.
- 13D/13G filings by any holder other than Vanguard and BlackRock were not individually searched; the 2026 DEF 14A's own 5%-holder table (full-text searched for 'beneficially own more than five percent') names only those two, which is treated as reasonably conclusive for 5%+ strategic or sovereign holders, but a targeted EDGAR full-text search across all 13D/13G filers for LDOS was not separately run.
