Description
The Kroger Co. is an American retail corporation headquartered in Cincinnati, Ohio. It operates (either directly or through its subsidiaries) supermarkets and multi-department stores throughout the United States. The company was founded by Bernard Kroger in 1883 in Cincinnati. In addition to its retail stores, Kroger operates manufacturing facilities, supermarket fuel centers, pharmacies, and in-store medical clinics.

The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,363 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,363 managers reported a position, together holding 523.1m shares, or 85.4% of the company. The 40 largest are listed. Percentages are of the 612.6m shares outstanding at 24 Jun 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Holdings search. Kroger's fiscal year runs February to January. The most recent 10-Q as of 17 August 2026 covers the 12 weeks ended 23 May 2026 (filed 26 June 2026, accession 0001104659-26-078236); a Q2 FY2026 10-Q for the quarter to roughly mid-August 2026 had not yet been filed. The FY2025 10-K covers the year ended 31 January 2026 (filed 31 March 2026). Both were searched for: equity method, unconsolidated, joint venture, equity investment(s), investment in, affiliate, noncontrolling, Ocado, Home Chef, Albertsons, Lucky's. Neither filing discloses any individually named equity-method investee. The 10-K's Other Assets table shows a combined 'Equity method and other long-term investments' balance of $319 million as of 31 January 2026 (versus $314 million a year earlier), and separately a combined 'other equity investments without a readily determinable fair value' balance of $105 million as of 31 January 2026 (versus $96 million a year earlier). Both are combined balances covering multiple positions with no investee individually named or sized, so per the brief's caution no holdings row is assigned to any single investee.
- Albertsons: the FY2025 10-K confirms the October 2022 Albertsons merger agreement was terminated after the FTC blocked it (administrative proceeding instituted 26 February 2024, followed by litigation); Kroger holds no Albertsons equity as a result of the failed deal. Ocado: Kroger's relationship with Ocado International Holdings Limited and Ocado Group plc is a Partnership Framework Agreement (since amended and restated) that GAAP treats as a lease of robotic automated-fulfillment equipment, not an equity stake; in 2025 Kroger made a roughly $350 million cash termination payment to Ocado to close and cancel certain automated fulfillment centers, and recorded a $954 million impairment of finance lease assets tied to that network. Kroger fully exited an unnamed Level 1 (publicly quoted) equity investment in 2024 for about $303 million proceeds and a $23 million realized gain; that position no longer exists. No holdings row is recorded; the empty array is a sourced finding, not an omission.
- Kroger itself does not appear to file a 13F.
- Berkshire Hathaway cross-edge verification. Berkshire's own Q2 2026 Form 13F-HR (source URL above) was read directly with scripts/filing.py: four KROGER CO information-table lines (CUSIP 501044101) totalling exactly 39,000,000 shares and $2,165,670,000, implying $55.53 per share. This matches the figure already recorded in data/research/berkshire.json exactly, so it is reused rather than re-derived, and Berkshire is added here as its own strategic register row (not rolled up into any officers group).
- Vanguard Rule. Vanguard Group Inc (CIK 0000102909) filed a Form 13F-NT (notice only, no holdings) for Q2 2026, so its Kroger position is the sum of its two successor filers, Vanguard Capital Management LLC and Vanguard Portfolio Management LLC, as detailed in that register row's method_note. This is the 13F-NT case, not the case where the parent itself reports holdings.
- Capital Group family check. All three Capital Group entities (Capital World Investors CIK 0001422849, Capital International Investors CIK 0001562230, Capital Research Global Investors CIK 0001422848) were checked individually against their own Q2 2026 13F-HR information tables for a KROGER/KROG match. None of the three holds any Kroger position; no Capital Group row is included in the register, consistent with the brief's warning that on some companies the family ships with no Capital row at all.
- T. Rowe Price family check. T. Rowe Price Associates, Inc. (CIK 0000080255) holds 816,757 Kroger shares valued at $45,355 thousand in its Q2 2026 13F-HR (source: https://www.sec.gov/Archives/edgar/data/80255/000008025526000519/infotable.xml), which is reported in THOUSANDS: $45,355,000 / 816,757 shares implies $55.53 per share, matching the cluster. T. Rowe Price Investment Management, Inc. (CIK 0001897612) holds no Kroger position in its own Q2 2026 13F-HR. T. Rowe Price Associates' 816,757 shares (0.13% of Kroger) fall below the top-12 cutoff used for this register and are not included as a row, but the family was checked in full per the brief's requirement.
- Cohen & Steers also reports in thousands: its Q2 2026 13F-HR shows 1,800 Kroger shares at a stated value of $100 (i.e. $100,000), implying $55.56 per share, consistent with the cluster once rescaled. This is an immaterial stake (0.0003% of Kroger) and is not included as a register row.
- MFS Investment Management (CIK 0000912938) and Dodge & Cox (CIK 0000200217) were checked directly against their own Q2 2026 13F-HR information tables; neither holds a Kroger position.
- No fresh Schedule 13D or 13G exists for Kroger: the most recent SC 13G/A on file is dated 8 November 2024 (filer CIK 0002012383, i.e. BlackRock, superseded by its more current Q2 2026 13F-HR used in the register above), and no 13D or 13G has been filed since. The register therefore relies entirely on each manager's own Q2 2026 13F-HR plus the 2026 proxy's beneficial ownership table for insiders.
- Register percentages for the institutional rows use 612,647,282 common shares outstanding as of 24 June 2026 (Q1 FY2026 10-Q cover page, the most recent 10-Q available, close in time to the 30 June 2026 13F 'as of' date). The two insider rows instead use the proxy's own denominator of 612,633,958 shares as of the 28 April 2026 record date, matching each source document's own basis.
- Market cap of $34.35 billion, share price of $56.07 and shares outstanding of 612.65 million are stockanalysis.com's figures as of the 17 August 2026 close (612,647,282 shares matches the 10-Q cover page count almost exactly). Cross-check: 612,647,282 shares x $56.07 implies approximately $34.36 billion, consistent with the reported market cap. The current price of $56.07 is a modest rise from the $55.53 per share implied by Berkshire's 30 June 2026 13F holding, a reasonable and directionally consistent gap.
- Self-gate check: summing the 12 non-aggregate, non-member institutional and strategic register rows (66,484,076 + 54,330,207 + 39,000,000 + 29,233,695 + 16,920,677 + 16,603,705 + 15,753,578 + 15,016,165 + 9,406,747 + 6,647,904 + 6,064,900 + 5,085,502 = 280,547,156 shares) plus the CEO's 48,026 shares plus the aggregate officers/directors group reduced for the CEO's shares already counted (2,492,061 - 48,026 = 2,444,035) gives a total of 283,039,217 shares against 612,647,282 shares outstanding, or 46.2%. This is within the acceptable 15 to 55 percent range (above the '25 to 45 percent expected' midpoint but inside the outer bound), consistent with Kroger's large institutional ownership concentration; 14 register rows total.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether Kroger holds any private-company equity stakes not individually disclosed at a materiality threshold requiring separate note disclosure. Both the FY2025 10-K and the Q1 FY2026 10-Q were searched for equity-investment language; both show only combined, unnamed balances ('equity method and other long-term investments', $319 million, and 'other equity investments without a readily determinable fair value', $105 million, both as of 31 January 2026), so no individual investee could be identified or sized from these filings.
- Kroger's Q2 FY2026 10-Q (quarter ending on or around mid-August 2026) had not been filed as of 17 August 2026 per the EDGAR submissions feed for CIK 0000056873, so the shares-outstanding figure used here (612,647,282) is dated 24 June 2026 rather than a more current cover-page count.
- Whether any Vanguard-affiliated 13F filer beyond Vanguard Capital Management LLC and Vanguard Portfolio Management LLC (for example Vanguard Fiduciary Trust Co) also holds Kroger shares was not checked individually; if one does, the true Vanguard aggregate is somewhat higher than the 66,484,076 shares used here.
- Additional institutional holders ranked below Bank of America on the project's KR Q1 2026 13F register snapshot (for example GQG Partners, Dimensional Fund Advisors, Goldman Sachs, LSV Asset Management, Nordea, Invesco, Legal & General, UBS, Charles Schwab Investment Management) were not individually verified against their own Q2 2026 13F-HR filings, since the 12 holders already sourced satisfy the brief's top 8 to 12 requirement.
