The FY2025 10-K and the Q3 FY2026 10-Q were both searched for 'equity method', 'nonconsolidated', 'unconsolidated', 'joint venture', 'partially-owned affiliates', 'Johnson Controls-Hitachi', 'Hitachi', 'equity income', 'investment in' and 'noncontrolling'. Johnson Controls' one large, named joint venture was Johnson Controls-Hitachi Air Conditioning Holding (UK) Ltd. (60% JCI-owned, 40% Hitachi Global Life Solutions, Inc.-owned), part of the global Residential and Light Commercial (R&LC) HVAC business. Because JCI owned 60% it was a CONSOLIDATED controlled subsidiary, not an equity-method investee, so it would have been excluded from holdings even while owned per the brief's control rule. In July 2025 (within FY2025) Johnson Controls sold the entire R&LC HVAC business, including its full interest in the Hitachi joint venture, to Robert Bosch GmbH for approximately $5.6 billion net cash proceeds; the business was classified as discontinued operations. JCI therefore retains NO equity interest, consolidated or otherwise, in the former Hitachi JV as of this filing date. - Register reconciliation: the 2026 proxy statement (Record Date 5 Jan 2026, ownership table dated 7 Jan 2026) discloses three >5% holders sourced from a Notification of Interest under Irish law dated 25 April 2025 (not an SEC Schedule 13G): The Vanguard Group, Inc. 69,026,715 shares (11.2%), Dodge & Cox 60,998,266 shares (10.0%), BlackRock, Inc. 43,759,309 shares (7.1%). These are more than a year stale relative to the Q2 2026 13F data used in the register below, which shows Vanguard lower (60,128,497) and Dodge & Cox lower (55,776,006) but BlackRock HIGHER (54,406,108 vs the proxy's 43,759,309), consistent with position changes between April 2025 and 30 June 2026 rather than a data error. EDGAR shows no Schedule 13D or 13G/A filed against CIK 0000833444 since 13 Nov 2024 (a 13G/A, holder not individually re-verified here since it predates the 13F data used and would be superseded by it).
- Dodge & Cox (CIK 0000200217) was added to the register despite not appearing on the initially supplied verified-manager CIK list, because the project's own Q1 2026 13F register snapshot (data/registers/JCI.json) already showed it as the second-largest holder (57,506,214 shares) and the 2026 proxy confirms it as a >5% owner; omitting it would have materially misstated the top of the register.
- The Vanguard rule: Vanguard Group Inc (CIK 0000102909) filed Form 13F-NT (notice, no holdings) for Q2 2026, confirmed via its own EDGAR submissions feed. Its position is reported entirely by two successor entities, Vanguard Capital Management LLC and Vanguard Portfolio Management LLC, which are summed into the single Vanguard row above. Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Dollar value, cost basis, or fair value of any residual equity interest Johnson Controls might retain related to the divested Hitachi joint venture. None was found; the R&LC HVAC business (including the full 60% Hitachi JV interest) was sold in its entirety to Robert Bosch GmbH in July 2025, so no residual interest appears to exist, but this is an absence-of-evidence conclusion from the FY2025 10-K and Q3 FY2026 10-Q rather than an explicit 'no remaining interest' statement.
- Whether Johnson Controls holds any other, smaller equity-method or joint-venture investments not individually named in the FY2025 10-K or the Q3 FY2026 10-Q. The accounting policy note describes the category in general terms ('Investments in partially-owned affiliates... equity method... ownership interest exceeds 20%') but neither filing names any specific continuing investee besides the divested Hitachi JV, and continuing-operations equity income is immaterial ($3 million for the nine months ended 30 June 2026).
