The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,164 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,164 managers reported a position, together holding 216.8m shares, or 95.3% of the company. The 40 largest are listed. Percentages are of the 227.6m shares outstanding at 23 Apr 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Holdings are empty by design, a sourced finding rather than a gap. The FY2025 10-K and Q2 2026 10-Q were both searched for 'equity method', 'unconsolidated', 'joint venture', 'investments in', 'noncontrolling interest', 'affiliate' and named brand-partnership terms. The 10-Q contains zero hits for 'equity method' and zero for 'joint venture' as standalone note topics; the 10-K's Note 6, 'Loss on Investments in Unconsolidated Affiliate', is entirely about ONE historical position: an equity-method investment in a third-party fund referred to as 'the Fund', which held underlying hotel real estate that Hilton manages or franchises. In March 2023 the Fund failed to comply with its debt covenants, and Hilton recognized a $44 million other-than-temporary impairment on the investment (fully written to zero fair value) plus $48 million of credit losses on related financing receivables, also written to zero. As of the FY2025 10-K and Q2 2026 10-Q, this position has a net carrying value of zero and is not resized or reinstated anywhere in either filing, so it is not listed as a current holding.
- Two 2024 items that are explicitly NOT equity holdings, called out because they are the obvious way to get an asset-light hotel company wrong. First: in 2024 Hilton 'partnered with' Small Luxury Hotels of the World (SLH) and AutoCamp. The only detail given (10-K risk-factor language plus the Q4 2023 earnings release announcing the SLH deal) describes this as 'a new, exclusive partnership... to expand our distribution of luxury hotels', i.e. a distribution and loyalty-program marketing arrangement, not an equity investment; no acquisition cost, ownership percentage or balance-sheet line is disclosed for either relationship in the 10-K, consistent with it being a commercial contract rather than a stake. Second: Hilton Grand Vacations Inc. (HGV, NYSE: HGV), spun off by Hilton in 2017, pays Hilton licensing fees under a long-term brand license agreement per the 10-K's revenue description; the 10-K contains no mention of a spin-off retained stake, and neither 'spin-off' nor 'spinoff' appears anywhere in the filing. HGV trades as a fully separate public company with its own distinct 13F ownership base (confirmed directly: Vanguard's and BlackRock's Q2 2026 13F info tables report Hilton Worldwide Hldgs Inc, CUSIP 43300A203, and Hilton Grand Vacations Inc, CUSIP 43283X105, as two separate line items with no overlap), which is consistent with Hilton retaining no residual equity in HGV.
- The Sydell Group (owner of the NoMad hotel brand, acquired April 2024) and the Graduate hotel brand (acquired May 2024) are both described in the 10-K as business combinations giving Hilton a CONTROLLING financial interest (Sydell carries a redeemable noncontrolling interest, i.e. Hilton consolidates it and a minority holds the NCI, the reverse of an equity-method minority stake). Per the brief, wholly owned or majority-controlled consolidated subsidiaries are excluded from holdings; correctly excluded here.
- The us-gaap:EquityMethodInvestments XBRL tag, which Hilton used through fiscal year 2016 (last reported value: $105 million at 31 Dec 2016), has not been reported by Hilton in any filing since; the FY2025 10-K's Note 6 states that assets relating to equity and debt financing provided to unconsolidated affiliates are folded into 'other current assets or other non-current assets' on the balance sheet with no separate line item or combined total disclosed anywhere in the filing. Unlike some peers in this dataset, Hilton does not even give a combined 'investments in affiliates' balance to avoid mis-splitting; there is simply no current disclosed figure, sourced or combined, for any equity-method position beyond the fully impaired Fund. This is reported as a gap in unknowns rather than treated as zero.
- No concentrated strategic or sovereign holder currently exists on Hilton's register, and this was checked rather than assumed. Hilton was taken private by Blackstone via LBO in 2007 and IPO'd in 2013; EDGAR's full filing history for CIK 0001585689 shows Blackstone-affiliated entities filing Schedule 13D/A as recently as 19 Apr 2018, but NO Schedule 13D or 13G of any kind has been filed on Hilton since 11 Mar 2024, and none of the filers in Hilton's full 13D/13G history since 2018 (checked via EDGAR's SC 13 filing index for CIK 0001585689) is Blackstone or any other private-equity or sovereign entity; all are index or active asset managers (Vanguard, BlackRock, T. Rowe Price, FMR, Capital Group, Wellington, State Street, Geode). Hilton's 2026 proxy's 'Principal Stockholders' (5%+ beneficial owner) table lists only The Vanguard Group and BlackRock, Inc., no third name. The only remaining Blackstone link is personal: Jonathan D. Gray, Blackstone's President and COO, has chaired Hilton's board since 2007 and holds 740,105 shares (0.33%) individually per the proxy, well below any reporting threshold and far too small to represent a residual Blackstone corporate position. A separate historical strategic holder, HNA Group (a Chinese conglomerate that briefly held roughly 25% of Hilton, acquired 2016-2017 and fully divested by 2018), does not appear anywhere in the FY2025 10-K, the Q2 2026 10-Q or the 2026 proxy ('HNA' returns zero hits in the 10-K), consistent with a long-completed exit. Conclusion: Hilton currently has no PE, corporate or sovereign strategic holder at reportable size; Norges Bank's 1.14% position is a diversified sovereign-wealth index-style holding, not a control-oriented stake, and is labelled sovereign rather than strategic for that reason.
- Percentages are computed against 225,064,910 common shares outstanding as of 23 Jul 2026 (Q2 2026 10-Q cover page) for every register row, including the three proxy-sourced rows (whose own beneficial-ownership date is the 20 Mar 2026 proxy record date, a few months earlier; Hilton's share count did not change enough between the two dates to materially affect the percentages, since both dates fall within the same ~225-230 million share range shown across the FY2025 10-K and the two 2026 10-Qs). No stock split was found in the FY2025 10-K or either 2026 10-Q ('stock split' and 'forward split' return zero hits in the 10-K).
- Self-gate check, computed with the same arithmetic the chart uses. 12 register rows: 9 institutional 13F rows (Vanguard family, BlackRock, State Street, FMR, Geode, T. Rowe Price family, Capital Group family, Norges Bank, Wellington) plus 3 proxy rows (Nassetta and Gray as members, the 14-person officers/directors group as an aggregate reduced to its residual of 6,275,089 minus 4,664,062 minus 740,105 = 870,922). Total: 88,135,964 shares against 225,064,910 shares outstanding, or 39.15 percent, within the expected 25 to 45 percent range.
- Market capitalization ($74.38bn) and share price ($330.49) are stockanalysis.com's real-time figures as of 18 Aug 2026, 12:40pm EDT. Cross-check: 225,064,910 shares x $330.49 implies approximately $74.38bn, matching. The 13F filings above (as of 30 Jun 2026) imply a consistent per-share price of approximately $330.5 across State Street, BlackRock, Capital Group and the rescaled T. Rowe Price figures, which is close to today's $330.49 despite the roughly seven-week gap between the 13F measurement date and today, i.e. HLT's price was little changed over that period.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether Hilton holds any equity-method investment beyond the fully impaired 'Fund' position: the FY2025 10-K and Q2 2026 10-Q disclose no separate balance, combined or itemized, for current investments in unconsolidated affiliates; both filings state only that such assets are folded into undifferentiated 'other current assets' or 'other non-current assets'.
- Whether Hilton's brand partnerships with Small Luxury Hotels of the World and AutoCamp (announced 2024) carry any minority equity component alongside the distribution/licensing arrangement; no 8-K, 10-K or earnings-release language found in this research names an equity stake, only a 'partnership' for room distribution, but the underlying commercial agreements were not directly reviewed.
- Vanguard-affiliated 13F filers other than Vanguard Capital Management LLC and Vanguard Portfolio Management LLC (for example Vanguard Advisers Inc, Vanguard Fiduciary Trust Co, Vanguard Global Advisers) were not individually checked for HLT holdings within the time budget; if they hold HLT shares, the true Vanguard family aggregate is somewhat higher than the 22,490,840 shares used here.
- Precise dollar values for the three proxy-sourced insider/aggregate register rows (Nassetta, Gray, and the 14-person officers and directors group) are null: the proxy's beneficial ownership table gives share counts and percentages but not dollar values, and no share price as of the 20 Mar 2026 proxy record date was independently sourced, so a value was not estimated rather than guessed.
- Morgan Stanley, JPMorgan, Northern Trust, Bank of America, Charles Schwab Investment Management and MFS were not individually checked for HLT in this research; the 9 institutional families listed (accounting for roughly 87.9 million of the 88.1 million total register shares) already exceed the brief's target of 8 to 12 holders and include every family the brief specifically flagged (Vanguard, both T. Rowe CIKs, all three Capital Group CIKs, and Dodge & Cox, Berkshire Hathaway and Wellington by name), so this was treated as sufficient within the time budget rather than pursued further.
