Description
Flex Ltd. (previously known as Flextronics International Ltd. or Flextronics) is a Singapore-domiciled multinational manufacturing company. It is the world's third largest global electronics manufacturing services (EMS), original design manufacturer (ODM) company by revenue, behind only Pegatron. The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 773 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
773 managers reported a position, together holding 351.5m shares, or 95.9% of the company. The 40 largest are listed. Percentages are of the 366.4m shares outstanding at 14 May 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Nextracker: FULLY EXITED, no current holding, recorded here as a note with no row rather than a null-shares row. Flex completed the spin-off of its remaining interest in Nextracker Inc. to Flex shareholders on 2 January 2024 (pro rata distribution as of the 29 Dec 2023 record date). Flex's FY2026 10-K (period ended 31 Mar 2026, filed 20 May 2026, https://www.sec.gov/Archives/edgar/data/866374/000086637426000012/flex-20260331.htm) states directly: 'As a result of the completion of the spin-off, Nextracker became a fully independent public company, Flex no longer directly or indirectly holds any shares of Nextracker common stock.' Confirmed by the absence of any mention of 'Nextracker' anywhere in the latest 10-Q (period ended 26 Jun 2026, filed 31 Jul 2026, https://www.sec.gov/Archives/edgar/data/866374/000086637426000030/flex-20260626.htm), searched directly and returning 0 hits. Flex retains only a Tax Receivable Agreement (TRA) with Nextracker and TPG entitling it to a contingent share of Nextracker's IPO-related tax benefits (zero to approximately $300 million over 20 years, $20 million received in fiscal year 2026); Flex has NOT recorded any asset for this contingent right, and it is not equity ownership, so it is not recorded as a holding.
- Flex's investment portfolio otherwise consists of strategic investments in privately held companies and certain venture capital funds (equity-method and cost-method), carried within other non-current assets. As of 31 Mar 2026 this combined balance totaled $67 million ($119 million at 31 Mar 2025), per the FY2026 10-K. No individual investee company is named anywhere in the 10-K body. Fiscal 2026's $31 million equity-method loss was driven by a $25 million loss on 'a specific venture capital fund' (unnamed) plus a $21 million impairment on 'a different specific venture capital fund' (unnamed), both in Other charges (income), net. Per the brief's rule against sizing an unnamed combined bucket, no holding row is created for this portfolio; the aggregate figure is recorded here only as context.
- Exhibit 21.1 of the FY2026 10-K was checked for an ownership-percentage column (the technique that worked for Quest Diagnostics and PPG in earlier chunks). It is a bare name list of Flex's own wholly owned subsidiaries with no percentage column and no joint-venture entries; one entry, 'Nextracker Chile SpA,' is a Flex subsidiary that retained the Nextracker name after the 2024 spin-off but has no connection to Nextracker Inc. (NASDAQ: NXT) and is not evidence of any residual stake.
- On 5 May 2026, Flex announced its intention to separate its CPI (Cloud and Power Infrastructure) segment into an independent, publicly traded company ('SpinCo'), expected to complete in Q1 calendar 2027 subject to board, shareholder, Singapore High Court and SEC approval. This is a future separation of a currently wholly owned segment, not a holding in another company as of the dates covered here, so no holding row is created; noted for context because it mirrors the earlier Nextracker separation and will be relevant to future refreshes of this file.
- Flex Ltd. is incorporated in Singapore (10-Q and 10-K cover pages both state 'Singapore' as the jurisdiction of incorporation/organization), not the United States, and is listed on Nasdaq. This does not appear to change which holders file 13D/G or 13F with the SEC: all register rows here are sourced from SEC-filed 13F-HR information tables and Flex's own SEC-filed DEF 14A, filed exactly as they would be for a domestic filer, since Flex is a large accelerated filer that reports on US domestic forms (10-K/10-Q/DEF 14A) rather than as a foreign private issuer.
- Company has a single class of ordinary shares; no dual-class structure (unlike Nextracker, the company it spun off, which is dual-class).
- Capital Group family checked and found to hold only a small position: of eight Capital Group-affiliated 13F filers checked for Q2 2026 (Capital World Investors 0001422849, Capital International Investors 0001562230, Capital Research Global Investors 0001422848, Capital International, Inc./CA 0000895213, Capital Group Investment Management Pte. Ltd. 0001939970, Capital Group Private Client Services, Inc. 0001857666, Capital International Ltd /CA/ 0001065350, Capital International Sarl 0001065349), only Capital World Investors holds Flex: 371,780 shares, $60,254,385, implied price $162.07/sh, consistent with the rest of the register. The other seven hold zero Flex (Capital International Investors' only 'FLEX'-fragment match was Teleflex, a different company). The two parent-level registrants, Capital Group Companies, Inc. 0000732812 and Capital Group International, Inc. 0000949308, filed Form 13F-NT (no holdings) for Q2 2026. At 371,780 shares (0.10% of the company), Capital Group does not reach the top 8-12 register threshold used here and is recorded in this note rather than as a row.
- Self-gate computed from this final file: 12 register rows (Vanguard family, BlackRock, PRIMECAP, Janus Henderson, Fidelity, Wellington, State Street, Geode, Boston Partners, Invesco, T. Rowe Price Associates, and the officers/directors aggregate; no row rolls up into another, so every row counts at full value), totaling 216,921,090 shares, against shares_outstanding 369,402,978 = 58.72% of the company. This is above the brief's 55% flag threshold. Checked for the three usual causes and none was found: every institutional row is the same CUSIP Y2573F102 Flex Ltd. common stock read directly from each holder's own 13F-HR (T. Rowe Price's figure converted from its as-filed thousands), all but two rows price within a tight $161.45-$162.08/sh band as of 30 Jun 2026 (Geode and Boston Partners are 0.4% and 0.85% low respectively, immaterial), Janus Henderson is explicitly flagged as one quarter stale rather than silently treated as fresh, and no holder appears twice (Vanguard is one family row summed from 8 successor entities under a parent 13F-NT, T. Rowe Price is reported once after confirming its second registrant holds zero, and Capital Group is excluded as a note rather than double-counted). Flex's mega-cap, heavily-covered institutional shareholder base (its 5%-owner table alone lists 6 institutions before any individual director or officer) appears to be a genuine feature of this stock rather than an artifact, similar to the accepted high reading on Domino's Pizza in this same database.
- Current price used for market_cap_usd is a live intraday quote (Nasdaq API, $113.37, 19 Aug 2026 3:20pm ET, down 5.71% on the day) multiplied by the 24 Jul 2026 cover-page share count (369,402,978); the two dates do not match exactly (about four weeks apart) because no single filing carries both a current price and a current share count. Note the large gap between the 30 Jun 2026 13F pricing basis (~$162.07/sh) and the 19 Aug 2026 quote (~$113.37/sh): Flex's 52-week range is $47.83-$166.86, so this is within its normal volatility band for the period, not a data error.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- No 13D or 13G filed directly against Flex Ltd. stock was searched independently of the proxy's own 5%-owner table and the 13F sweep performed here, so any strategic or sovereign holder below the ~1.6% threshold of the smallest row included (Invesco) and outside the named institutions checked would be missed.
- The combined $67 million 'investments in non-consolidated companies' balance (privately held companies plus venture capital funds) cannot be split among individual investees from any public disclosure found; no single investee is named in the 10-K, so none can be sized as a separate holding.
- Janus Henderson Group's Q2 2026 (period 30 Jun 2026) 13F-HR had not been filed as of 19 Aug 2026, five days past the standard 45-day deadline; its register row here uses the most recent available filing (period 31 Mar 2026) and is flagged as stale in its own method_note. A refresh should re-check for a Q2 2026 filing.
- Market cap is a computed figure (live price times the 24 Jul 2026 share count), not a figure read directly off one page that states market cap; see the note on the roughly one-month gap between those two dates.
