The headcount is the figure the sources below state for 2025. The description was written for this site in August 2026 from Ferguson Enterprises Inc. Description
Ferguson Enterprises Inc. is a distributor of plumbing, heating, ventilation and air conditioning equipment, appliances, lighting, pipes, valves and fittings and water and wastewater products to residential and non-residential contractors in North America. The business goes back to a 1953 plumbing wholesaler in Newport News, Virginia that the British group Wolseley plc bought in 1982; Wolseley renamed itself Ferguson plc in 2017, and on 1 August 2024 the group moved its parent company to Delaware as Ferguson Enterprises Inc. In the year to 31 July 2025 net sales were $30.76 billion, of which the United States segment supplied $29.27 billion and the Canada segment, trading as Wolseley, $1.49 billion; non-residential work accounted for $14.67 billion of the United States total. It operated 1,746 branches and about 35,000 staff at that date, and is moving its financial year end to 31 December from 2026.

The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 915 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
915 managers reported a position, together holding 181.0m shares, or 93.3% of the company. The 40 largest are listed. Percentages are of the 193.9m shares outstanding at 28 Apr 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Filing regime: CIK 0002011641 is the NEW US registrant, Ferguson Enterprises Inc. /DE/, formed when the group's holding company redomiciled to the United States (formerly Ferguson plc, and before that Wolseley plc). Its EDGAR filing history under this CIK begins in 2024. This company files under the US domestic regime (10-K/10-KT/10-Q/DEF 14A/Form 4), not 20-F. All figures in this file come from this new CIK's own filings; no figures were carried over from the old Ferguson plc/Wolseley UK filer.
- Fiscal year change, not just a July year-end: EDGAR shows Ferguson changed its fiscal year end from 31 July to 31 December during this history. The last 'old' annual report is a 10-K for FY ended 31 Jul 2025 (filed 26 Sep 2025). A Form 10-KT (transition-period annual report) covering the 5-month stub period 1 Aug 2025 to 31 Dec 2025 was filed 27 Feb 2026. Quarters have run on a calendar basis since: 10-Q for the quarter ended 31 Mar 2026 (filed 5 May 2026) and 10-Q for the quarter ended 30 Jun 2026 (filed 10 Aug 2026). By date, the newest substantive filing as of this research (19 Aug 2026) is the 30 Jun 2026 10-Q, which postdates the 10-KT; that 10-Q is the primary source used here for company financial figures and equity-investment search terms. The DEF 14A (filed 16 Mar 2026, for the transition-period annual meeting) covers the period ended 31 Dec 2025.
- Dual listing: Ferguson trades on both the NYSE (FERG, primary) and the London Stock Exchange. Any register built purely from US 13F filings and a US proxy will understate the true float, since UK-held shares (retail and UK institutional) are largely invisible to 13F reporting. This is the most likely reason the self-gate total below sits toward the lower half of the usual 25-45% band rather than higher: a meaningful slice of Ferguson's register is simply outside the reach of the sources this file is built from.
- Holdings side is empty (no equity-method investments, joint ventures, or minority stakes in other companies found). Established by searching: (1) the newest 10-Q, quarter ended 30 Jun 2026 (https://www.sec.gov/Archives/edgar/data/2011641/000201164126000040/ferg-20260630.htm), for 'equity method', 'unconsolidated', 'joint venture', 'non-marketable', 'minority interest', 'associate', 'investments in', 'equity investment': no equity-method or JV investee found (the only 'joint venture' hits are generic M&A risk-factor boilerplate, and 'associate' refers throughout to Ferguson's own employees, a term the company uses in place of 'employee'). (2) The 10-KT for the transition period ended 31 Dec 2025 (https://www.sec.gov/Archives/edgar/data/2011641/000201164126000006/ferg-20251231.htm): same result, plus a disclosed but un-itemized fair-value 'equity investments' bucket of $33 million as of 31 Dec 2025 (fiscal 2025: $39 million; fiscal 2024: $28 million), described only as Level 3 non-marketable equity investments with no investee named or broken out, so per this project's rule on combined balances, no individual holding can be sized from it. (3) Exhibit 21 (list of significant subsidiaries) of the FY2025 10-K, filed 26 Sep 2025 (https://www.sec.gov/Archives/edgar/data/2011641/000201164125000027/exhibit211listofsignifican.htm): a plain name-and-jurisdiction list (checked for '%', 'percent', 'owned': all zero hits), so it carries no ownership-percentage column and is a genuine negative rather than evidence of a wrong search location, matching the Labcorp pattern noted in the chunk prompt. Ferguson is a wholesale distributor; its M&A activity (many small named acquisitions visible in Exhibit 21, e.g. Frishkorn Inc., Geo-Solutions, Lyon Conklin & Co.) is wholly-owned roll-up activity, not a minority stake, and is excluded from holdings per the brief.
- Self-gate (computed from the final register array above, using the chart's own arithmetic: full value for every row, since no row here carries rolls_up_into or a reduced is_aggregate container): 13 rows, total shares 78,207,818, shares_outstanding 193,452,717, giving 40.43%. This sits within the documented 25% to 45% band.
- shares_outstanding = 193,452,717 is common stock outstanding as of 3 Aug 2026, taken from the cover page of the 10-Q for the quarter ended 30 Jun 2026 (filed 10 Aug 2026). This is issued LESS TREASURY: the same 10-Q's condensed statement of changes in equity shows 7,891,376 treasury shares held as of 30 Jun 2026, and a separately stated 'Total shares outstanding at end of period' of 193,451,877 as of 30 Jun 2026 (close to, but not identical to, the 3 Aug 2026 cover-page figure, the small difference reflecting share issuance/vesting and buybacks between the two dates).
- Vanguard is reported via 8 successor entities because its parent CIK (0000102909) filed Form 13F-NT (notice only, no holdings) for the quarter ended 30 Jun 2026: this is the case where the successors ARE the position (the PNC pattern from the chunk prompt), not a case calling for substitution of a single entity.
- Capital Group's Q2 2026 FERG position is held entirely through Capital Research Global Investors (CIK 1422848); Capital World Investors and Capital International Investors were checked and hold nothing this quarter. T. Rowe Price's two registrants (Associates and Investment Management) both file 13F values in thousands of dollars, confirmed by an implied-price-per-share check against the ~$237/share level seen across every other Q2 2026 13F row in this register.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- No 20-F or other foreign-private-issuer filing exists for this CIK to check; confirmed via the submissions JSON that this registrant files the US domestic form set.
- Janus Henderson Group's Q2 2026 (30 Jun 2026) Form 13F-HR could not be located under its known CIK (0001274173) as of 19 Aug 2026; the row in this file uses its last filed 13F-HR (quarter ended 31 Mar 2026) instead and is flagged stale relative to the rest of the register. The group CIK shows a Schedule 13E-3 and a Form 15-12G (deregistration) filed in July 2026, suggesting some corporate reorganization; the cause was not investigated further as it falls outside the scope of researching Ferguson itself.
- The full Capital Group family beyond the three standard registrants (Capital Research Global Investors, Capital World Investors, Capital International Investors) was not swept, since this project has no known CIK list for the further sub-registrants mentioned in other companies' research (e.g. TransDigm found six total). If any of those additional entities hold FERG, the Capital Group row here understates the family total.
- The London-listed portion of Ferguson's register (UK retail and institutional holders not captured by SEC 13F filings) could not be sized from any source fetched in this task; this is noted as the likely explanation for the self-gate total sitting in the lower-middle of the usual band rather than higher, given the size of Ferguson's dual listing.
