The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,109 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,109 managers reported a position, together holding 123.2m shares, or 91.5% of the company. The 40 largest are listed. Percentages are of the 134.7m shares outstanding at 17 Apr 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Holdings are empty by design, a sourced finding rather than a gap. The Q2 2026 10-Q (period ended 30 Jun 2026, filed 23 Jul 2026) was searched in full text for 'equity method', 'unconsolidated', 'joint venture', 'non-marketable', 'noncontrolling', 'non controlling', 'NCI ', 'minority interest', 'retained interest', 'equity investment', 'consolidated VIE', 'majority owned', 'majority-owned', 'less than wholly' and 'variable interest entity'. Every one of these returned zero hits. The FY2025 10-K (filed 13 Feb 2026) was searched with the same term list plus 'investments in': the only hits were 6 for 'equity method' (all describing a position that was FULLY SOLD, see below), 11 for 'investments in' (all boilerplate about capital investment in Dover's own R&D, capacity and talent, none naming an investee company), and zero for 'unconsolidated', 'joint venture', 'non-marketable', 'noncontrolling', 'non controlling', 'NCI ', 'minority interest', 'retained interest', 'equity investment', 'consolidated VIE', 'majority owned', 'majority-owned' and 'less than wholly'.
- Dover DID hold a minority owned equity method investment (Climate & Sustainability Technologies segment) through Q3 2024, but it was FULLY SOLD on 30 Sep 2024 alongside the De-Sta-Co business divestiture; the FY2025 10-K states Dover 'received its proportionate share of the proceeds' and received trailing net proceeds of $6.0 million in 2025 (final wind-down) after $93.0 million in 2024. This answers the brief's specific instruction to check for a retained minority stake from a divestiture: verified ABSENT. Dover exited fully; nothing was retained. By the current Q2 2026 10-Q, this investment and its associated 'equity method' language no longer appear anywhere in the filing.
- Consolidated-but-not-wholly-owned structures (the Nucor/Moody's ICRA precedent) were also checked and found absent: 'noncontrolling', 'non controlling', 'NCI ', 'consolidated VIE', 'majority owned' and 'majority-owned' all returned zero hits in both the FY2025 10-K and the Q2 2026 10-Q. This is consistent with Dover's business model as described in the brief: it grows almost entirely by acquiring businesses outright (wholly owned operating subsidiaries), which the brief explicitly excludes.
- Dover has a single class of common stock and no dual-class or founder-control structure. Kristiane C. Graham, a director since 1999, is described in the 2026 proxy as 'a member of one of the founding families of Dover' and is Dover's closest analogue to a founder-family holder, but her beneficial ownership (198,200 shares, 0.15% of shares outstanding) is director-level, not a controlling or even a 5%-threshold stake. EDGAR's Schedule 13 filing history for Dover (CIK 0000029905, https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0000029905&type=SC+13&owner=include&count=100&output=atom) was checked in full: 75 filings, all SC 13G or SC 13G/A (49 amendments, 26 initial), zero SC 13D of any kind. No activist or control-seeking filer, and no Graham-family or foundation-affiliated Schedule 13D/13G, was found at any point in Dover's filing history.
- Register cross-check against the proxy's own 5%-holder table (based on stale Schedule 13G/A filings). The 2026 proxy names three 5%+ holders: The Vanguard Group at 16,496,972 shares (12.2%, per a Schedule 13G/A filed 13 Feb 2024 for beneficial ownership as of 31 Dec 2023), BlackRock, Inc. at 9,869,911 shares (7.3%, per a Schedule 13G/A filed 26 Jan 2024 for 31 Dec 2023), and JPMorgan Chase & Co. at 10,028,407 shares (7.4%, footnote 15, underlying 13G date not independently re-fetched here). The register below instead uses each manager's fresh Q2 2026 Form 13F-HR (30 Jun 2026 position date) per the brief's instruction to prefer the fresh 13F over a stale 13G: Vanguard's seven active successor entities sum to 16,695,516 shares (12.40%), BlackRock is 10,465,196 shares (7.77%), and JPMorgan Chase is 14,615,050 shares (10.85%), all higher than the corresponding stale 13G/13G-derived figures, consistent with continued accumulation since the 2023/2024 13G dates rather than a data error. No holder beyond these three plus the six additional institutional managers below was flagged as a 5% holder in the proxy.
- Capital Group family (all three CIKs checked per the brief) does not currently hold DOV: Capital World Investors (CIK 1422849, 637 rows), Capital International Investors (CIK 1562230, 446 rows) and Capital Research Global Investors (CIK 1422848, 426 rows) were each checked directly against CUSIP 260003108 in their Q2 2026 13F-HR info tables and none contains it. No Capital Group row appears in the register as a result; this is a sourced absence, not an omission.
- T. Rowe Price Investment Management, Inc. (CIK 0001897612), the separate registrant named in the brief, was checked and does not hold DOV for Q2 2026 (no match against CUSIP 260003108 in its 738-row info table); only T. Rowe Price Associates, Inc. (CIK 0000080255) holds, and its raw XML value is in THOUSANDS (confirmed by an implied unscaled price of $0.224/share against a real cluster price of about $224.28 to $224.32/share from six independent 13F filers on the same date), consistent with the brief's warning that this has now been caught on multiple companies.
- Percentages are computed against 134,680,225 common shares outstanding as of 17 Jul 2026 (Q2 2026 10-Q cover page) for every register row, including the insider rows sourced from the proxy's beneficial ownership table, which itself states an internally inconsistent pair of dates (ownership 'as of March 10, 2025' but a percentage denominator of 134,796,450 shares 'on March 16, 2026'); both dates are recorded exactly as the proxy states them, and this file's own percentages are recalculated against the single 17 Jul 2026 10-Q denominator rather than either proxy date, per the brief's one-denominator rule.
- No stock split found. The FY2025 10-K and Q2 2026 10-Q were searched for 'stock split', 'two-for-one', 'forward split' and 'reverse split'; the single hit was generic equity-plan boilerplate about shares being 'subject to adjustments resulting from stock dividends, stock splits, recapitalizations...', not a description of an actual split event.
- Market capitalisation of $27.38 billion and the $203.33 share price are stockanalysis.com's figures as of 18 Aug 2026, 1:10pm EDT (intraday, market open). Cross-check: 134,680,225 shares x $203.33 implies approximately $27.38 billion, matching the reported market cap.
- Self-gate check, computed with the chart's own arithmetic (member rows at full value, only the aggregate they roll into is reduced by that value): 12 register rows (9 institutional 13F rows plus 3 proxy rows: Tobin, Graham, and the 15-person officers/directors group). Members map: Tobin's 915,484 and Graham's 198,200 shares roll into the 15-person group, whose raw 1,477,686 shares is reduced to a residual of 364,002 (1,477,686 minus 1,113,684); every other row, including Tobin's and Graham's own rows, counts at full value. Institutional subtotal (Vanguard 16,695,516 + JPMorgan 14,615,050 + BlackRock 10,465,196 + State Street 6,619,459 + FMR 4,366,323 + Geode 3,585,672 + Morgan Stanley 2,473,136 + Norges Bank 1,620,058 + T. Rowe Price 692,972) = 61,133,382. Insider subtotal (Tobin 915,484 + Graham 198,200 + group residual 364,002) = 1,477,686. Total = 62,611,068 shares against 134,680,225 shares outstanding, or 46.49%. This is slightly above the brief's rough 25 to 45 percent expectation but well under the 55 percent flag threshold; the driver is JPMorgan Chase & Co.'s unusually large 13F position (10.85% of the company, larger than BlackRock's), which was independently verified by direct CUSIP lookup against its Q2 2026 info table (21 summed lines, one derivative-options line correctly excluded) rather than assumed.
- COORDINATOR EDGE BACKFILL, 19 Aug 2026: Cincinnati Financial Corporation was added to this register at 1,331,380 shares (0.9885%), verified by re-summing its five affiliated 13F registrants first-hand rather than copying the figure from cincinnati-financial.json. The charted register total moves from 62,611,068 (46.49%) to 63,942,448 (47.48%). It was found by investigating a SIZED crosscheck BACKFILL line, which this project treats as a real miss rather than noise: the chunk prompt records two earlier sized lines, berkshire to delta-air-lines and nvidia to coherent, that both turned out to be genuine missing holders. Twenty-six further Cincinnati Financial backfill lines were investigated at the same time and deliberately NOT actioned, because those stakes sit far below the target's own register threshold; this one does not.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether any Vanguard-affiliated 13F filer outside the eight CIKs checked (0002100119, 0002100121, 0000933478, 0001811242, 0001680208, 0001550100, 0001767306, 0001984256, the complete set identified by this project's own registers/DOV.json Q1 2026 dataset) also holds DOV; those eight are the complete set that dataset identified as ever holding DOV, and all eight were individually reconfirmed for Q2 2026, but a Vanguard entity that started a DOV position for the first time this quarter and was outside that prior list would not have been checked.
- Dollar values for the three proxy-sourced insider register rows (Tobin, Graham, and the 15-person group) are null: the proxy's beneficial ownership table gives share counts and a percentage but not a dollar value, and no share price as of the proxy's stated 10 Mar 2025 or 16 Mar 2026 dates was independently sourced, so a value was not estimated rather than guessed.
- Institutional holders ranked below T. Rowe Price in this project's own Q1 2026 registers/DOV.json dataset (e.g. Bank of New York Mellon, Bank of America, First Trust Advisors, Nuveen, Wells Fargo, Franklin Resources, Wellington Management, Fisher Asset Management, Dimensional Fund Advisors, Northern Trust, Goldman Sachs, AQR, Invesco, UBS, Millennium Management, HSBC, Charles Schwab, Cincinnati Financial, Legal & General, ProShare Advisors, Boston Partners, and others) were not individually re-verified for Q2 2026 within the time budget; the nine institutional rows plus the sovereign (Norges Bank) row included here satisfy the brief's top 8 to 12 target and the Vanguard/Capital Group/T. Rowe family-check requirements, but the full long tail below them is not reproduced.
- Dover's Q3 2026 10-Q was not yet filed as of 18 Aug 2026 per its EDGAR submissions feed (latest 10-Q on file is for the period ended 30 Jun 2026, filed 23 Jul 2026), so any equity-investment, divestiture, or ownership activity in Q3 2026 is not reflected here.
- The exact underlying Schedule 13G date and record date behind the proxy's JPMorgan Chase & Co. 7.4 percent figure (footnote 15) was not independently re-fetched, since the register instead uses JPMorgan's fresh Q2 2026 13F-HR; only the proxy's stated share count and percentage are carried in notes for comparison.
