The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,039 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,039 managers reported a position, together holding 285.6m shares, or 79.5% of the company. The 40 largest are listed. Percentages are of a share count taken later than this quarter, because the count in force at the snapshot is not published as a structured fact for this company. Where the count has moved since, the figures are off by that much.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- DUAL-CLASS DENOMINATOR. Datadog has two classes of common stock. Per the 10-Q cover page as of 31 Jul 2026 (the latest available count): Class A 334,904,614 shares outstanding (1 vote/share, Nasdaq-listed as DDOG), Class B 24,170,410 shares outstanding (10 votes/share, not publicly traded, held almost entirely by the two co-founders and their trusts, plus small amounts held by a handful of other current and former directors/officers via option exercises). company.shares_outstanding (359,075,024) is the sum of both classes, matching stockanalysis.com's independently reported 359.08 million shares outstanding as of 18 Aug 2026, a useful cross-check. As of 30 Jun 2026 the 10-Q states Class B represented approximately 42% of the company's aggregate voting power; recomputed from the 31 Jul 2026 cover-page counts (334,904,614 x 1 vote + 24,170,410 x 10 votes = 576,608,714 total votes, of which Class B is 241,704,100, or 41.9%), consistent with the filed figure.
- Every institutional 13F row in this register (Vanguard, BlackRock, FMR, State Street, T. Rowe Price, Geode, Norges Bank) reports Class A shares only, the only publicly traded, 13F-reportable class. Their pct_of_company is computed against the all-class total (359,075,024), which understates each holder's share of Class A alone; pct_denominator states this explicitly on every row.
- VOTING POWER, the real story for a founder-led dual-class company. Per the 2026 proxy (beneficial ownership table, as of 31 Mar 2026): Olivier Pomel controls approximately 17.3% of aggregate voting power, Alexis Le-Quoc approximately 15.5%, and all 17 current executive officers and directors as a group control approximately 35.5%. These voting-power percentages are 20x-weighted for Class B (10 votes per Class B share versus 1 for Class A) and cannot be derived from the share-count register above; they are recorded here as prose only, per the brief, because the chart has no mechanism to display vote weighting. Voting control (17.3% + 15.5% = 32.8% for the two founders combined) is markedly higher than their combined economic share-count stake (2.585% + 2.485% = 5.07%), which is the core dual-class story: Datadog's founders hold outsized board and control influence relative to a comparatively modest equity position, the opposite pattern from Airbnb where the founders' economic and voting concentration are both very large.
- OWNERSHIP VS VOTING CONTROL, kept separate per the brief. `shares` on every insider row records only shares actually owned (direct holdings and revocable trusts), never option-derived shares: Pomel's and Le-Quoc's proxy-table totals each include stock options exercisable within 60 days that are excluded here (1,264,751 Class B for Pomel, 243,750 Class B for Le-Quoc; see each row's method_note). No Datadog founder was found to control votes over shares he does not own (unlike Expedia's chairman arrangement cited in the brief); Datadog's dual-class mechanism instead grants the founders 10x voting weight on the Class B shares they do directly or beneficially own, which is recorded above as a voting-power percentage, not as extra shares.
- Holdings are empty by design, a sourced finding rather than a gap. The Q2 2026 10-Q (period ended 30 Jun 2026) and the FY2025 10-K (period ended 31 Dec 2025) were both searched via filing.py for 'equity method', 'non-marketable', 'strategic investment', 'privately held' / 'privately-held', 'noncontrolling interest', 'joint venture' and 'equity investment'. Both filings returned zero hits for equity-method investments, non-marketable equity securities, named strategic investments, noncontrolling interests, or any equity-accounted joint venture. The only matches were generic risk-factor boilerplate ('we may in the future seek to acquire or invest in businesses, joint ventures...') with no named investee and no dollar figure attached. Datadog does not appear to carry any equity-method, non-marketable, or private-company equity stakes as of its two most recent filings.
- TREASURY, EXPLICITLY EXCLUDED. Datadog's balance sheet carries $4,550,481 thousand (about $4.55 billion) of marketable securities as of 30 Jun 2026 (up from $4,073,531 thousand at 31 Dec 2025), classified as available-for-sale current assets alongside cash and cash equivalents ($434,957 thousand). This is corporate treasury management of IPO and operating cash, not an equity stake in another company, and is deliberately excluded from `holdings` per the brief.
- CONVERTIBLE NOTES, NOT SHARES. Datadog carries $985,545 thousand net non-current 'Convertible senior notes' as of 30 Jun 2026 (the 2029 Convertible Senior Notes, $1.0 billion aggregate principal issued 12 Dec 2024, 0.00% coupon). These are a Datadog LIABILITY (debt Datadog issued to investors), the reverse direction of a holding, and are excluded from any share count. Separately, Datadog's prior 2025 Convertible Senior Notes matured and were settled in H1 2026 through a mix of $634.1 million cash plus 1,354,569 newly issued Class A shares to converting noteholders; those 1,354,569 shares are already embedded in the current Class A shares-outstanding count and are not a separate holding or dilution line item to track here.
- Capital Group family checked across three CIKs for Q2 2026 (Capital World Investors 1422849, Capital International Investors 1562230, Capital Research Global Investors 1422848): only Capital World Investors held DDOG, at 88,052 shares (about 0.025% of the company), too small to place in the top 8-12 holder band and omitted from the register as immaterial; the other two entities held zero DDOG shares (confirmed by CUSIP 23804L103 absence in each full info table).
- T. Rowe Price Investment Management, Inc. (CIK 1897612), the separate registrant from T. Rowe Price Associates, Inc. (CIK 80255), DOES hold DDOG (3,099,233 shares for Q2 2026), unlike the Airbnb file where that entity held zero; both entities are summed into the single T. Rowe Price register row above.
- Self-gate, computed exactly per the chart's own arithmetic (raw shares for every row, with the aggregate row reduced to its residual beyond its two rolled-up members): 10 register rows. Institutional 13F rows (Vanguard, BlackRock, FMR, State Street, T. Rowe Price, Geode, Norges Bank) sum to 140,013,237 shares. The two founder rows (full value, as members) sum to 18,204,350 shares. The officers-and-directors aggregate is reduced to its residual of 3,068,912 shares (21,273,262 minus the 18,204,350 already counted via its two founder members). Total, row by row: 42,614,596 + 35,546,533 + 19,758,680 + 14,707,381 + 13,738,557 + 9,536,964 + 4,072,526 + 9,283,096 + 8,921,254 + 3,068,912 (aggregate residual) = 161,248,499 shares against 359,075,024 shares outstanding, or 44.91%. This sits at the top of the brief's typical 25-45% band but is fully explained: seven large institutional index/active managers plus a founder-led dual-class insider block together cross 44.9% of the raw share count even though the founders' own combined economic stake is only about 5.1%, because the register also carries the full 17-person officer/director group at its residual value.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- Whether any additional Vanguard-affiliated 13F filer beyond the 8 entities identified from this project's Q1 2026 Vanguard sweep (data/registers/DDOG.json) holds DDOG for Q2 2026; the 8 known entities were individually re-fetched fresh for 30 Jun 2026 and summed, but the full universe of Vanguard subsidiaries was not independently re-enumerated from scratch.
- Dollar values for the three proxy-sourced insider and aggregate register rows (Pomel, Le-Quoc, the officers-and-directors group): the proxy gives only share counts and percentages, not dollar values, and no single blended Class A/Class B share price as of the 31 Mar 2026 proxy record date was independently sourced, so no value was estimated rather than guessed.
- The identity of the 3 unnamed executive officers whose combined shares (about 81,392 Class A per the reconciliation in the aggregate row's method_note) are included in the 17-person officers-and-directors group total but not individually listed in the proxy's beneficial ownership table.
- Institutional holders beyond the 7 largest by size (for example JPMorgan Chase, Morgan Stanley, Bank of America, Northern Trust, Capital Group beyond the immaterial stake already checked) were not individually pulled for DDOG within the time budget once the top 7 plus the founder and officer rows satisfied the brief's top 8-12 holder guidance.
- Whether Datadog holds any equity stake acquired through its acquisition activity (the 10-Q references purchase consideration including restricted Class A shares for at least two unnamed acquisitions in H1 2026) that might include a minority retained stake in a divested business; the filings searched described only inbound acquisitions (Datadog acquiring others), with no evidence of Datadog holding minority equity in any other entity.
