Address, industry classification, listing and incorporation come from Copart, Inc.'s own SEC filer record, so the industry is the SEC's dry classification rather than a marketing label. The website comes from Wikidata. The headcount is the figure the Wikipedia article states for 2025, not a figure this site has verified against a filing. The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,057 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,057 managers reported a position, together holding 742.0m shares, or 80.2% of the company. The 40 largest are listed. Percentages are of the 925.8m shares outstanding at 27 May 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Holdings side: one sourced position. Copart's FY2025 10-K (period ended 31 Jul 2025, filed 26 Sep 2025) and its latest 10-Q (period ended 30 Apr 2026, filed 29 May 2026) were searched for 'equity method', 'unconsolidated', 'joint venture', 'investments in', 'non-marketable equity', 'noncontrolling interest', 'minority interest' and named investees. Two things surfaced: (1) an 80% controlling, 20% redeemable-noncontrolling-interest stake in Purple Wave, Inc. (see holdings), the Nucor/Moody's ICRA pattern the brief specifically asked to check for, though it turned out to be a domestic rather than an international subsidiary; and (2) small, unnamed 'unconsolidated affiliate(s)' that generate an immaterial equity-method income/loss line (under $0.4 million in the nine months ended 30 Apr 2026) and small annual cash outflows (Investment in unconsolidated affiliate: $7.1 million FY2025, $8.8 million FY2024, $2.7 million FY2023, $3.7 million in the nine months ended 30 Apr 2026). No filing names this affiliate or affiliates, or breaks out its carrying value from the combined 'Other assets' line ($51.7 million at 30 Apr 2026, $57.9 million at 31 Jul 2025), so it is reported here as a finding rather than sized as a holding: 'minority interest' and 'non-marketable' returned zero hits in the 10-K, and 'cost method' and 'Equity Method Investment' as exact phrases also returned zero hits.
- Marketable securities and short-term investments are treasury management, explicitly excluded here. Copart's balance sheet carries a large 'Investment in held to maturity securities' line, U.S. Treasury Bills: $845.6 million at 30 Apr 2026 and $2,008.5 million at 31 Jul 2025, alongside $3,354.1 million and $2,780.5 million of cash, cash equivalents and restricted cash on the same two dates. All of this is described throughout the filings as working-capital liquidity funding day-to-day auction advances and operations, not as strategic equity stakes in other companies. None of it is treated as a holding in this file.
- Vehicles held at auction and consigned inventory are NOT equity stakes. Copart's core business is selling vehicles on behalf of insurance companies, dealers, and other sellers through its online auction marketplace; the balance sheet's 'Vehicle pooling costs' line ($118.0 million at 30 Apr 2026) is a cost-capitalization item related to processing consigned vehicles for auction, not an ownership position in another company, and is excluded here.
- Fiscal year and filing freshness: Copart's fiscal year ends 31 Jul. As of 18 Aug 2026 the FY2026 10-K (which would cover the year ended 31 Jul 2026) had not yet been filed, so the latest 10-K on file is for FY2025 (period ended 31 Jul 2025, filed 26 Sep 2025). The latest 10-Q (period ended 30 Apr 2026, filed 29 May 2026, covering Q3 FY2026) is therefore the FRESHER of the two financial-statement filings by about nine months, the reverse of the pattern in the brief's Coherent example, and it is the source used for company.shares_outstanding, the Purple Wave noncontrolling-interest current balance, and the treasury balances quoted above. The 2025 proxy (DEF 14A, filed 24 Oct 2025, record date 10 Oct 2025) is the latest available proxy.
- Stock split: Copart's Board approved a two-for-one common stock split (effected as a stock dividend) on 4 Aug 2023, per the FY2025 10-K's basis-of-presentation note. That split predates every source used in this file by more than two years: the fresh Q2 2026 13Fs (30 Jun 2026), the current 10-Q (30 Apr 2026 period, cover date 27 May 2026), and the current proxy (10 Oct 2025 record date) are all already stated on the single post-split share basis, so no restatement was needed for any register row. Searched the current 10-Q in full for 'stock split', 'forward split', 'split-adjusted', 'two-for-one', '3-for-1' and bare 'split'; none appear, confirming no more recent split has occurred.
- Register basis: all nine institutional rows are CUSIP 217204106 common stock only, individually confirmed line by line in each filer's own fresh Q2 2026 13F information table (all filed 2026-08-04 to 2026-08-14, period 30 Jun 2026). Implied per-share prices across eight independently filed 13Fs (Vanguard family, BlackRock, State Street, Invesco, Capital Group family, BNY Mellon, Morgan Stanley) cluster tightly at $28.10 to $28.19, cross-checked against stockanalysis.com's 18 Aug 2026 close of $31.51 (a plausible seven-week move). The one exception, T. Rowe Price Associates, reported values in THOUSANDS on this CIK (raw implied $0.028/share); rescaled by 1,000 to match the $28.19/share cluster; see that row's method_note.
- Vanguard: parent CIK 0000102909 filed Form 13F-NT (no holdings) for Q2 2026, confirmed against its EDGAR submissions feed. Per the brief's rule, the position is reported entirely by successor entities, summed rather than substituted. All 8 successor entities named in this project's own data/registers/CPRT.json were individually re-verified against fresh Q2 2026 13F-HR filings and summed to 105,278,171 shares, $2,967,791,640; see the Vanguard row's method_note for every entity and CIK.
- Capital Group: all 6 entities named in this project's own data/registers/CPRT.json were individually re-verified against fresh Q2 2026 13F-HR filings; 5 hold Copart (summing to 20,745,879 shares) and Capital International Investors (CIK 0001562230) holds none. This is a family roll-up of independent filers, not a proxy aggregate, so is_aggregate is not set on the row.
- T. Rowe Price: both mandated CIKs checked. T. Rowe Price Associates, Inc. (0000080255) holds 1,378,276 shares (after fixing its thousands-scaled XML value); T. Rowe Price Investment Management, Inc. (0001897612), a separate registrant, holds none in its fresh Q2 2026 13F-HR. Included in the register despite its small size (0.15% of the company) because the brief specifically mandates checking and reporting on this CIK pair.
- Founder holding: Willis J. Johnson co-founded Copart and has served as Chairman of the Board since 1982; A. Jayson Adair also co-founded the company and currently serves as Executive Chairman. Both are current directors and are counted among the 13 persons in the proxy's 'All current directors and executive officers as a group' total. Every share in each man's beneficial ownership is held either directly or through a trust, foundation, or family limited partnership that he himself controls as trustee, president, or general partner; unlike the Walmart Walton or Marriott JWM Family Enterprises cases the brief warns about, no vehicle here is controlled by a person outside the officers-and-directors group. Both rows are therefore marked as rolling up fully into that group, and its 'shares' field carries the group's full raw disclosed total (93,963,387) so the self-gate arithmetic below reduces it correctly by the two named members' shares.
- Self-gate, computed with the chart's own arithmetic on this final file: 12 register rows (9 institutional 13F rows plus 3 proxy insider rows). Willis J. Johnson (55,695,395) and A. Jayson Adair (30,561,732) each count at full value because they are members; the officers-and-directors group is reduced to its residual (93,963,387 minus 55,695,395 minus 30,561,732 = 7,706,260) because both roll up into it. Sum: 105,278,171 + 67,718,347 + 38,827,400 + 33,018,576 + 27,397,980 + 20,745,879 + 17,334,626 + 16,070,099 + 1,378,276 + 55,695,395 + 30,561,732 + 7,706,260 = 421,732,741 shares against 925,811,482 shares outstanding, or 45.56 percent. This sits at the top edge of the brief's typical 25-to-45-percent band, one founder-led company above it by a fraction of a point, and is attributed to genuinely concentrated ownership (Vanguard alone at 11.4%, BlackRock at 7.3%, and two co-founders together holding 9.3% of the company directly) rather than to a double-counted holder or a mixed instrument basis: every institutional row is confirmed single-CUSIP common stock at a consistent implied price, and the Vanguard and Capital Group family sums were each cross-checked entity by entity against fresh Q2 2026 13F-HR filings rather than assumed from the stale baseline register.
- Market cap ($29,172,319,798, about $29.17 billion) and share price ($31.51) are from stockanalysis.com as of the close on 18 Aug 2026, which also reports 925.81 million shares outstanding, consistent with the 10-Q cover page figure of 925,811,482 as of 27 May 2026 used throughout this file; shares outstanding did not appear to change materially between 27 May and 18 Aug 2026 per that source.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- The name and size of the unnamed 'unconsolidated affiliate(s)' referenced in Copart's cash flow statement equity-method income/loss line and 'Investment in unconsolidated affiliate' cash outflow. No filing found in this task names the investee(s) or discloses their carrying value separately from the combined 'Other assets' balance sheet line ($51.7 million at 30 Apr 2026, $57.9 million at 31 Jul 2025, which also includes unrelated items such as capitalized debt issuance costs).
- The reason for the 10,000-share gap between the sum of individually named rows in the 2025 proxy's beneficial ownership table (93,953,387) and its own disclosed 'All current directors and executive officers as a group (13 persons)' total (93,963,387). No footnote in the proxy reconciles this.
- Whether Fidelity (FMR LLC), Wellington Management, Goldman Sachs, JPMorgan, Norges Bank, or other large asset managers that were not individually re-verified hold a fresh Q2 2026 Copart position; only the entities explicitly mandated by the research brief (Vanguard family, both T. Rowe CIKs, all six Capital Group family CIKs found in this project's own baseline register) plus the largest remaining holders from that same 31-Mar-2026 baseline register (BlackRock, State Street, Invesco, Geode, BNY Mellon, Morgan Stanley) were individually re-verified against fresh Q2 2026 filings.
- A current fair value for Copart's 80% stake in Purple Wave, Inc. No filing discloses one since the October 2023 acquisition; only the accounting carrying value of the 20% redeemable noncontrolling interest ($17.181 million at 30 Apr 2026) is available, and it is explicitly not the same thing as a fair value (see the holding's method_note).
- Dollar values for the two individual insider register rows (Johnson and Adair) are null: the proxy's beneficial ownership table gives only share counts and percentages as of its 10 Oct 2025 record date, and no Copart closing price for that specific date was independently sourced in this task, so a value was not estimated rather than guessed.
- The FY2026 10-K (covering the year ending on or about 31 Jul 2026) had not yet been filed as of 18 Aug 2026, so no post-30-Apr-2026 financial-statement activity is reflected here.
