A 13F total can exceed 100% because the same share can be reported twice: when a holder lends stock, the borrower sells it to someone else, and both the lender's manager and the new buyer's manager report it. The gap tracks how heavily a stock is shorted. It is a property of 13F rather than a fault in this data, so it is shown as filed, and it cannot be used as evidence that a particular holder's stake is large.

A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Cooper's fiscal year ends 31 October, offsetting its filing calendar from the calendar year. The newest filing by date as of this research (20 Aug 2026) is the Q2 FY2026 10-Q (period ended 30 Apr 2026), filed 5 Jun 2026, which is newer than the FY2025 10-K (period ended 31 Oct 2025, filed 5 Dec 2025). The 10-Q's cover page states 195,030,630 shares of common stock outstanding as of 1 Jun 2026; this is the shares_outstanding basis used throughout this file. Cooper's Q3 FY2026 10-Q (period ending 31 Jul 2026) had not yet been filed as of 20 Aug 2026.
- Cooper effected a 4-for-1 stock split of its common stock on 16 Feb 2024 (confirmed from the FY2025 10-K, Note 1). All amounts in this file (register 13F share counts, shares_outstanding, proxy insider holdings) are on the current, post-split basis: 13F filings for periods after Feb 2024 report natively on the post-split basis, and the FY2025 10-K and 2026 DEF 14A both state that all historical share and per-share figures have been retroactively adjusted to reflect the split. No pre-split figures were mixed into this file.

Exhibit 21 (FY2025 10-K subsidiaries list) was checked and carries NO ownership-percentage column: every entity listed is stated to be wholly owned by Cooper or by a wholly-owned subsidiary, a genuine negative rather than evidence of looking in the wrong place. The 10-K's Note 3 'Acquisitions and Joint Venture' section, despite its title, describes only wholly-consolidated acquisitions (e.g. a fertility company specializing in sperm separation devices, acquired 7 Jun 2024 as an asset acquisition for $33.5 million) and generic fair-value accounting policy language mentioning 'joint venture interest' in the abstract (as a category of Level 3 fair-value measurement), not an actual disclosed joint venture holding.
- Both the FY2025 10-K and the Q2 FY2026 10-Q disclose, in one sentence each within MD&A, 'a loss on the disposal of a minority interest investment' recognized in fiscal 2025 (quantified in the 10-Q as a $15.7 million loss), which increased 'Other expense, net'. Neither filing names the investee, states the ownership percentage held, the size of the original investment, or the sale proceeds; the disclosure is limited to the one line explaining a year-over-year expense variance. - Capital Group: checked all 6 registrants (the 4 in this project's register snapshot plus the 2 additional entities the project brief names). Only Capital World Investors (CIK 0001422849) currently holds COO; the other 5 report zero. The family's position fell sharply between the 31 Mar 2026 register snapshot (7,812,099 sh) and the fresh Q2 2026 13F-HR figures used here (591,128 sh), and separately the proxy's own stale 13G citation (10,973,924 sh as of 30 Sep 2025) confirms a large, multi-quarter sell-down rather than a data error; both figures are kept in the row's method_note for reconciliation.
- T. Rowe Price: checked both registrants named in the project brief. T. Rowe Price Associates, Inc. (CIK 0000080255) and T. Rowe Price Investment Management, Inc. - Browning West, LP is classified holder_type 'strategic' rather than 'active' because the 2026 DEF 14A discloses a letter agreement (dated 22 Dec 2025) under which Cooper appointed a Browning West nominee, Walter M Rosebrough, Jr., to the Board ahead of the 2026 Annual Meeting. This is the clearest evidence of strategic/activist influence found in this research; no SC 13D from Browning West was located on EDGAR (searched all SC 13D and SC 13D/A filings against CIK 0000711404, which returns only decades-old, unrelated 1990s filings), so the classification rests on the proxy's board-appointment disclosure, not a 13D.

- The name, ownership percentage, original investment size, and sale proceeds of the 'minority interest investment' Cooper disposed of in fiscal 2025 (a $15.7 million loss recognized on the disposal, per the Q2 FY2026 10-Q) are not disclosed in either the FY2025 10-K or the Q2 FY2026 10-Q; searched both filings for the surrounding text and found no name.
- Whether an 8th Vanguard successor entity (e.g. Vanguard National Trust Co, seen in some other companies' registers) holds COO was not separately confirmed; only the 7 entities identified from data/registers/COO.json were checked, and all 7 reported holdings, so the family sweep here may be incomplete by one small entity if such a filer exists and was omitted from the snapshot.
