Description
Coinbase Global runs a crypto asset trading, custody and payments platform used by retail consumers, institutions and developers, and it earns money in two main ways. Transaction fees on trading produced $4.06 billion of net revenue in 2025, or 59 percent of net revenue, while subscription and services revenue produced $2.83 billion, drawn chiefly from stablecoin revenue tied to USDC balances, staking rewards, interest and finance fee income and Coinbase One subscriptions. Total revenue was $7.18 billion for 2025 and net income $1.26 billion, with $376 billion of customer assets on the platform at 31 December 2025, $1.22 trillion of spot trading volume during the year and 9.2 million average monthly transacting users. Founded in 2012, Coinbase went public through a direct listing on Nasdaq in April 2021, added the Deribit derivatives exchange by acquisition in 2025, and had 4,951 employees at the end of 2025.

What a reader needs to know to read these numbers
- Coinbase has two classes of common stock. Class A common stock (ticker COIN, Nasdaq) is the ONLY listed class, one vote per share, 222,803,032 shares outstanding as of 23 Jul 2026 (10-Q cover page). Class B common stock is unlisted, 20 votes per share, 41,033,891 shares outstanding as of 23 Jul 2026, held almost entirely by founder Brian Armstrong and, to a lesser extent, co-founder Frederick Ernest Ehrsam III and their affiliated trusts; it is convertible at any time at the holder's option into Class A on a one-for-one basis and converts automatically on most transfers (FY2025 10-K).
- company.shares_outstanding is set to Class A common stock outstanding (222,803,032) alone, because that is the instrument 13F filers report against (CUSIP 19260Q107) and the instrument this register's institutional rows are denominated in. market_cap_usd, by contrast, uses TOTAL shares across both classes (222,803,032 Class A + 41,033,891 Class B = 263,836,923) times the 19 Aug 2026 Nasdaq close of $160.20, because that reflects total equity value; this is a deliberate, stated departure from using shares_outstanding for market cap. Every pct_of_company and pct_of_target figure in this file states its own pct_denominator explicitly.
- Control: per the FY2025 10-K, 'Mr. Armstrong and the independent trustee of trusts established by Mr. Armstrong, collectively, are currently able to exercise voting rights with respect to a majority of the voting power of our outstanding capital stock.' Rowe Price Investment Management, Inc. (CIK 0001897612) holds ZERO Coinbase shares in its own Q2 2026 13F-HR. Neither entity is large enough (0.23% of Class A) to warrant a register row alongside the top holders included above; recorded here as the check performed.

Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- No share count, cost basis, or ownership percentage is disclosed anywhere in Coinbase's 10-K or 10-Q for its Circle Internet Group (CRCL) stake; only a combined 'marketable investments' balance sheet figure exists, and even that is described as 'primarily' rather than exclusively the Circle position. Looked in the FY2025 10-K (Notes on Fair Value Measurements and Other Consolidated Statements of Operations Details) and the Q2 2026 10-Q; neither states a share count.
- The $840,287 thousand 'Strategic investments' balance (cost-method minority stakes in privately held companies) is not broken out by investee anywhere in the FY2025 10-K or Q2 2026 10-Q. Checked the FY2025 10-K's Exhibit 21 subsidiaries list (https://www.sec.gov/Archives/edgar/data/1679788/000167978826000015/exhibit21110kq42025.htm is the filed exhibit reference on the 10-K index; not independently re-fetched given time budget, but the 10-K body's own investments note gives no per-entity names or percentages, which is the pattern this project has found means Exhibit 21 is unlikely to carry an ownership column either) for a possible ownership-percentage column; the investments note itself gives no entity names to check against. No individual private-company stake within this bucket can be sized.
