What a reader needs to know to read these numbers
- Waters/Biosciences separation: CLOSED, no retained BD equity stake. On 9 February 2026 BD completed the spin-off of its former Biosciences and Diagnostic Solutions business (formerly the Life Sciences segment) to BD SHAREHOLDERS, combined with Waters Corporation in a Reverse Morris Trust transaction. BD's shareholders (not BD the corporate entity) received Waters common stock representing 39.2 percent of the combined company on a fully diluted basis. BD itself received a $4 billion cash distribution from the spin-off entity, funded by $4 billion of debt incurred by that entity, not equity. BD therefore holds no equity stake in Waters or the combined company post-close; this is a sourced finding, not an omission. Source: Q3 FY2026 10-Q (period ended 30 June 2026, filed 6 August 2026), Note 2, Divestiture. BD has an October fiscal year end; the FY2025 10-K (filed 25 November 2025, period ended 30 September 2025) still described this as a 'Proposed Combination', consistent with the deal closing after that filing.
- No other equity holdings found. Searched the FY2025 10-K and the Q3 FY2026 10-Q for 'equity method', 'unconsolidated', 'joint venture', 'equity investment(s)', 'non-marketable', 'noncontrolling interest', 'affiliate', and 'investment in'. Neither filing discloses a named equity-method investee, minority stake, or a combined balance-sheet line comparable to Boston Scientific's 'Equity method investments' or 'Measurement alternative investments'. The only hit was a single generic reference in the FY2025 10-K to '(losses) gains recognized relating to certain equity investments' inside Other (income) expense, net, with no name, no balance, and no share count. Holdings is therefore an empty array as a sourced finding, not a gap.
- Capital Group checked, all three entities, none hold BDX. Per the brief's instruction to check all three Capital Group filers separately: Capital World Investors (CIK 0001422849), Capital International Investors (CIK 0001562230), and Capital Research Global Investors (CIK 0001422848) each filed a Q2 2026 13F-HR, and none contains a row for CUSIP 075887109 (Becton Dickinson) in its information table. No Capital Group row appears in the register as a result. Dodge & Cox (CIK 0000200217) was also checked and likewise has no BDX position in its Q2 2026 13F-HR.
- Vanguard case: 13F-NT (successors summed). Vanguard Group Inc (CIK 0000102909) filed Form 13F-NT for Q2 2026 (accession 0000102909-26-002714), meaning it reported no holdings itself. Its BDX position is carried by two successor filers, Vanguard Capital Management LLC and Vanguard Portfolio Management LLC, which are summed into one 'Vanguard Group' row per the brief's rule for the 13F-NT case.
- Starboard Value: no live Schedule 13D found. Starboard Value has been reported in the press as an activist pushing BD to separate its former Life Sciences/Biosciences unit, a campaign that appears consistent with the Waters transaction that ultimately closed. Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- MFS's Q2 2026 13F-HR for Becton Dickinson contains one line that cannot be reconciled: 1,152,058 shares against 1,295,470,097 dollars, about 1,124 dollars per share, where its other eight lines and every other filer imply about 151. Either that line's value is overstated or its share count is understated. The share total is used as filed and the value is left null. Resolving it would need MFS's own amendment or a 13G/A, neither of which was located.
- The dollar value split, if any, of BD's $4 billion cash distribution from the Waters spin-off entity versus other consideration; the Q3 FY2026 10-Q states the distribution was funded entirely by debt incurred by the spin-off entity and does not suggest BD retained any equity, but no balance-sheet line naming a residual Waters interest was found to confirm a literal zero beyond the absence of any such line.
