The full register, from 13F filings
The Register tab above is hand research: a dozen holders, each traced to the filing it came from. This asks the same question of the whole market for the quarter ended 31-mar-2026, where 1,276 managers reported a position. Broad where the research is deep, and shallow in the ways a 13F always is.
1,276 managers reported a position, together holding 14.8m shares, or 90.4% of the company. The 40 largest are listed. Percentages are of the 16.3m shares outstanding at 5 Jun 2026, the count in force when this quarter was measured rather than the count today.
Built from 13F filings, which report US listed, long, US custodied positions only. A register from this source is a floor rather than a level: a holder's true position can be far larger, as BlackRock's ASML stake shows at 1.28m shares in a 13F against 26.3m in its 13G/A. Holdings held through derivatives, outside US custody, or below a manager's reporting obligation do not appear. Where a holder is marked as a family, its total sums several separate filing entities and describes something no single filing describes; the constituent entities and their share counts are listed so the total can be checked. That roll-up can legitimately exceed the family's own Schedule 13G, because a 13G is filed by one legal entity: Vanguard reports Alphabet through ten advisory entities, and The Vanguard Group Inc itself reported zero after its January 2026 disaggregation.
What a reader needs to know to read these numbers
- Fiscal periods used. AutoZone's fiscal year ends in late August, not December. The most recent 10-K covers fiscal year 2025, ended 30 August 2025 (filed 27 Oct 2025, accession 0001104659-25-102611). The most recent 10-Q covers the fiscal 2026 third quarter, the thirty-six weeks ended 9 May 2026 (filed 12 Jun 2026, accession 0001104659-26-073525); this is the latest quarterly filing available as of 18 Aug 2026, since the FY2026 10-K (fiscal year ended late August 2026) had not yet been filed.
- Share count and the thousands check, the dominant risk for this company. company.shares_outstanding is 16,325,355, taken from the 10-Q cover page's 'shares outstanding as of the latest practicable date' statement (5 Jun 2026), not from the balance sheet's quarter-end count (16,369 thousand shares outstanding as of 9 May 2026, itself reported in thousands on the balance sheet, i.e. 16,369,000). All register percentages use the 16,325,355 cover-page count as the single denominator, including the 13F rows dated 30 Jun 2026 and the proxy row dated 20 Oct 2025, per the brief's instruction to use one current denominator; this slightly understates how much the Jun 2026 and Aug 2025 share counts had already fallen versus the Jun 2026 cover-page figure, and correspondingly slightly overstates percentages measured against earlier, larger share counts. The 13F implied-price check was done explicitly for every institutional row: the cluster is a consistent $3,150 to $3,207 per share across BlackRock, both Vanguard successors, State Street, Geode, JPMorgan, Morgan Stanley, Norges Bank and FMR, all for the same 30 Jun 2026 valuation date. T. Rowe Price Associates' raw filed value implied $3.20/share, exactly 1000x below that cluster, confirmed as T. Rowe's values-in-thousands convention (not a units mismatch of the instrument itself, since the share counts, 369,252 and 31,609, were plausible on their own) and rescaled by 1000 to $1,281,129,000, landing at $3,196.04/share inside the cluster. No other filer showed a comparable order-of-magnitude discrepancy. This confirms the brief's warning: an implied price in the thousands of dollars is CORRECT here (real AutoZone shares closed at $3,019.30 on 17 Aug 2026 per stockanalysis.com, and the 13F cluster of roughly $3,150 to $3,207 for 30 Jun 2026 is a plausible price six weeks earlier for a stock that has since drifted down), and the usual instinct to distrust a four-figure implied price would have been wrong for every non-T.-Rowe row in this file.
- No stock split found or assumed. AutoZone's FY2025 10-K and the latest 10-Q were both searched for 'stock split' with zero hits, and the 10-Q's cover-page share count (16,325,355) and the FY2025 10-K's cover-page/balance-sheet counts are on a continuously declining, unbroken scale consistent with ordinary buybacks (16,665 thousand outstanding at 30 Aug 2025 falling to 16,369 thousand at 9 May 2026 to 16,325,355 at 5 Jun 2026), with no discontinuous jump that would indicate an unannounced split. AutoZone is well known for never having split its stock, and this is treated as confirmed rather than assumed.
- Holdings are empty by design, a sourced finding rather than a gap. The FY2025 10-K and the Q3 FY2026 10-Q were both searched for 'equity method', 'joint venture', 'unconsolidated', 'non-marketable', 'nonmarketable', 'investment in', 'strategic investment', 'affiliate', 'minority interest', 'noncontrolling interest', 'variable interest entit', 'cost method', 'private company' and 'equity securities without readily determinable [fair value]'. 'Joint venture', 'unconsolidated', 'non-marketable'/'nonmarketable', 'minority interest', 'noncontrolling interest', 'cost method' (as an investment category) and 'private company' return zero hits in either filing. 'Equity method' and 'variable interest entit[ies]' appear only in connection with tax credit funds that promote renewable energy and low-income housing: AutoZone invests in these funds as VIEs and accounts for its interest using the equity method when it lacks the power to direct the entities' significant activities, with 'maximum exposure to losses generally limited to its net investment', which was $71.0 million as of 9 May 2026 and $60.8 million as of 30 Aug 2025 (a combined balance across an unnamed set of tax credit funds, not a stake in any named operating company, and per the brief's rule on combined balances not assignable to any individual investee). 'Affiliate' appears only in equity-compensation-plan boilerplate ('AutoZone or its subsidiaries or affiliates'), not as a holding. No named strategic equity stake in another company, public or private, was found anywhere in either filing.
- AutoZone has a single class of common stock ($0.01 par value) and no dual-class or founder-control structure in the current (2025) proxy; the company's historical founder, J.R. 'Pitt' Hyde III, does not appear in the current director or executive officer tables. The largest individual insider holding, Executive Chairman William C. Rhodes III at 90,325 shares (including family trust and charitable foundation interests per proxy footnote 4), is well under 1% of the company, so individual insiders are not the story here and only the aggregate officers-and-directors group is carried in the register.
- Register cross-check against the proxy's own stale 5% owner table. The 2025 proxy (based on a Form 13F filed 11 Aug 2025 for the quarter ended 30 Jun 2025, further cross-referenced to a Schedule 13G/A as of 29 Dec 2023) states Vanguard Group, Inc. held 1,771,004 shares (10.65%) and BlackRock, Inc. held 1,274,242 shares (7.66%) as of 20 Oct 2025's then-outstanding 16,632,663 shares. The register instead uses each manager's Q2 2026 Form 13F-HR (30 Jun 2026 position date), which is more current: Vanguard's two successor entities sum to 1,843,882 shares (11.29% of the smaller, more recent denominator) and BlackRock to 1,232,366 shares (7.55%). Vanguard's higher current share count against a falling outstanding count as buybacks continue is consistent with a broadly stable-to-slightly-increasing Vanguard position rather than a data error; BlackRock's lower current share count than the stale 13G-derived figure is consistent with a modest trim. The fresher 13F figures are used as the primary sourced numbers, as in the project's other files.
- Self-gate check: 11 register rows (10 institutional 13F rows plus 1 insider group row, which has no members registered against it via rolls_up_into and so counts at its full value per the formula), summing to 7,355,362 shares against 16,325,355 shares outstanding, or 45.05%. This sits essentially at the top edge of the brief's expected 25 to 45 percent band, explained by the denominator effect the brief itself calls out: AutoZone's aggressive, continuous share buyback programme has shrunk shares outstanding to about 16.3 million (versus a share price above $3,000) while the large institutional managers have not trimmed proportionally, so the same absolute share counts represent a larger share of a shrinking company. No mixed instrument, mixed basis or double-counted holder was found; every row above is a plain common-share count on the same CUSIP (053332102) or the proxy's own share-count basis.
Looked for, not found
Recorded rather than filled in. Each of these is a place where a number could have been invented and was not.
- The identities and individual sizes of the tax credit funds inside AutoZone's combined equity-method net investment balance ($71.0 million as of 9 May 2026, $60.8 million as of 30 Aug 2025). Neither the FY2025 10-K nor the Q3 FY2026 10-Q names any individual fund or counterparty within this balance.
- Vanguard-affiliated 13F filers other than Vanguard Capital Management LLC and Vanguard Portfolio Management LLC (for example Vanguard Advisers Inc, Vanguard Fiduciary Trust Co, Vanguard Global Advisers) were not individually checked for AZO holdings within the time budget; if they hold AZO shares, the true Vanguard family aggregate is somewhat higher than the 1,843,882 shares used here.
- AutoZone's fiscal 2026 10-K (fiscal year ended late August 2026) was not yet filed as of 18 Aug 2026, so no fiscal Q4 2026 or full-year FY2026 equity-investment or share-count data is reflected.
- Dollar value for the officers-and-directors group register row is null: the proxy's beneficial ownership table gives a share count and a stated 2.6% but no dollar value, and no share price as of the 20 Oct 2025 record date was independently sourced, so a value was not estimated rather than guessed.
- Individual insider rows for named executive officers and directors below Rhodes (Daniele, Jackson, Newbern, Hackney, Jaycox and the nine independent directors) were checked in the proxy table (each holds well under 1%, ranging from 45 to about 51,555 shares) but are not carried as separate register rows since none is individually material and AutoZone has no founder or dual-class structure; see notes.
