Description
AppLovin Corporation operates an advertising platform used by mobile app developers and, more recently, by web and connected TV advertisers. Axon Ads Manager, driven by the company's Axon recommendation engine, matches advertiser demand with publisher ad inventory and accounts for substantially all revenue, with advertisers charged dynamically against return on ad spend targets rather than a fixed price per impression. The platform also includes MAX for in-app bidding, Adjust for marketing measurement and Wurl for connected TV distribution. Revenue from continuing operations was $5.48 billion in 2025, up 70% on 2024, from 898 employees in 15 countries. AppLovin exited mobile games on 30 June 2025, selling its Apps business to Tripledot Studios for $715.6 million, and now reports a single segment.

What a reader needs to know to read these numbers
- THREE-CLASS STRUCTURE. AppLovin has three authorized classes of common stock. Per the Q2 2026 10-Q cover page (period ended 30 Jun 2026, filed 5 Aug 2026): Class A Common Stock, 304,443,000 shares as of 31 Jul 2026, 1 vote/share, the ONLY class listed (Nasdaq: APP); Class B Common Stock, 30,208,000 shares as of 31 Jul 2026, 20 votes/share, unlisted, held almost entirely by co-founder/CEO Adam Foroughi and director Herald Chen; Class C Common Stock, 0 shares issued and outstanding (150,000,000 authorized), no voting rights. company.shares_outstanding (304,443,000) is the Class A count and is the sole denominator for pct_of_company on every register row here except the Foroughi, Chen and directors/officers-group rows, each of which reports Class A share count and percentage only, with the far larger Class B block (for Foroughi and Chen) described but NEVER counted in shares or pct_of_company.
- VOTING POWER. AppLovin states voting power directly in its own DEF 14A ('Percent of Total Voting Power' column), so no arithmetic modelling was required here (unlike some single-vote-differential dual-class companies). As of 31 Mar 2026 per the proxy: Adam Foroughi 61.6% of total voting power, Herald Chen 1.6%, all directors and officers as a group 64.0%, and 'Shares subject to the Voting Agreement' (Foroughi and Chen jointly, plus affiliated trusts/entities and a small reconciling difference in how Mr. Chen's exercisable stock options are classified) 66.9%. Separately, company.share_classes states a share-count-weighted total voting power split as of the most recent 10-Q (31 Jul 2026 counts): Class A 33.507%, Class B 66.493% of total votes cast (computed here as (304,443,000 x 1) / [(304,443,000 x 1) + (30,208,000 x 20)] etc; this is an arithmetic check using filed share counts and the filed 1-vote/20-vote formula, consistent with, but not identical in method to, the proxy's own per-holder voting power percentages which use beneficial-ownership share counts as of a different date, 31 Mar 2026).
- AppLovin is a 'controlled company' under Nasdaq rules because Foroughi and Chen, via the Voting Agreement, collectively control a majority of total voting power (66.9% per the proxy).

(CIK 0000080255) holds 4,773,100 AppLovin Class A shares per its own Q2 2026 13F-HR; its value field is in whole thousands of dollars (thousands trap), rescaled x1,000 in this file's value_usd to match the approximately $515/share cluster of every other Q2 2026 AppLovin 13F holder. T. Rowe Price Investment Management, Inc. - THOUSANDS TRAP. Implied price per share was computed for every Q2 2026 13F register row (value_usd / shares). All institutional rows except T. Rowe Price Associates cluster tightly at approximately $515.1 to $515.3 per share (the 30 Jun 2026 quarter-end mark for AppLovin Class A), except JPMorgan which implies approximately $498.9/share, a modest but plausible deviation left as filed rather than adjusted (no thousands-scale error pattern; JPMorgan's per-share figures on other issuers in this task's sibling files have not shown a similar systematic offset). T. Rowe Price Associates' raw filed value implied approximately $0.52/share, approximately 1,000x below the cluster; value_usd for that row is rescaled x1,000 as documented in its own method_note.
- 5-PERCENT HOLDERS PER THE PROXY (STALE CROSS-CHECK). The 2026 DEF 14A's own 'Greater than 5% stockholders' table, based on older Schedule 13G/13G-A filings rather than the Q2 2026 13F-HRs used elsewhere in this register, states: The Vanguard Group 24,954,427 Class A shares (8.2%) per a 13G/A filed 17 Oct 2025; BlackRock, Inc. 21,386,458 Class A shares (7.0%) per a 13G filed 17 Oct 2025; Angel Pride Holdings Limited 17,244,541 Class A shares (5.6%) per a 13G/A filed 30 Jan 2025. This file uses the fresher, individually-verified Q2 2026 13F-HR figures for Vanguard (24,095,632, summed across two successor entities, lower than the proxy's older combined Vanguard figure, consistent with the proxy figure representing a broader, differently-dated Vanguard entity aggregation) and BlackRock (24,040,619, close to but not identical to the proxy's older 13G snapshot) rather than the proxy's staler 13G numbers, and reuses the proxy-cited Angel Pride 13G/A directly since no fresher 13F/13D/G exists for that holder (it does not file 13F).

- Identity and relationship of Angel Pride Holdings Limited / Prominence Trust Limited to AppLovin (e.g. early investor, founder-adjacent vehicle, or unrelated institutional/family fund) was not established from the Schedule 13G/A itself, which discloses only shared voting/dispositive power and organizational jurisdiction (BVI/Hong Kong).
